SPECIAL NOTES:

All participants are requested to participate at demo e-Auction to get acquainted with the e-Auction system. All qualifying participants will be given training on demo auction by Messrs. C-1 INDIA PRIVATE LIMITED, New Delhi 110024. The time of the Demo Auction will be intimated by the service provider to the eligible participants well in advance.

3. The Sale will be through e-Auction (online inter-net bidding) only. 4. Messrs. C-1 India Private Limited is an e-commerce service provider appointed by

BPCL to facilitate virtual auction by BPCL and they will only facilitate on-line (internet) auction and are considered as third party not particularly interested in the item(s) being sold on behalf of the seller (BPCL).

5. BPCL reserves the right to extend the closing time of the lot/item during the auction

time as considered appropriate.

6. The starting bid price and minimum increment amount for the lot/item is indicated in Annexure-J.

7. BPCL also reserves the right to change the start bid price during the auction time and

before closing time, if considered appropriate.

8. Once bids are given during the online auction, the same cannot be revised downwards, which may kindly be noted.

9. The starting bid price indicated in Annexure-J for the item is not the reserve price and

it is not binding upon BPCL to accept the quoted price, if the same does not match with the reserve price.

10. Please note that the offers quoted should be valid for 45 days from the date of e-

auction since this time period is required for obtaining various internal approvals. Letter of Acceptance (LOA) will be issued only after obtaining internal approvals and all efforts will be made to issue LOA within 45 days validity period. Therefore your offer should be firm and valid for minimum 45 days from date of e-auction.

If any dispute is raised for any reason whatsoever, by the successful H1 bidder, the validity of his offer will remain firm till resolution of the dispute which may be more than 45 days from the date of e-auction and their EMD shall be held during the period.

11. BPCL reserves the right to seek extension of validity period from the H1 bidder, if

required, due to exigencies.

12. Parties interested to participate in the auction have to submit within due date and time the required EMD amount for the particular lot/s or NSIC certificate along with the Tender documents including Annexures (A, B, C, D, E, F, & J) duly stamped and signed on all pages, failing which their candidature for the auction may not be considered. 13. ANNEXURE – A

INSTRUCTIONS TO THE e- AUCTION PARTICIPANTS 1. For bidding at our e-Auction, the intending participants are requested to log on to the web

site of our service provider, Messrs. C1 India Private Limited, New Delhi, https://auctions.c1india.com. Prior to the final auction all Tenderers / Bidders are requested to read and familiarize themselves with the e-Auction Guidelines as per Annexure – D, which should also be signed & stamped and sent along with Annexures A, B, C, E, F, and J, together with earnest money deposit (EMD) as applicable. Annexure – G to be submitted by the H1 and H2 bidders for the items duly signed and stamped immediately after the e-auction, confirming the lots and the rates quoted by them, and should reach BPCL within two working days from date of e-auction.

3. All those who wish to participate in the e-Auction, should deposit their Earnest Money

Deposit (EMD) by DD favouring Bharat Petroleum Corporation Limited payable at Ambalamugal or Ernakulam along with Required Annexures, duly signed and stamped on all pages, to reach the office of BHARAT PETROLEUM CORPORATION LIMITED (Kochi Refinery), Ambalamugal 682302 before due date and time. The Tender documents should be submitted in sealed envelopes duly super-scribing the TENDER NUMBER and DUE DATE. Tender Documents received after the due date and time will be rejected outright and such Bidders will not be allowed to participate in the e-Auction and their DD towards EMD will be returned to them through Courier/Post at their own risk. Hence, in your own interest, you are requested to complete all the formalities to become Registered Participant in advance and well in time.

4. Tender Form Fee of Rs.500/- per form will have to be paid by way of demand draft in

favour of BHARAT PETROLEUM CORPORATION LIMITED payable at Ernakulam / Ambalamugal and drawn on any nationalized / scheduled bank. Only parties who have paid Tender Form Fee will be allowed to participate in inspection of materials. Parties who down-load the tender documents from the web-sites and do not participate in the site inspection should submit a separate Demand Draft for `.500/- towards tender document fee along with tender document. Documents without tender document fee are liable to be rejected.

5. EMD exemption is applicable only for those NSIC / SSI units who fulfill following conditions.

(a) SSI units should be registered with National Small Scale Industrial Corporation (NSIC).

(b) The unit should be registered for the item tendered for e-auction. (c) The monetary limit indicated in NSIC registration certificate should cover the

value of item. (d) Registration certificate should be valid as on date of order. (e) Photostat copy of valid NSIC registration certificate duly attested by Notary,

should be submitted as support. * Registration with DGS&D will not entitle a Bidder to claim exemption from EMD.

* Only parties satisfying all the above points (a to e) will be considered eligible for EMD exemption and any offer not satisfying any one of the above criteria and seeking EMD exemption shall be summarily rejected.

6. Any party claiming exemption from payment of EMD, shall submit the copy of the

currently valid NSIC certificate, duly attested by a notary along with the tender documents. Such parties should submit the certificates to Bharat Petroleum Corporation Limited (Kochi Refineries), Ambalamugal, along with tender documents.

7. On receipt of EMD / NSIC Certificate together with the duly filled and signed tender documents, M/s. C-1 India Private Limited. will provide User ID & Password to the bidder by email, which is confidential and the bidder has to confirm receipt of same by return email to Messrs. C1 India Private Limited, New Delhi, and only then it will be activated. This User ID & Password should not be disclosed to any other person.

8. Any misuse of your User ID & Password without your knowledge will be at your risk and

cost for which Bharat Petroleum Corporation Limited / C-1 India Private Limited will not be responsible.

9. To participate in the e-auction, kindly login to https://auctions.c1india.com at the

scheduled date and time and for detailed bidding procedures & instructions, kindly refer to e-Auction Guidelines, Annexure “D”.

10. Neither BPCL nor M/s. C-1 India Private Limited will be liable for any delay or late receipt

of DD, whether sent through courier / post or other means, after the due date. 11. The starting bid price and minimum increment amount for the lot/item is indicated in

Annexure-J. 12. During the online bidding process, Bharat Petroleum Corporation Limited reserves the

right to change the starting price as considered appropriate. Once the bids are posted during the online auction and the same is accepted, they cannot be revised downwards which may kindly be noted. Every bidder is under obligation to buy the material at the price offered and confirmed by BPCL failing which the EMD / other payments will be forfeited. This condition is applicable to all bidders. BPCL is at liberty to offer and / or sell such material to another party of its choice or even retain it. The EMD paid for an auction or an item may not be adjusted and forfeited against non–compliance with the terms and conditions for another item.

Terms & Conditions for all Participants / Bidders to the Online Auction, organized by M/s. C-1 India Private Limited, New Delhi on behalf of M/s. Bharat Petroleum Corporation Limited (Kochi Refinery), Ambalamugal. 13. The Auction will be organized only through Online (internet) Auction.

14. Sale is on “AS IS WHERE IS BASIS” and “NO COMPLAINT BASIS”. No complaint regarding

Quality, quantity, or composition of the material will be entertained at any time. 15. Rights of participation will be for people who, after inspecting the material, pre-qualify

themselves by paying the EMD and who have not been previously blacklisted by BPCL. Final decision regarding participation will be with BPCL.

16. The quantity indicated in the list of Scrap Items is only an approximate quantity. 17. Your bids must be only for Basic price per Unit. All taxes, duties, and other levies will be

extra, as applicable at the time of lifting the material. 18. Successful Bidder has to deposit 100% of the total value of the materials (including all

taxes, duties, and levies) for the lot/item by way of Demand Draft drawn in favour of BHARAT PETROLEUM CORPORATION LTD payable at Ernakulam/Ambalamugal, within 15 days of the issue of Letter of award of sale.

19. The Bidders cannot retract from their offer, under any circumstances, whatsoever. If done

so, the EMD will be forfeited in case of parties who have submitted EMD. Also they will be liable to be proceeded against for all loss/ damage and costs as provided in the contract.

20. If the NSIC registered parties retract from their offer, then stern action will be taken against

them which may include exclusion of the party from future e-auctions and referring to National Small Scale Industry Board for suitable action, as per BPCL’s discretion. Also they will be liable to be proceeded against legally for recovery of all loss/ damage and costs as per terms and conditions provided in the contract.

21. The EMD is payable by DD drawn on any Nationalized or Scheduled Bank favouring

BHARAT PETROLEUM CORPORATION LTD, and payable at Ambalamugal or Ernakulam. 22. All EMDs / other payments will not carry any interest. 23. The H1 (Highest) and H2 (Second Highest) bidders should submit the letter of

confirmation in Annexure-G within two working days of the e-Auction, by FAX or Courier to Bharat Petroleum Corporation Limited, Kochi Refinery, Ambalamugal 682302, Fax No. 0484-2720803.

24. BPCL reserves the right to withdraw wholly or partially any or all the items set for sale at

any time during the period of contract without assigning any reasons whatsoever. 25. Sale confirmation, Sale Order, Delivery Order, Invoices, Material Gate Passes, etc. will be

released only in the name of the Company that has initially registered and participated in the Auction. There will be no change between the time of registration and completion of all related transactions.

26. The rates offered by the highest bidder (H-1) will remain firm throughout the contract

period. 27. The Buyer shall arrange for all tools and tackles, forklifts or hoists or cranes or labour at

their own expenses. The buyer should also confirm to have read all the general rules as laid by Bharat Petroleum Corporation Limited with regard to employment of labour, for the removal of scrap being sold.

28. While taking delivery of the material, if any damage is caused to the premises or other

machinery lying nearby, the Company shall recover all such costs required to rectify the damage and reinstate same into the original position and stop delivery of the material till all the costs are paid/recovered from the party.

29. EMD shall be forfeited once auctioned rate is accepted by BPCL, and buyer is not ready to

lift the entire lot allotted within the stipulated time period as given in the Letter of

30. Material lifting shall be as per the guidelines of Bharat Petroleum Corporation Limited

only. Buyer shall have no rights to choose / pick the material out of total lot. 31. All other terms and conditions as specified from time to time by Bharat Petroleum

ANNEXURE – B

GENERAL TERMS & CONDITIONS OF ONLINE AUCTION FOR DISPOSAL OF SCRAP MATERIALS

1. All scrap material will be sold in “As is where is” condition and the awardee(s) / buyer(s) will have to pay total value for the materials in advance and remove the entire materials on a ”No Complaint” and “Clean Sweep” basis. The materials will be available for inspection at the site and entry will be permitted on production of the tender forms to the Security / Officer or Staff on duty on the date and time of inspection. Please ensure that you arrive at least an hour before the inspection starting time for our security procedural requirements.

2. Participation in the online auction will mean that the bidder has inspected the facilities

(Materials) at site and fully satisfied himself regarding the condition, sizes, accuracy numerically dimensionally etc. of the items available for sale.

3. Any person, an individual or a proprietor or a partner or an authorized representative

of any company or any legal entity who is paying the requisite EMD and registered at Bharat Petroleum Corporation Limited and who makes or places a bid for and purchases the auction property either in full or part is considered as a bidder. One individual can represent as a bidder on his own behalf and on behalf of other companies provided he registers himself in those capacities separately. For such representation, he should pay separate EMD. Successful bidder is the bidder in whose name confirmation of sale (LOA) is issued by BPCL.

4. Participation and bidding in this e-Auction shall be treated as conclusive evidence of

the fact that the bidder has inspected the items and the documents pertaining to it (if any) and is fully satisfied in all aspects and respects regarding the quality, quantity, condition of the items, taxes and duties applicable and other extraneous factors and the principle of Caveat Emptor (let the buyer beware) will apply. It shall also imply that the bidder has carefully gone through the terms and conditions of the tender/auction including amendments, if any, prevailing at the time of e-Auction. The seller or the service provider will not entertain any complaints or objections, whatsoever, once the bid is placed.

Starting Bid Price and minimum increment amount:

5. The starting bid & minimum increment amount is mentioned in the Annexure-J. BPCL

reserves the right to revise the starting bid price for the lot/item, if deemed fit and necessary, during the auction event.

(a) Minimum increment amount: during the bidding process the parties may quote at

increments equal to or higher than the minimum increment price for the lot over and above the earlier bid. The first quote should be more than the Starting bid price by at least minimum incremental value.

(b) Starting bid price is based on the ‘UNIT’ of the lot mentioned. If the Unit is Lot

basis, the parties have to quote for the full LOT; if the unit is MT, the quotation should for “per MT” only.

(c) In the auction, the parties have to quote only the basic price per Unit, all taxes;

duties and Government levies as applicable at the time of lifting the material will be extra as applicable, to buyers’ account.

(d) As some of the items are put for disposal on ‘LOT’ basis, parties should inspect the material at the location before bidding. No claim about the quantity or quality of material will be entertained on a later date.

6. BIDDER must specifically confirm that they accept the conditions of tenders by signing

the undertaking that “I agree to abide by the terms and conditions of the disposal”. Name and address in block letters along with telephone number if any should be given. All pages of the tender document are to be signed. Tender documents without signature are liable to be rejected outright.

7. Special Note: Bidders are requested to check the Bid Entry in words & figures before

confirming it. Wrong bidding (e.g. bid with an extra digit etc) will lead to forfeiture of Earnest Money Deposit (EMD) and the lot will be re-auctioned and the bidder is liable to be barred from the future bidding if any. In addition the bidder would be liable to be proceeded against for violation of contract, as per contract terms and conditions.

8. The cost of removal and transportation of items offered for sale and clearing the site

including removal of debris to the satisfaction of the company’s representative at site, will be entirely to the successful bidder’s account. The party shall bear all the cost of loading, unloading, packing, carting to the vehicle etc.

9. EMD: An Earnest Money Deposit as mentioned in the tender cover must accompany

each tender. The required amount must be paid by Demand Draft issued by any Nationalized Bank / Scheduled Bank drawn in favour of “Bharat Petroleum Corporation Limited” payable at Ambalamugal or Ernakulam, duly crossed and super scribed “Account Payee only”. Tenders without a Demand Draft towards E.M.D. as above are liable to be rejected outright. Tenders accompanied by Cheque, towards Earnest Money Deposit will not be accepted. No interest is payable for the Earnest Money Deposit amount held by BPCL. The EMD of the highest bidder (H-1 bidder) will be retained by us towards Security Deposit for proper performance of contract and will not be adjusted against the sale proceeds. The successful bidder will be advised the outcome of the tender by a “Letter of Acceptance” and his Earnest Money Deposit will be treated as Security Deposit and refunded on completion of the job to the full satisfaction of the company. The EMD of the H-2 (Second Highest) Bidder will be refunded within 45 days from the date of award of the tender. The EMD of all other parties will be credited to the company account and will be returned within 45 days after the e-auction, by way of fresh cheque issued by Bharat Petroleum Corporation, from Ambalamugal.

10. Security Deposit: Upon issuance of the Letter of Authority for the uplifting of the

material to the successful bidder (H1), the EMD amount will be treated as Security Deposit for the performance of the contract.

11. Refund of EMD: The EMD/Security deposit of the H1 bidder, upon completion of the

disposal process in all respects to the satisfaction of the company will be refunded by way of local Cheque only.

Tax Collection at Source

12. Successful party shall remit TCS @ 1% of the gross value, i.e., the total value inclusive

of basic plus excise duty (if applicable) plus sales tax/VAT. 13. TCS shall not be applicable to manufacturers, who submit declaration in Form 27 C,

copy of which is attached as Annexure – H.

14. TCS shall not be applicable for any item, for which it is mentioned as not applicable

specifically, in the item list.

15. Sales Tax / Surcharge / Contingent deposit for sales tax, if applicable, Central / State Government Acts / Rules, as prevailing at the time of actual lifting of the materials will be entirely borne by the party and will be exclusive of the quoted sale price.

Payment of Sale Proceeds

16. The successful bidder will have to pay the total amount in full, exclusive of earnest

Money Deposit, in a single installment, within 15 days of the issue of the "Letter of Acceptance", failing which appropriate action as deemed fit including cancellation of order/ forfeiture of EMD, will be taken against the bidder. The required amount must be paid by Demand Draft drawn on any Nationalized Bank / Scheduled Bank in favour of "Bharat Petroleum Corporation Limited” payable at Ambalamugal or Ernakulam duly crossed "A/C Payee only". No part payment is allowed.

Letter of Authority 17. Letter of Authority for uplifting the materials will be issued only after the realization of

the Demand Drafts submitted towards sale proceeds and the amount cleared, transferred and credited to BPCL’s account which may take 7 working days from the date of receipt of full payment by way of DD.

18. The items offered for sale will be handed over to the successful bidder by our

representative at site on production of our "Letter of Authority" which will be issued after the total sale price including sales tax etc. is paid. The items will have to be removed and site cleared of debris etc., as per the terms and conditions specified in our "Letter of Authority". In the event the work is not completed within the stipulated date, the same would amount to non-performance of contractual obligations and the company reserves the right to take action against the party as deemed fit.

19. The successful bidder or his persons working to remove the items will have to observe

all safety and security regulations of BPCL in force and will not be allowed to carry lighters, matches inside the premises nor will be allowed to smoke. The Bidders should obtain suitable work permits and hot work permits wherever necessary from the authorities at site. The work will be allowed to be carried out during working hours only. The work shall commence only after obtaining necessary permission (work permit) from the company's representative. The buyer shall ensure that his men employed to carry out the work should observe the rules and regulations pertaining to employees working in the location.

20. Any injuries to workers employed by the successful bidder during removal/transport of

the items sold to him and any risks/liabilities (including under Workmen's Compensation Act etc.) arising out of the same will be the liability of the bidder and not of the company. The successful bidder will keep the company totally indemnified against all damages/claims arising out of the aforesaid. The successful bidder should also indemnify the company against all liabilities/demurrage claims arising out of non-compliance by the bidder of all statutory requirements currently in force or made applicable subsequently.

21. Any damage to company's or third party's property during removal of the items will

have to be made good by the successful bidder at his own cost. The Company

reserves the right to claim from the successful bidder any expenses which might have been incurred by it over and above the Earnest Money Deposit by way of restoring damages caused to properties belonging to the company or third party by the action of the successful bidder or his representatives.

22. Successful Bidder should not sell, transfer or assign the un-removed / un-dismantled

materials to any other party until the materials are removed from the premises of BPCL (Kochi Refinery).

23. Bidders are cautioned/ warned against the use of pipelines/tanks/pumps etc. for

carriage of Drinking Water/Edible Oils/other Products, which have contained leaded gasoline at one time or other even after vigorous cleaning/sand blasting.

24. Items once sold cannot be taken back or exchanged except when it is in the

Company's interest. Should any successful bidder withdraw his bid either prior to our issue of acceptance letter or afterwards, BPCL will be at liberty to resell the items to any person of our choice at the risk and cost of the original successful bidder. Any shortfall in the price received from such a resale, as compared to the original offer will be recovered from the successful bidder. Also the Earnest Money Deposit made by the bidder will be forfeited. However, if the sale proceeds are more than the successful bidder's offer, he will not be entitled for any increased proceeds realized by the Company.

25. The Company reserves the right to accept/reject any bid or to split the award of items

from the tender to suit their convenience without assigning any reasons whatsoever.

26. C Form is acceptable as per applicable rules. Any party, quoting with “C” Form, shall submit the same along with their payment for the material.

27. Only courts in Ernakulam shall have jurisdiction to entertain any application or other

proceedings in respect of anything arising under this tender or the contract.

Removal of Materials:

28. It will be successful purchaser’s responsibility to produce the weighbridge certificate for each vehicle and each lot of material duly witnessed and attested by an authorized representative of BPCL (KR).

29. In order to facilitate the Company to complete the transactions before 16.00 hrs, the

goods should be collected before 15.00 hrs on any normal working day with prior appointment with the concerned Department within the stipulated delivery days.

30. Should the original purchaser wish to take delivery of the scrap material through a

representative, he must authorize the latter by a letter of authority or continuing authority which shall be presented to the Officer concerned. The Officer concerned may, at his entire discretion, decline to act on any such authority and it shall be for the purchaser to satisfy the Officer concerned that the authority is genuine. Delivery to such person shall be sole responsibility of the purchaser and no claim shall lie against the Company on any account whatsoever, if delivery is offered to a wrong person.

31. During the course of the removal of the scrap material if any damage is caused to the

Company’s premises, installations or instruments, the buyer will be entirely held responsible to make good such losses. Till such period the damage is repaired or

compensated to the Company, no delivery of any lot/s purchased by the said bidder will be allowed.

32. Lot sold on accumulated / arranged basis at the auction must be removed by the

purchaser before the stipulated time.

33. Once the goods / materials are taken out of the factory gate, purchaser will be solely responsible for all sort of claims like shortage, missing parts, damage, incident, accident, loss of material etc.

34. BPCL will raise Letter of Acceptance, Letter of Authority and Invoices in the name of

the original purchaser only.

35. Only representative of the purchaser authorized by the Company will be allowed for the loading / handling of the scrap. However if the need arises for additional person, the same may be allowed only at the discretion of the BPCL Management.

Arbitration

36. Any dispute or difference of any nature whatsoever, any claim, cross-claim, counter-

claim or set off of the Corporation against the Contractor or regarding any right, liability, act, omission on account of any of the parties hereto arising out of or in relation to his agreement shall be referred to the sole Arbitration of the Director (Refinery) of the corporation or of some officer of the Corporation who may be nominated by the Director (Refinery). The Contractor will not be entitled to raise any objection to any such arbitrator on the ground that the arbitrator is an Officer of the Corporation or that he has dealt with the matters to which the contract relates or that in the course of his duties as an Officer of the Corporation he had expressed views on all or any other matters in dispute or difference. In the event of the arbitrator to whom the matter is originally referred being transferred or vacating his office or being unable to act for any reason, the Director (Refinery) as aforesaid at the time of such transfer, vacation of office Or inability to act may in the discretion of the Director (Refinery) designate another person to act as arbitrator in accordance with the terms of the agreement to the end and intent that the original Arbitrator shall be entitled to continue the arbitration proceedings not withstanding his transfer or vacation or office as an Officer of the Corporation if the Director (Refinery) does not designate another person to act as arbitrator on such transfer, vacation of office or inability of original arbitrator. Such persons shall be entitled to proceed with the reference from the point at which it was left by his predecessor. It is also a term of this contract that no person other than the Director (Refinery) or a person nominated by such Director (Refinery) of the Corporation as aforesaid shall act as arbitrator, hereunder. The award of the arbitrator so appointed shall be final conclusive and binding on all parties to the agreement subject to the provisions of the Arbitration and Conciliation Act, 1996 or any statutory modification or re-enactment thereof and the rules made there under for the time being in force shall apply to the arbitration proceedings under this clause.

37. The arbitrator shall have power to order and direct either of the parties to abide by,

observe and perform all such directions as the arbitrator may think fit having regard to the matters in difference i.e. dispute before him. The arbitrator shall have all summary powers and may take such evidence oral and/or documentary, as the arbitrator in his absolute discretion thinks fit and shall be entitled to exercise all powers under the Arbitration and Conciliation Act, 1996 including admission of any affidavit as evidence concerning the matter in difference i.e. dispute before him.

38. The parties against whom the arbitration proceedings have been intimated, that is to say the Respondents in the proceedings, shall be entitled to prefer a cross-claim, counter-claim or set off before the Arbitrator in respect of any matter an issue arising out of or in relation to the Agreement without seeking a formal reference of arbitration to the Director (Refinery) for such counter-claim, cross or set off and the Arbitrator shall be entitled to consider and deal with the same as if the matters arising there from has been referred to him origin and deemed to form part of the reference made by the Director (Refinery).

39. The arbitrator shall be at liberty to appoint, if necessary any accountant or engineers

other technical person to assist him and to act by the opinion so taken.

40. The arbitrator shall have power to make one or more awards whether interim or otherwise in respect of the dispute and difference and in particular will be entitled to make separate awards in respect of claims or cross-claims of the parties.

41. The arbitrator shall be entitled to direct any one of the parties to pay the costs of the

other party in such manner and to such extent as the arbitrator may in his discretion detent and shall also be entitled to require one or both the parties to deposit funds in such proportion to meet the arbitrators expenses whenever called upon to do so.

42. The parties hereby agree that the courts in the city of Ernakulam alone shall have

jurisdiction to entertain any application or other proceedings in respect of anything arising under agreement and any award or awards made by the Sole Arbitrator hereunder shall be in the concerned courts in the city of Ernakulam only.

Termination of Contract

43. The Company reserves the right to terminate the contract at any time by giving three

days notice on the following grounds:

• Unsatisfactory execution or performance of the contract by the Purchaser. • For improper behavior of the Purchaser or breach of the terms and conditions of

the contract. • The Purchaser shall not be entitled to resell any lot or part of a lot while the goods

are still lying within the premises of the Company and no delivery would be effected by the Company to any person other than the Purchaser whose names are mentioned in the delivery order.

• The Company will in no way be responsible for any accident, damage or injury to the contract’s workman or equipment while on BPCL site premises.

ANNEXURE – C

SPECIFIC TERMS & CONDITIONS OF e-Auction

1. In the case of scrap disposal, only one Letter of Award of Sale for the entire quantity of the material meant for disposal to the bidder will be given to the successful bidder.

2. Any party, seeking exemption from payment of EMD, as SSI units, shall comply with all

the following conditions to be eligible for exemption:

(a) The SSI unit should be registered with National Small Scale Industrial Corporation Ltd.

(b) The unit should be registered for the item tendered.

(c) The monetary limit indicated in NSIC registration certificate should cover the

value of the items tendered.

(d) Registration Certificate should be valid as on date.

(e) Photostat copy of valid NSIC registration certificate duly attested by a notary should be submitted in support.

* Only parties satisfying all the above points will be considered eligible for EMD

exemption and any offer not satisfying any one of the above criteria and seeking EMD exemption shall be summarily rejected.

3. All taxes including sales tax or other levies entailing on transaction under any

provincial, local or central statute in force for the time being or enforced hereafter & having its impact on the transaction will be to bidder’s account and shall be deposited by them along with the cost of materials.

4. The rates of sales tax/ surcharge indicated in the tender documents are the current

rates. However, whatever rate of excise duty/sales tax/other levies if any be assessed/ applicable on the date of actual removal/lifting of materials shall be paid by the buyer(s).

5. The buyer(s) will be responsible to comply with provisions of Central & State, Excise/

Sales Tax Act of concerned state and rules framed there under and also by the order or instruction issued on this behalf by the appropriate authority.

6. For interstate transactions, “C” Form is acceptable, if applicable. However, all the

parties quoting based on “C” Form will have to specify the same in the tender documents submitted at the time of registration and shall submit the “C” Forms along with the payment for the material, to BPCL (KR), Ambalamugal.

7. In the event of any dispute with regard to sales tax/Excise duty and any additional

charges, if any, payable as per rules/Act, such duties/charges shall be payable by the buyers. Any penalty imposed by the Sales Tax/Excise authorities for non-compliance of procedure by the buyers shall be borne by them.

8. Your offer should be valid for 45 days from the date of the e-auction. If any dispute is raised for any reason whatsoever, by the successful H1 bidder, the validity of his offer will remain firm till the resolution of dispute which may be more than 45 days from the date of e-auction and their EMD shall be held during the period.

ANNEXURE – D

e-AUCTION GUIDELINES

1. Bharat Petroleum Corporation Limited shall finalize the disposal of the items (lots) against this tender through e-auction mode. BPCL has made arrangements with Messrs. C1 India Private Limited, New Delhi, who shall be BPCL’s authorized service provider for the same. Please go through the guidelines given below and submit your acceptance to the same.

2. e-Auction shall be conducted by Bharat Petroleum Corporation Limited on pre-

specified date and time at which the bidders shall be quoting from their own offices/places of their choice. Internet connectivity shall have to be ensured by the bidders themselves. In extreme case of failure of internet connectivity (due to any reason whatsoever), it is the bidders” responsibility/decision to send fax communication immediately to Messrs. C1 India Private Limited, New Delhi, furnishing the price the bidder wants to bid on line with a request to upload the faxed price on line so that the service provider will upload that price on line on behalf of the bidder. It shall be noted clearly that the concerned bidder communicating this price has to solely ensure that the fax message is received by the service provider in a readable/legible form and also the bidder should simultaneously check up about the clear receipt of the faxed price. It shall also be clearly understood that the bidder shall be at liberty to send such fax communication of prices to be uploaded only within the closure of bid time for that particular item/lot and under no circumstances it shall be allowed beyond the closure of the bid time for that particular item/lot. It shall also be noted that the service provider should be given a reasonable time by the bidders to upload such prices online and if such required time is not available at the time of receipt of the fax message from the bidders, the service provider will not be uploading the prices and neither BPCL nor the service provider will be responsible for this unforeseen circumstances.

In order to ward off such contingent situation, bidders are requested to make all the necessary arrangements/alternatives whatever required so that they are able to circumvent such situations and still be able to participate in the e-Auction successfully. Failure of power at the premises of the bidders during the e-Auction cannot be a cause for not participating in the e-Auction. On account of this, the time of e-Auction cannot be extended and neither BPCL nor the service provider will be responsible for such events.

3. Messrs. C1 India Private Limited shall arrange to train your nominated persons

without any cost to you after the submission of the required documents and the EMD amount.

4. Starting Bid Price / Bid Increment: The opening price and the bid increment value

for the respective item/lot has been mentioned in Annexure J. BPCL reserves the right to revise the start bid price at the time of e-Auction.

5. Bidding Currency and Unit of Measurement: Bidding and evaluation will be conducted in Indian Rupee (INR) for the item/lot. The price bid placed during the e-Auction shall be rate per unit against each item/lot as given in Annexure J.

6. At the end of the e-Auction the bidder has to provide the price confirmation for his valid highest offer submitted in the e-Auction as per BPCL format (Annexure –G) immediately after the completion of e-Auction (within two working days).

7. Procedure of e-Auction:

(a) The start bid price and increment price have been mentioned in Annexure J

which shall be visible to all the bidders on their respective bidding screen for each item/lot for which they are qualified to bid. Please note that the first bid that comes in the system should be equal to the start price plus one increment or higher than the increment value for each item/lot. The second on-line bid onwards for any particular lot/item will have to be higher than the H-1 rate by the minimum increment value or higher than the increment value for the item.

(b) E-Auction shall be for a period as mentioned in the tender documents for all the

items/lots in this e-auction. If a bidder places a bid in the last three minutes of closing of the e-auction and if that bid gets accepted, then the duration of that particular lot/item shall get automatically extended for another three minutes after the auction close time. Please note that the auto-extension will take place only if a bid comes in those last three minutes and if that gets accepted. If the bid does not get accepted, the auto-extension will not take place even if that bid might have come in the last three minutes. In case, there is no bid in the last three minutes of closing of any particular item/lot, the time shall get closed automatically without any extension for that particular lot/item. However, bidders are advised not to wait till the last minute or last few seconds to enter their bid during the auto-extension period to avoid complications related with internet connectivity, network problems, system crash down, power failure, etc.

(c) Auto Bidding: Auto bidding feature is a feature to safeguard the bidders’

interest of any internet failure or to avoid last minute rush. This feature allows bidders to place an automated bid against other bidders in an auction for each lot/item and bid without having to enter a new amount each time a competing bidder submits a new offer for any particular lot.

The bid amount that a bidder enters is the maximum at that point of time that the bidder is willing to offer for a particular item/lot. Here the software bids on behalf of the bidder.

* The auto-bid amount is the maximum amount that the bidder is willing

to offer. During the course of bidding, the bidder cannot delete or change the amount of an auto-bid.

* Bids are submitted in increments (increasing bid amounts). The

application automates auto bidding by processing auto bids automatically, according to the increment BPCL originally establishes when creating the auction, submitting offer to the next bid increment each time a competing bidder bids, regardless if competing bids are submitted as auto or manual bids.

* This feature can be used only once for a particular lot/item during a particular e-auction and only after the H-1 rate is equal to or higher than the maximum bid amount that the bidder has put in the system or when the auto bidder is not the H-1 bidder, will he get the option to further manually bid for the same.

(d) Successful bidder shall be required to submit the final prices quoted during the

e-Auction in the format provided after the completion of the e-auction to Messrs. Bharat Petroleum Corporation Limited, (Kochi Refinery), Ambalamugal 682 302, Ernakulam District, Kerala, duly signed and stamped as token of acceptance without any new condition other than those already agreed to before start of auction immediately after the completion of the e-auction.

(e) Your bid will be taken as an offer to collect the items mentioned in that

particular lot. Bids once made by you cannot be cancelled / withdrawn and you shall be bound to take delivery of the item as mentioned in the tender document at your final bid price. Should you back out and not agree to as per the final rates quoted, BPCL shall take action as appropriate, including forfeiture of the EMD and further actions as provided in the contract.

(f) After the receipt of EMD and other required documents, the bidder shall be

assigned a unique user name and password by Messrs. C1 India Private Limited, New Delhi. The bidders are advised to change the password and edit the information in the registration page after receipt of initial password from Messrs. C1 India Private Limited to ensure confidentiality. All bids made from the log-in ID given to them will be deemed to have been made by their company.

(g) The bidders will be able to view the following on their screen along with the

necessary fields in the e-Auction.

(i) Highest bid (H-1 unit rate) in the auction for the lots for which they are qualified to bid.

(ii) Bid placed by them (unit rate) (iii) Their own rank (H1, H2, H3…etc where H1 would be the highest bidder,

H2 would be the second highest bidder and so on). (iv) Opening unit price and bid increment value for each lot/item.

(h) At the end of the e-auction BPCL will decide on the awardee. The decision of

BPCL in this matter of award shall be final and binding. (i) BPCL shall be at liberty to cancel the e-auction process at any time before

disposing, without assigning any reason whatsoever. (j) BPCL or the service provider shall not have any liability to the bidders for any

interruption or delay in access to the site, irrespective of the cause. (k) Other Terms and Conditions

* The bidder shall not involve himself or any of his representatives in price

manipulation of any kind, directly or indirectly by communicating with other bidder(s).

including damages that may result from, but are not limited to negligence.

6. During the Auction, the current highest bid of the bidder, the bid status and the bid history can be viewed on

the screen at all times. Bids can be placed at the specified time mentioned during the auction day.

7. For Auto-bid, click on the “Auto Bid” icon related to the item you want to bid. It will open for a small window where you can place your “auto bid”. The starting bid amount in “Lower Limit” text box will be either the opening price + One increment or the H-1 price at that point of time. Enter the maximum amount in the “Upper Limit” text box.
