BE IT RESOLVED that the Bernards Township Board of Education shall meet in closed session to discuss the following: review of qualifications of persons under consideration for employment; matters pertaining to specific personnel; and further BE IT RESOLVED that the matters discussed in closed session will be disclosed to the public as soon as and to the extent that such disclosure can be made without adversely affecting the public interest or without violation of the confidentiality of personnel.

On motion by Ms. Stevens, seconded by Ms. Woolford, and approved by all present, the Board recessed into closed executive session at 6:01 p.m. On motion by Ms. Stevens, seconded by Ms. Woolford, and approved by all present, the Board returned to public session at 7:15 p.m. The Board reconvened the regular meeting in the William Annin Middle School Auditorium at 7:18 p.m. IV. Room V. Statement of Public Notice This was a regular Meeting of the Board of Education of Bernards Township. Notice of the time and place of this meeting was provided and copies of that resolution were forwarded to the official newspapers as designated by the Board of Education and to the Township Clerk and a copy of the notice was posted on the bulletin board of the Board of Education Offices in accordance with P.L. 1975 Chapter 231A.

We very much welcome input from the public. There are two times during regular meetings that the public is invited to speak. One time is early in the meeting before the Board votes, and you may speak about any item that is listed on tonight’s agenda. Towards the end of the meeting, there is another public forum to address any topic whatsoever. During tonight’s meeting, we have a third opportunity for public comment on the contract amendments of the Superintendent and Assistant Superintendent. When you approach the microphone, please state your name and address. We do not have a specific time limit, but we ask that you keep your comments brief. Please understand that our public forums are not structured as question and answer sessions, but rather they are offered as opportunities to share your thoughts with the Board. In instances where the Board feels that there is a misunderstanding or inaccuracy, a member of the Board or Administration will address it in the Board Response portion of the agenda. There are times when a member of the public makes a comment or asks a question about an employee. New Jersey statute does not permit us to discuss personnel issues in public. Also as a matter of law, a Board of Education may only vote for or against the hiring of an employee upon the recommendation of the superintendent. If the superintendent does not recommend a person, that person’s name is not listed on the agenda and there is no vote on that action. If it is necessary for the Board to go into executive session at the end of the meeting, we will provide an estimated length of time for the session and whether any action is anticipated to be taken upon returning to public session.

VI. Student Representative’s Report VII. Superintendent’s Report 1) Ridge High and William Annin Middle Schools Junior Classic League - School Principal Frank Howlett & Advisor Joshua Gebhardt

Mr. Howlett introduced Latin Club Advisor Joshua Gebhardt who spoke on the accomplishments and introduced the students who participated in the Latin Bowl Quiz. He explained the structure of the contest and the degree of difficulty in not only competing but in trying out for the team. Mr. Gebhardt acknowledged the following students: Latin I – Patrick Barrett, Bernards Lin, John Morrow, Jay Patel Latin II – Rohum Pai, Kevin Shia, John Simmons, Vanessa Tan VIII. Construction Management Update – Dan Del Mar Epic Management, Inc. A “picture” presentation showing the progress of the construction project to date and the upcoming next stage was shown. In response to questions, Dan Del Mar informed the Board and public that Ridge High School was ahead of schedule and the elementary and middle schools were on target. He foresees no issue with completion prior to the start of school. Window replacement is completed at the buildings with the exception of four windows not part of the original plan. IX. Superintendent’s Report continued 2) Three-Year Technology Plan 2007-2010 – Technology Manager Jim Rollo & Supervisor of Science & Technology Brian Heineman Brian Heineman and Jim Rollo presented a PowerPoint highlighting the three-year technology plan. Covered during this presentation was the impact on students, cost of plan and its implementation, guidelines in place for cost controls, student achievement through technology, community value (emphasized was the generosity of the district’s PTOs having contributed $200,000 over the past year), the impact on the district’s rigor and relevance plan, examples of integrating technology in classroom instruction, and compliance for E-Rate funding. Also discussed was the impact on instruction in the event technology did not continue to move forward. Technology goals included in the plan are: educators access to technology tools teachers working together K-12 – sharing Best Practices meeting the goals of Rigor & Relevance staff training through staff college – skills & knowledge needed to utilize program

(over 250 hours of professional development scheduled over the summer) Comments were made on voice technology, network connections in the classroom, availability of open source software for schools, grant funding, E-Rate funding, type of

safeguards and security being utilized, and equity between schools. X. Public Hearing on Contract Amendments of the Superintendent and Assistant Superintendent President William Koch read the following statement: In accordance with the provisions of Assembly Bill A-5, Boards of Education must give the public 30 days notice and allow time for public comment before amending the contracts of superintendents and assistant superintendents. Notice was provided to the Bernardsville News, Courier News and Bernards Township Municipal Offices on May 4, 2007. The Board, pursuant to N.J.S.A. 10:4-12(b), the Open Public Meetings Act, shall not publicly discuss personnel matters and shall not respond to comments made by the public; however, the Board will give all comments appropriate consideration. Please be aware that the subject of this hearing retains the right of privacy and shall retain all rights regarding defamation and slander according to the laws of New Jersey. The Board shall not be held liable for comments made by members of the public. Public Comment Comments were made regarding payment for accumulated sick days, percentage of salary increase, length of contract, cost of living increase, explanation of car allowance, the quality of the schools in Bernards Township and progress made during the tenure of Dr. Goger. BE IT RESOLVED THAT 1) The Bernards Township Board of Education does hereby amend the employment contracts of the Superintendent and Assistant Superintendent as follows: Name: Salary: Effective Dates: Valerie A. Goger $188,100 July 1, 2007 – June 30, 2008 Regina Rudolph $157,500 July 1, 2007 – June 30, 2008 Payment of $44 per diem to a maximum of $8,800 for accumulated personal illness days at retirement. Public Forum on Agenda Items Comments were made on the position of newspaper advisor at Ridge High School for the 2007-08 school year and the recent success of the Devil’s Advocate, change orders (to be reviewed during Finance Committee portion of agenda), teacher negotiations, and random drug testing of students. XII. Board Response Analysis of a random drug testing program is currently being conducted. Before being instituted a presentation will be made and a policy developed. XIII. Approval of Minutes May 14, 2007 – Regular Session May 14, 2007 – Executive Session On motion by Ms. Carlsson, seconded by Ms. Winter, the foregoing was approved by all present. XIV. Committee Reports FINANCE BE IT RESOLVED THAT 1) The Bernards Township Board of Education does hereby approve a list of disbursements dated June 18, 2007 consisting of warrants in the amount of $13,019,270.68. 2) The Bernards Township Board of Education acknowledges receipt of May 2007 Financial Reports from the Board Secretary, the May 2007 Board Secretary’s Monthly Certification of Budgetary Line Item Status, the monthly Investment Report for May 2007; and further, BE IT RESOLVED that pursuant to N.J.A.C.6: 20-2.13(e), the Bernards Township Board of Education, after review of the Secretary’s Monthly Financial Report and upon consultation with the appropriate district officials, and to the best of their knowledge, certifies that as of the date of the Secretary’s Monthly Financial Report, no major account or fund has been over expended and that sufficient funds are available to meet the district’s financial obligations for the remainder of the fiscal year.

9) The Bernards Township Board of Education does hereby acknowledge receipt of the following bids for a front-end loader: Company: Bid: Garden State Bobcat $46,955.28 Foley CAT 242-B $45,458.26 10) The Bernards Township Board of Education does hereby award a contract to Foley Inc., 855 Centennial Avenue, Piscataway, NJ 08855 as the lowest responsible bidder for the purchase of a CAT 242-B Skid Steer Loader in the amount of $45,485.26. 11) The Bernards Township Board of Education does hereby accept a donation in the amount of $34,000 from the Mount Prospect School PTO for purchase of technology equipment. 12) The Bernards Township Board of Education does hereby accept a donation in the amount of $64,900 from the Liberty Corner School PTO for purchase of technology equipment. 13) The Bernards Township Board of Education does hereby adopt the following resolution: WHEREAS, at a bond referendum (the “Referendum”) held on September 27, 2005, the Board of Education of the Township of Bernards (the “Board”) in the County of Somerset, New Jersey (the “State”) received approval from the voters to undertake a school facilities project (the “Project”) at a cost not to exceed $54,145,091; and WHEREAS, the “State Share” of such Project costs is 17.5% and the “Local Share” is 82.5% all as set forth in the Preliminary Eligible Cost letters in connection therewith; and WHEREAS, such State Share, if provided in the form of a grant, would be an amount equal to $9,496,452 and, if provided in the form of debt service aid, would be 17.5% of the annual debt service of the Board’s bonds issued to fund the Project; and WHEREAS, just prior to and at the time of the Referendum, the State was uncertain as to whether the State would have grant funds available to fund such State Share in the form of a grant; and WHEREAS, on December 13, 2005, the Board issued $44,648,000 principal amount of bonds (the “2005 Bonds”) representing the Local Share of the Project; and

WHEREAS, at the time of issuance of the 2005 Bonds, the Board did not issue additional bonds in the amount of the State Share in the event that grant funds would be available to the Board; and WHEREAS, since the time of the Referendum, the State has indicated that there are no longer any grant funds available, that there has been no State appropriation of additional grant funds and that there is no pending appropriation of grant funds; and WHEREAS, it has become clear that grant funding is not available to the Board, and therefore, the Board seeks to elect to have the State pay the State Share through debt service aid. NOW, THEREFORE, BE IT RESOLVED BY THE BOARD THAT:

1. The Board hereby elects to receive the State Share on the Project in the form of debt service aid on the 2005 Bonds and the bonds to be issued to fund the remainder of the Project.

2. The Business Administrator is hereby directed to inform the New Jersey

Department of Education of this election.

3. This resolution shall take effect immediately.

14) The Bernards Township Board of Education does hereby determine the form and other details of the $6,500,000 aggregate principal amount of school bonds, series 2007 of the Board of Education of the Township of Bernards in the County of Somerset, New Jersey, providing for their sale and determining other matters in connection therewith. On motion by Ms. Smith, seconded by Mr. Byrne, Items #1-14 were approved by the following roll call vote: “Ayes” - Mr. Byrne, Ms. Carlsson, Mr. Carlucci, Ms. McGowan, Ms. Smith, Ms. Stevens, Ms. Winter, Ms. Woolford, Mr. Koch “Noes” - None “Abstain” - None Chairperson Janet Smith provided an explanation of the state’s debt service aid payment vs. lump sum and the sale of school bonds. $3,000,000 less in bond offering will be made. If in the future additional funds are required, this amount will be available for funding. The procedure for reviewing change orders by the Facilities Committee prior to

appearing on the agenda was reviewed. Comments were made regarding the generous donations made by the PTOs, uses for front-end loader, and status of tennis courts (fall tennis will utilize the courts at the The Hills, the Pleasant Valley complex will be constructed in fall 2007). Public Forum on Other Than Agenda Items Comments were made on the proposed random drug testing, payment of unused sick days, payment by district for criminal history background check and proposed legislation on a two-year mandatory criminal history review of all employees. XVI. Board Forum Comments were made on a school district having the option to pay criminal history background checks, AP courses teaching current events and use of software in courses, the summer reading program, recent 5th grade SEM presentations, committee minutes, and Board open item list (Ms. Winter will distribute list for review). Ms. Carlson updated the Board on the Community Relations Committee recent meeting in Trenton. Mr. Carlucci reported on the discussion of solar energy and the access road at Ridge High held at the recent Facilities Committee.
