Mergers and Acquisition ▶ Acting for Milicom International Cellular, in

connection with the acquisition of 85% stake in Zanzibar Telecom from Etisalat Group.

▶ Advising CDC Group in connection with the Tanzanian-law aspects of its proposed USD 140 million investment in ARM Cement, a company listed on the Nairobi Stock Exchange and a producer of cement, lime and fertilizer, with operations and mining concessions in

Kenya, Tanzania and Rwanda.

▶ Acting for WS Atkins International, a leading global design, engineering and project management consultancy, in connection with its acquisition of 100% of Howard Humphreys East Africa, an engineering consulting firm based in Kenya, and its wholly-owned subsidiary in Tanzania.

Banking and Finance ▶ Acting for Africa Export-Import Bank, the

main lender and various co-financiers, in connection with a USD 315 million multi-jurisdictional syndicated debt facility to the Smile Group of companies dealing with 4G LTE broadband networks.

▶ Acting for African Export-Import Bank, Industrial Development Corporation and the Development Bank of Southern Africa, in

connection with the provision of USD 195 million multi-jurisdictional syndicated debt facility to the Smile Group of companies dealing with 4G LTE broadband networks.

▶ Advising Barclays Bank Tanzania, in connection with its TZS 30 billion Medium Term Note Programme listed on the Dar es Salaam Stock Exchange.

Real Estate ▶ Acting as lead counsel for China Road

and Bridge Corporation, an international enterprise engaged in the construction of large infrastructure and investment business worldwide, in connection with the acquisition of land for commercial purposes.

▶ Acting for Mohammed Enterprises Tanzania (METL), a Tanzanian home-grown company worth more than USD 1 billion with a presence in 11 countries in Africa, in connection with the acquisition of METL’s property to operate an Inland Container Depot Terminal by Black Ivya, an U.S. based investment vehicle.

Oil and Gas ▶ Acting for Woodside Energy, an Australian

oil and gas company with a global presence, recognised for its world-class capabilities, in connection with the acquisition of 70% of the participating interest in the Lake Tanganyika South onshore oil and gas block, Tanzania Petroleum Development Corporation.

▶ Acting for China National Off-Shore Oil Corporation, the third-largest national oil company in China, in connection with

their acquisition of Tanzania Petroleum Development Corporation

▶ Advising Otto Energy, a company that explores, develops, and produces oil and gas primarily in the Philippines and East Africa, in connection with its farm out of 25% participating interest in Kilosa-Kilombero contract area under the relevant production sharing agreement.

Mining ▶ Acting for Votorantim Metals South Africa,

a company responsible for the metals and mining operations of the Votorantim Group, in connection with proposed option and joint venture agreement with respect to rights to prospect for minerals, such as nickel in Tanzania.

Insurance ▶ Acting for Gras Savoye, an international

insurance company, including undertaking a detailed due diligence, obtaining Fair Competition Commission and Tanzania Insurance Regulatory Authority approval.

▶ Advising Reliance Insurance Company (Tanzania), on the proposed acquisition of shares in a property company, including providing an opinion on the regulatory requirement, undertaking due diligence and investigations.

▶ Acting for a large international insurance broker on its proposed acquisition of a Tanzanian insurance broker, including undertaking due diligence investigations, drafting and negotiating the transactions documents, obtaining anti-trust clearance and consent from the Tanzania Insurance Regulatory Authority.

Asha-Sabrina is a Senior Associate at ATZ Law Chambers. She is a qualifi¬ed lawyer in England and in Tanzania, and a qualifi¬ed Arbitrator with the Tanzania Institute of Arbitrators. Sabrina has considerable experience in a wide range of practice areas, including banking and debt finance, energy, oil and gas, mining, private equity, corporate and commercial. She has contributed to streamlining Tanzania’s business laws by consulting on Tanzanian business licensing and registration requirements. She has previously worked at Clyde & Co and Taylor Wessing. Sabrina is also a member of the British Business Group in Tanzania

Femi is a consultant for ATZ Law Chambers. His areas of expertise include, court advocacy, human rights, legal training, litigation, public law, and regulatory matters. He recently founded the Legal Expertise Access Platform (LEAP), a socio-legal, expertise access, knowledge sharing, networking hub for Africa, in support of the rule of law.
