BYLAWS of the ATLANTA DERMATOLOGICAL ASSOCIATION

ARTICLE I. NAME

The name of this organization shall be the Atlanta Dermatological Association.

ARTICLE II. PURPOSE The purposes of the Association are to promote the highest possible standards of clinical practice, education, and research in dermatologic medicine, surgery, and related disciplines; to promote the public interest relating to dermatology; and to provide a forum for the discussion of medical and practice-related problems. This organization is an independent, tax-exempt Section 501 (c) (3), non-profit entity.

ARTICLE III. MEMBERSHIP Section 1. Eligibility. Members shall be licensed physicians who are certified by the American Board of Dermatology or who have completed three years of a dermatology residency accredited to the American Board of Dermatology. Section 2. Classes of Membership. A. Regular members shall be dermatologists practicing in the greater Atlanta area. Only regular members are eligible to vote and hold office in the Association. B. Associate members shall be 1. Dermatologists outside the greater Atlanta area 2. Dermatologists in the greater Atlanta area who are not currently engaged in the practice of dermatology C. Senior membership shall be available to members who are 65 or older and in partial or full retirement from the practice of dermatology. D. Honorary membership may be conferred on any distinguished person upon recommendation by the Executive Committee and a ¾ vote of members present and voting. E. Affiliate membership shall be available to 1. Physicians in allied disciplines who have a special interest in dermatology 2. Non-physician scientists with a special interest and knowledge in dermatology or a related sub-specialty. F. Resident membership will be available to physicians in training in an approved dermatology residency program. Section 3. Election to Membership. An applicant for membership must submit a completed application form to the secretary-treasurer and attend at least one meeting prior to the meeting at which the applicant is voted upon. Election to membership shall require a ¾ vote of members present and voting. Section 4. Resignation and Reinstatement. A member may resign his membership at any time by written notice to the secretary-treasurer. To be reinstated, a member must reapply for admission to the Association. Section 5. Disciplinary Procedure. Members shall abide by the bylaws, policies and standing rules, and the Code of Ethics of the Atlanta Dermatological Association in concordance with Ethics in Medical Practice - American Academy of Dermatology - September 1992. Members may be disciplined for infractions as outlined in Article IV, Section 7 & Section 8 of the Bylaws of the American Academy of Dermatology (1989 update).

Members may be terminated by a majority vote when: a. The individual no longer satisfies all current eligibility requirements b. The individual violates the Bylaws, administrative regulations or Code of Ethics c. The individual has failed to pay applicable dues as outlined in the Bylaws d. The continuation of the affiliation would reflect adversely on the Association. Section 6. The will of the membership as determined by a majority vote (unless otherwise specified) will determine the actions of the Association.

ARTICLE IV. MEETINGS Section 1. Regular meetings shall be held the third Tuesday of every month, unless otherwise ordered by the Executive Committee. Section 2. Annual Meeting. The regular meeting in November shall be the Annual Meeting. Section 3. Special meeting may be called by the President or by the Executive Board with seven days written notice. The purpose of the meeting shall be stated in the call. Section 4. Clinical sessions. The Executive Committee shall schedule formal clinical sessions at regular intervals during the year. Section 5. Quorum. Twenty-five regular members shall constitute a forum for business to be conducted. Section 6. Voting by proxy or by mail shall be allowed only when specifically indicated by the Executive Committee.

ARTICLE V. OFFICERS

Section 1. The officers of this Association shall be president, a president-elect, a secretary, a treasurer, and two immediate past-presidents. These officers shall perform the duties prescribed by these bylaws and by the parliamentary authority adopted by the Association. Section 2. Terms of office. The secretary and treasurer shall be elected every other year and serve staggered two years terms. Each will then serve as president for one year. Section 3. Election shall be by voice vote if there is only one nominee per office; if there is more than one nominee for any office, voting for that office shall be by ballot. A majority vote shall elect. Section 4. Vacancies. A vacancy in any office shall be filled by a vote of the members at the next regular meeting.

ARTICLE VI. EXECUTIVE COMMITTEE Section 1. Composition. The elected officers shall constitute the Executive Committee. The Executive Committee shall have general supervision of the affairs of the Association between its business meetings, and shall perform such other duties as are specified by these bylaws. Section 2. Meetings and quorum. The Executive Committee shall meet at the call of the President or any three officers. Four members shall constitute a quorum.

ARTICLE VII. ADMINISTRATIVE REGULATIONS Section 1. Establishment. The Association shall by majority vote establish a body of administrative regulations to determine operational policies concerning such matters as are specifically required by these bylaws. Section 2. Publication. The administrative regulations shall be published in conjunction with the bylaws in the annual membership roster.

Section 3. Amendment. The administrative regulations may be amended by a majority vote.

ARTICLE VIII. DUES AND ASSESSMENTS Section 1. The fiscal year shall be the calendar year. Section 2. Dues shall be determined at the Annual Meeting. A ¾ vote shall be required to change the existing dues. Section 3. Dues are payable on or before March 1 of each year. The secretary or treasurer shall notify non-paid members by April 1, and those whose dues are not paid by May 1 shall be automatically dropped from membership. Section 4. Dues for new members admitted during the year shall be prorated according to the number of months remaining in the year. Section 5. Assessments may be levied on the members of the Association from time to time upon the recommendation of the Executive Committee and the affirmative vote of a majority of the membership. This committee shall have the authority to review the quality, cost, and utilization of dermatologic services and to recommend corrective measures when necessary. This committee shall follow specific guidelines adopted by the Association. Section 11. Such other committees, standing or special, may be created by the President, the Executive Committee, or the Association from time to time as necessary. The President shall be an ex-officio member of all committees except the Nominating Committee. Section 12. Committees may be established by the President or Executive Committee as needed.

ARTICLE IX. PARLIAMENTARY AUTHORITY The rules contained in the current edition of Robert’s Rules of Order Newly Revised shall govern the Association in all cases to which they are applicable and in which they are not inconsistent with these bylaws and any special rules of order the Association may adopt.

ARTICLE X. AMENDMENT OF BYLAWS These bylaws may be amended by a 2/3 vote at any meeting of the Association provided thirty days written notice of the amendment has been sent to each member.

ARTICLE XI. DISSOLUTION In the event this Association disbands, after all duties and obligations have been met, monies remaining in the treasury shall be given to a non-profit, medically related organization. Special consideration will be given to the Dermatology Foundation of Greater Atlanta.

ADMINISTRATIVE REGULATIONS MEMBERS

1. Each new regular member shall be required to make a presentation at a regular monthly meeting within one year of their election to membership.

2. A member who resides in and practices Dermatology in the greater Atlanta area during the period between his resignation and reinstatement shall be required to pay any assessments that were levied during the period when he was not a member.

3. The greater Atlanta area shall be interpreted as within 30 miles of downtown Atlanta. 4. Dermatopathologists who are dermatologists shall be accepted as regular members. Dermatopathologists who are

not dermatologists will be accepted as affiliate members. 5. Veterinary dermatologists shall be accepted as affiliate members. 6. Osteopathic dermatologists shall be accepted as affiliate members. 7. Members shall notify the Executive Committee of any change in their status which may affect their membership.

DUES Basic dues are as follows and include listing in the roster and on the web site. Basic dues require an email address so that all communications can be sent electronically.

• $200.00 – Regular, Affiliate, and Associate members • $ 50.00 - Physicians in Training in the Atlanta area • $ 50.00 - Senior members (do not vote at business meetings) • No dues - Honorary members and physicians in training outside the Atlanta area.

Full dues paying members can attend all meetings without charge unless otherwise specified. MEETINGS

1. The Association may charge fees for meetings or social events in whatever manner it shall deem appropriate. 2. The cost of meals at a regular monthly meeting shall be paid for on an individual basis except for full dues paying

members. 3. Written minutes shall be kept of all meetings by the Secretary-Treasurer or a designee. 4. There shall be two (2) clinical sessions per year which will be held on the third Saturday of January and the

second Saturday of September in addition to Emory Day which is scheduled by the Emory Department of Dermatology.

MEETING NOTICES Monthly dinner meeting notices are sent to all Regular, Associate, and Resident members who may attend without charge. Notices of the monthly dinner meetings are sent to Senior, Affiliate, and Honorary members who may attend but will pay the cost of the dinner. Weekend clinical meeting notices are sent to all members and all may attend without charge.

• Send out meeting notices, roster changes, and dues notices by email. • Receive RSVPs and reserve proper dining reservations. Meeting notices go out three weeks in advance

and dues notices are sent at the beginning of the calendar year. • Reserve meeting space and presentation needs. • CME sign in, evaluation and mailing of green cards to AAD for each meeting. • For Tri-Annual meetings, receive patient protocols and have protocols printed for distribution at the

meetings. Plan for both breakfast and lunch. • Compile roster changes throughout the year and publish roster in April of each year. Make changes on

web site within 4 weeks of receipt. • Manage all communications to membership. Keep meeting notices on file. • Plan holiday party by making reservations for appropriate location and catering.

1. Serves two years then serves as President. Term is staggered with Secretary. 2. Serve on CME Committee 3. Present an annual financial statement to the membership for the annual meeting. 4. Oversee Executive Director’s office in the following tasks

• Keeping the books for the ADA. • Maintaining checkbook and bank account for ADA. • Receive all dues from membership and forward information to Secretary for inclusion on web site and in

roster. • Assure that dues billing is sent promptly. Follow up on January billing to assure all dues are received

prior to roster printing. • Prepare annual federal and state taxes. • Pay bills for meetings.

ADVISORY COUNCIL INFORMATION In 1973 the council of the National Program for Dermatology recommended the formation of a new advisory unit representing all the local (metropolitan, state and regional) dermatological societies of the United States. This unit was designated by the Advisory Council to the N.P.D. DUTIES AND RESPONSIBILITIES OF ADVISORY COUNCIL REPRESENTATIVES: � Serve as a primary conduit of information from the Academy to the local society on items of mutual interest or

concern. � Serve as a conduit from the local society to the Advisory Council (and ultimately the Board of Directors) for

issues and concerns of the local society. � Communicate regularly with the appropriate Advisory Council Executive Committee member responsible for

coordinating “regional issues”. � Work with the Advisory Council’s Committee assigned the task of identifying candidates to serve on the

Academy’s Nominating Committee. � Attend and actively participate in the Advisory Council’s annual meeting conducted in conjunction with the

Academy’s Annual Meeting in February. In order to enhance the performance of the above mentioned duties during the representative’s three year term, the Council Chairman recommends that: (1) each local/regional society include as a regular agenda item of its meeting, a report from the Advisory Council representative; (2) the Advisory Council representative be considered an officer and Executive Committee member of the local/regional society; (3) the Advisory Council representative be a member of the society’s Public Relations Committee, if such exists. The Executive Committee consists of individuals representing various regions of the United States and Canada. The names of individual Advisory Council representatives may be obtained either from the local society President or Secretary, the Executive Committee member or Raymond Cunningham, staff liaison at the Academy’s office in Evanston (312-869-3954). In addition to the annual meeting in February, the Advisory Council has determined that there is a need to conduct an official midyear business meeting. The Atlanta Dermatological Association will reimburse its Advisory Council Representative (or designee) for all appropriate expenses (airfare, hotel, per diem) incurred in attending this midyear meeting.

Association’s Tri-Annual Meeting. 2. Your doctor may present your case or skin problem out of interest, or for

help in therapy, or for consideration of diagnosis. 3. There is no charge to you for this meeting other than your travel expense and

a small fee at the Clinic parking lot. 4. Plan to arrive promptly between 7:30 and 7:50 a.m. the morning of the

meeting, and check in with the Dermatology Section nurse at the Emory Clinic Building, Main Floor, Dermatology (Center) Section.

5. Directions: Arrive northeast Atlanta and reach North Decatur Road, turn

past Emory Law Building (blue exterior) onto Clifton Road, the Clinic is approximately ¼ mile on the right. Go right on the lower gate drive to the parking garage. Building A is the older building. The Dermatology Clinic is on the street level when entering from Clifton Road.

6. Proceed straight to Center waiting area where you will be asked to give your

name and your doctor’s name to the nurse and you will be given a room assignment.

7. There will usually be approximately 50 doctors visiting with you between

8:00 a.m. and 9:00 a.m. after which time you may leave. 8. Your doctor may get back with you some days after the meeting, if appropriate. Thank you for participating.
