Bainbridge Uinta, LLC (“Bainbridge”), by and through its undersigned attorneys, hereby
declares that on April 17, 2020, Bainbridge filed a Certificate of Service with the Utah Board of
Oil, Gas and Mining indicating that on April 15, 2020, Bainbridge cause to be mailed, pursuant
to applicable regulations, a copy of Bainbridge’s Request for Agency Action (“RAA”) on file in
the above-captioned Cause to the list of parties identified on Exhibit “A” attached hereto.
Since the filing of the Certificate of Service in this matter, the RAA was corrected to
address an error on page (9), paragraph “C”, regarding the surface location of the well and which

erroneously included the following language: “subject to an exception location approval by the
Board pursuant to Utah Admin. Code Rule R649-3-3, and” (“Erroneous Language”). The
Erroneous Language was stricken from the RAA and a Corrected Request for Agency was filed
in this Cause on April 17, 2020, a copy of which is attached hereto as Exhibit “B”.
Accordingly, the undersigned certifies that he caused a true and correct copy of page (9)
of the Corrected Request for Agency Action, attached hereto as Exhibit “C”, to be mailed,
properly addressed, and postage pre-paid, to each of the Interested Parties on or before the 21st
day of April, 2020.

COMES NOW, Bainbridge Uinta, LLC (“Bainbridge”), by and through its attorneys
Lear & Lear, PLLC, and pursuant to Utah Code Annotated §§ 40-6-5(3)(b) and 40-6-6, hereby
respectfully requests that the State of Utah Board of Oil, Gas and Mining (“Board”) enter an
order modifying the Board’s Orders entered on November 9, 2013 in Docket No. 2013-030,
Cause No. 270-02 (“270-02 Order”), entered on August 27, 2014 in Docket No. 2014-026,
Cause No. 270-04 (“270-04 Order”), and entered on November 12, 2014 in Docket No. 2014-
038, Cause No. 270-06 (“270-06 Order”) (collectively, the 270-02, -04, and -06 Orders are
referred to as the “Current Spacing Orders”). Specifically Bainbridge seeks to modify the
established drilling units on the Subject Lands (defined below) to allow for 330’ North/South

well setbacks, and to allow for the production of oil, gas and associated hydrocarbons from the
Eocene Middle, Lower Green River, and portions of the Wasatch Formation, defined for
purposes of this Request for Agency Action (“RAA”) as:
the stratigraphic equivalent of the interval between the top of the Mahogany Bench, as found at 4,359 feet, and the stratigraphic equivalent of the marker found at 7,787 feet within the Paleocene Wasatch, referenced to the Bainbridge Uinta, LLC Three Rivers 34-31-720 well located in Section 34, T7S, R20E, SLM
(the “Subject Formation”), comprised of the following described lands:

With respect to the Subject Lands, the 270-02 Order (as to all of the Subject Lands except
the W½SE¼ of Section 27, Township 7 South, Range 20 East, S.L.M.) and the 270-06 Order (as
to the W½SE¼ of Section 27, Township 7 South, Range 20 East, S.L.M.) currently establishes
the drilling, completion and production of up to 2 vertical wells per 40-acre or substantial
equivalent drilling unit from the Eocene Middle and Lower Green River formations, with 460’
well setbacks from a shared drilling unit/lease boundary line and 100’ well setbacks if the
adjacent lands are within the same lease and have the same production interest owners.
With respect to the Subject Lands, the 270-04 Order establishes the drilling, completion
and production of 1 vertical well per special drilling unit from the Eocene Middle and Lower
Green River formations along several of the lease lines (“Special Lease Line Drilling Units”) in
the Subject Lands (as further described in the 270-04 Order), consistent with the 20-acre well
density established under the 270-02 Order, to be located on or as close as reasonably feasible to
the respective lease line, and no closer than 460’ to another well producing from the same
formation or to a boundary with lands not subject to the 270-02 Order without an exception
location approval from the Division in accordance with Utah Admin. Code Rule R649-3-3.
This request seeks (1) maintenance of the drilling units and well density established
under the Current Spacing Orders—2 wells per 40-acre or substantial equivalent and 1 well per
Special Lease Line Drilling Unit; (2) amendment of the well setbacks such that wells can be
located no closer than 330’ North/South and 460’ East/West to another well producing from a
shared drilling unit/lease boundary line and 100’ if the adjacent lands are within the same lease
and have the same production interest owners; and (3) expansion of the spaced formations to
allow for drilling, completion and production from the Subject Formation (as described above).

The geology and engineering data concerning the Subject Lands indicates that the reduced
North/South well setbacks and drilling of vertical/directional wells to the Subject Formation will
better protect correlative rights, maximize resource recovery by developing otherwise “stranded”
hydrocarbons, and prevent waste. Additionally, the reduced North/South well setbacks will not
only provide Bainbridge with the flexibility to develop wells in a manner driven by geology,
engineering, impact minimization and efficiency, but is necessary to allow the orderly
development of the Subject Formation in a way that protects correlative rights, prevents waste,
and maximizes resource recovery.
In summary, Bainbridge’s request in this RAA is subject to, among other things, the
following:
I. A maximum of 2 wells per 40-acre drilling unit may be drilled and
produced from the Subject Formation on the Subject Lands;
II. A maximum of 1 well may be drilled and produced from the Subject
Formation per Special Lease Line Drilling Unit as established in Order 270-04;
III. The Subject Formation constitutes a “common source of supply”, as
defined in Utah Code Ann. § 40-6-2(19);
IV. The productive interval of any well (with the exception of the Special
Lease Line Drilling Unit wells) may not be located closer than 460’ to a shared East/West
drilling unit/lease boundary line, 330’ to a shared North/South drilling unit/lease boundary line,
or 100’ radially if the adjacent lands are within the same lease and have the same production
interest owners, absent an exception location approval by the Board pursuant to Utah Admin.

V. The surface location of any future well may be located: (1) anywhere
within the Unit; or (2) outside of such Unit, subject to the acquisition of proper surface and
subsurface authorizations (including without limitation, subsurface easements from the
appropriate surface and/or mineral estate owners and their respective lessees, as applicable).
In support of this RAA, Bainbridge states, represents and alleges as follows:
1. Bainbridge is a Texas limited liability company, with its principal place of
business in Dallas, Texas.
2. Bainbridge is duly qualified to conduct business in the State of Utah and is fully
and appropriately bonded as required by all relevant federal, tribal and State of Utah
governmental agencies.
3. The oil, gas and other hydrocarbons within the Subject Lands are subject to
numerous fee, state, and federal oil and gas leases, in which Bainbridge owns substantial
leasehold working interests. The surface of the NE¼ and NW¼SE¼ of Section 36, Township 7
South, Range 20 East, S.L.M. is owned by the State of Utah School and Institutional Trust Lands
Administration, but is located in an environmentally sensitive area and is thus subject to an
easement to the United States Fish & Wildlife Service for the Ouray National Wildlife Refuge.
4. As of the filing of this RAA, there are no well spacing, density, or other orders of
the Board materially affecting the spacing of the Subject Lands, other than the Current Spacing
Orders, described in detail above, which collectively establish (1) 40-acre (or the substantial
equivalent) drilling units for production from the Eocene Middle and Lower Green River
formations, and authorize the drilling of up to 2 wells within each drilling unit with setbacks
providing that no producing interval shall be located closer than 460’ to a shared drilling

unit/lease boundary line or 100’ from a drilling unit boundary if adjacent lands are within the
same lease and have the same production interest owners (as to the 270-02 Order and the 270-06
Order); and (2) Special Lease Line Drilling Units in the Subject Lands with the wells drilled
thereon to be located on or as close as reasonably feasible to the respective lease line, and no
closer than 460’ to another well producing from the same formation or to a boundary with lands
not subject to the 270-02 Order (as to the 270-04 Order).
5. However, because of the environmentally sensitive areas discussed in Paragraph 3
above, and because many wells have already been drilled in the center of certain quarter-quarter
sections under the general well siting rule and subsequent wells drilled under the spacing
established in the Current Spacing Orders, Bainbridge requires some flexibility in drilling future
wells under the 20-acre well density pattern. Consequently, and particularly given the relative
uniformity of mineral and leasehold ownership over each relevant 40-acre parcel within the
Subject Lands, it is fair, reasonable and just to allow a 330’ North/South setback from a shared
drilling unit/lease boundary line, which, based on a 20-acre equivalent well density pattern,
protects the correlative rights of the owners in adjacent lands.
6. As of the filing of this RAA, there are 147 Existing Vertical/Directional Wells,
(collectively, “Existing Wells”) located on and/or producing from the Eocene Middle and Lower
Green River formations on the Subject Lands, as set forth more particularly on Exhibit “A,”
attached hereto and incorporated herein.
7. With the exception of the Existing Wells, there are no other wells drilled or
producing from the Subject Formation on the Subject Lands as of the filing of this RAA.
8. Based upon the information and data obtained through Bainbridge’s drilling and

operation of the vertical and/or directional wells on the Subject Lands, Bainbridge believes and
alleges that:
a) The Subject Formation constitutes a common source of supply;
b) Given the siting of the Existing Wells and the presence of environmentally
sensitive areas in the Subject Lands, flexibility in siting future wells is necessary to maximize
resource recovery, prevent waste and protect correlative rights;
c) Producing interval setbacks of no closer than 330’ North/South and 460’
East/West from drilling unit/lease boundary line, or no closer than 100’ laterally from another
well producing from the same lease and with the same production interest owner(s) will result in
efficient but limited communication between Existing Wells and future wells, and will allow
greater flexibility in locating future wells upon the Subject Lands, while still protecting
correlative rights; and
d) Drilling and completion of the future wells will result in production
increases, waste management, and cost effectiveness, over the drilling and production of the
wells authorized under the Current Spacing Orders alone, and will allow access to additional
resources in the Subject Formation that would not otherwise be recovered.
9. Based on the foregoing, Bainbridge believes and alleges that in order to afford the
continued protection of the correlative rights of the owners of interests in the Subject Lands, the
prevention of waste and the maximization of resource recovery:
a) The Subject Formation should be declared a “common source of supply”
as contemplated by Utah Code Ann. § 40-6-2(19);
b) Effective the date of issuance of any order of the Board issued pursuant to

this RAA, the Current Spacing Orders should be amended, as may be necessary, to allow for the
330’ North/South well setbacks, the drilling and production of wells to the Subject Formation in
the Subject Lands, and the allocation of production from the same.
10. Bainbridge respectfully asserts that the granting of this RAA will further the
public policies of the State of Utah to promote greater recovery of oil, gas and associated
hydrocarbons from the Subject Formation without waste and with protection of the correlative
rights of all affected owners, constitutes the orderly and consistent development of the Subject
Lands as to the Subject Formation, and is just and reasonable under the circumstances.
11. In accordance with the Utah Administrative Code, Bainbridge will present
testimony and exhibits in support of the allegations and statements set forth in this RAA at the
May 27, 2020 Board hearing.
12. Bainbridge will separately file a certificate of service listing all parties known to
it, based upon its reasonable search of the Uintah County, Utah records and the records of the
Division, whose legally protected interests may be affected by this RAA.
13. As of the filing of this RAA, Bainbridge knows of no respondents or adverse
parties concerning this RAA.
WHEREFORE, based on the foregoing, Bainbridge respectfully requests that:
I. This matter be set for hearing before the Board on May 27, 2020, in Salt Lake
City, Utah (“Hearing”);
II. Notice of this RAA and the Hearing be given as required by applicable Utah
administrative and statutory law; and

III. Upon production of sufficient evidence and presentation of competent testimony
given at the Hearing, the Board issue an order:
A. Declaring the Subject Formation a “common source of supply,” as
contemplated by Utah Code Ann. § 40-6-2(19);
B. Providing well setbacks of at least 330’ North/South and 460’ East/West
to a shared drilling unit/lease boundary line, or at least 100’ laterally from another well
producing from the same lease and with the same production interest owner(s), absent an
exception location approval by the Board pursuant to Utah Admin. Code Rule R649-3-3;
C. Providing that the surface location of any future well may be located (1)
anywhere within the Unit, or (2) anywhere outside of the Unit subject to the acquisition of proper
surface and subsurface estate authorizations and the production from any future well to the
setbacks set forth above, to be evidenced by a self-certification of the same executed by the
operator of the subject well and filed with the Division, and provided that the setbacks above are
otherwise maintained;
D. Maintaining the Current Spacing Orders and all provisions therein unless
expressly amended by the Board at the Hearing;
E. Making such findings and orders in connection with this RAA as it deems
otherwise necessary; and
F. Providing for such other and further relief as the Board deems just and
equitable under the circumstances.

III. Upon production of sufficient evidence and presentation of competent testimony
given at the Hearing, the Board issue an order:
A. Declaring the Subject Formation a “common source of supply,” as
contemplated by Utah Code Ann. § 40-6-2(19);
B. Providing well setbacks of at least 330’ North/South and 460’ East/West
to a shared drilling unit/lease boundary line, or at least 100’ laterally from another well
producing from the same lease and with the same production interest owner(s), absent an
exception location approval by the Board pursuant to Utah Admin. Code Rule R649-3-3;
C. Providing that the surface location of any future well may be located (1)
anywhere within the Unit, or (2) anywhere outside of the Unit subject to the acquisition of proper
surface and subsurface estate authorizations and the production from any future well to the
setbacks set forth above, to be evidenced by a self-certification of the same executed by the
operator of the subject well and filed with the Division, and provided that the setbacks above are
otherwise maintained;
D. Maintaining the Current Spacing Orders and all provisions therein unless
expressly amended by the Board at the Hearing;
E. Making such findings and orders in connection with this RAA as it deems
otherwise necessary; and
F. Providing for such other and further relief as the Board deems just and
equitable under the circumstances.
