APPLICATION FOR A LETTER OF GUARANTEE

1 I/we, shall keep the bank indemnified from and against all actions, proceedings, liabilities, claims,

obligations and pay to the bank on demand all the payments, losses, costs, charges, commissions, damages and expenses incurred or suffered by the bank in consequence thereof, whether directly or indirectly.

2 The bank hereby irrevocably authorized and directed to make any payment and comply with any demand which have been made or appears or purports to be made in connection with the obligations without reference legitimacy of such demand, it being expressly agreed that any such demand shall, as the undersigned and the bank, be conclusive evidence that the sum stated therein is properly due and payable.

My/our payment of the commission and related expenses thereon to the Bank is non-refundable

14 I/We hereby further acknowledge and agree that the Guarantee issued herein is an independent Guarantee and thus considered having no connection at all to any contract, agreement, understanding or arrangement between and among the Applicant, the Beneficiary and other third-parties mentioned in this Application.

15 In case of conflict between the Laws of the Kingdom of Saudi Arabia (KSA) and the Uniform Rules on Demand Guarantee (URDG both old and Latest Versions), the Laws of KSA shall prevail over said URDG .

16 Should NCB issue its Counter- Guarantee (CG) in favor of any of its correspondent banks, I/We have no objection for said CG to be extended by 30 days from its original expiry date to cover mailing period

17 WE acknowledge and agree that all charges, expenses, prices, and all amounts due on us in

are exclusive of the Value Added Tax (“VAT”), which shall be added by the Bank at the prevailing rate as applicable in accordance with the VAT Law promulgated by the royal decree no. (M/113) dated 1438/11/02and Income and all its amendments from time for most, and also are exclusive of any taxes that

enforce or manage VAT on goods and services in the Kingdom of Saudi Arabia or any other taxes at present or in the future,. We hereby acknowledge and agree to pay the VAT collected by the Bank, and we also acknowledge and agree to be charged or debited from any of our accounts with the Bank.
