MESSAGE FROM PRESIDENT

et me begin by saying that the second term of my presidency has turned out to be as challenging as the first, if not more so, due to the rapid change in both the external and internal operating environments. In particular, we have faced the implementation of major projects, the migration of the existing management information system to a new one, the change in tax regime from SST to GST, plus the formulation and implementation of policy changes in a number of departments. These challenges have been taken up and largely resolved with ingenuity by the management, with the close supervision and support of the GC chairpersons of the various portfolios and of the relevant sub-committees, as well as the GC as a whole.

Finance has remained a key focus for the GC, as the Club has continued the trend of the last five years in posting annual deficits – with 2014 producing the highest deficit since 1993 of RM 995,560. The main cause of this trend is, quite simply, inflation. The effects of this can be clearly seen in the rising costs of energy and utilities, as well as other expenses. This has gone hand in hand with another worrying trend, namely the continuing slide in slot machine income, which fell to an all-time low of RM 1,025,220 in 2014 from a high of RM 2,075,995 in 2008, depriving the Club of much needed funding. As most of you would know, slot machine income has, worryingly, been a key element in keeping the Club a financial even keel for many years. Meanwhile, the Club’s F&B operations still require to be funded, with revenue not able to cover operational costs – the shortfall was RM 246,245 in 2014.

Despite the continuous efforts by successive GCs over the years to keep operational costs at bay,the gradual increase in these – an inevitable result of wider inflation – has resulted in a cumulative deficit over the past five years of RM 2,217,741. The Club simply cannot go on sustaining such deficits, and indeed it needs to strengthen its revenue stream to maintain adequate reserves and ensure the Club has enough funds to maintain and improve its facilities for Members. The GC and management have tried, and will continue to try, to increase revenue from F&B, membership (through sales of terminated memberships) and promoting the slot machine room. But the reality, as the past five years have shown, is that these sources will not be enough to cover our repeated deficits, let alone to build up reserves, in face of wider inflationary pressures.

Against this background, the main, indeed only source that can provide us with a sustainable and reliable stream of revenue are Members’ subscriptions. Subscriptions have throughout the Club’s existence contributed the vast bulk of the Club’s income. If we look at the historical levels of subscription, it is hardly surprising that the Club has struggled to make ends meet in recent years. The monthly subscription was last raised, from RM80 to the present level of RM100 a month, in March 1993 – over 22 years ago! In short, the GC feels that an increase in the monthly subscription is both essential to sustain and rejuvenate the Club’s finances, and is justified after 22 years. We shall be putting this to the forthcoming AGM.

L

Page 6: ANNUAL REPORT 2014 - raintree.com.my · Internal Audit Tender Board Legal & Constitutional Rules Membership ... Jalan Ampang Hilir/Jalan Desa Pandan. For the safety of our members,

Food & Beverage is an integral part of clubbing, and to some extent the success of a Club is dependent on the quality of its food and level of service. I am pleased to be able to state that the F&B at the Raintree is doing quite well, despite the deficit in its operations. We were particularly pleased to have been able finally to reopen a revamped and upgraded LilaSari in 2014, providing excellent but reasonably priced fine dining as well as an additional venue for Members to hold functions. We have also revamped the Coffee House menu. The GC believes the Club should continue to concentrate on what we are good at, namely Western and fusion cuisine as well as traditional local fare. Of course there are always areas for improvement in any service organization, and Members are encouraged to provide feedbacks to help us improve the Club – not just in F&B but in any area of the Club’s operations. The easiest way to do so is by email; and we have a dedicated email address for feedback: [email protected]

Along with F&B, Sports and Recreation have always been another main reason why our Members join the Club. The Club will continue to maintain and improve the facilities necessary for the enjoyment of our Members (as we have done in the past couple of years with the repairs and upgrading of the main indoor sports hall as well as the outside tennis courts). We will also continue to promote and organize events and activities. However, bearing in mind the financial background explained earlier, the Club cannot be as generous as in past “surplus” years in providing subsidies to fully fund such activities and events. The Club will support, but participants and stakeholders in such events and activities will need to make a reasonable contribution themselves.

External developments around the Club also have implications for us. The most visible recent one is the new interchange and highway that are being built across the junctions of Jalan Ampang/Jalan Jelatek and (even closer to the Club) Jalan Ampang Hilir/Jalan Desa Pandan. For the safety of our members, we have relocated the main entrance of the Club to the side road – Jalan Wickham. The second development of interest to the Club is the relocation of the campuses of the International School of Kuala Lumpur, presently in Ampang and Melawati, to a single campus on Jalan Ampang Hilir covering an area of 26 acres. Work on the premises has commenced and the school is slated to open there in 2017. The close proximity of the ISKL new campus, with around 2,500 pupils (and the families that go with them), should augur well for the Club, increasing our potential to attract new Members and increase patronage of our F&B outlets.

Last but not least, allow me to record my appreciation to the members of the General Committee for spending so much of their valuable time on Club matters, cracking their heads on issues and coming up with workable solutions. All these are done at the expense of time away from personal and work pursuits and from family. I extend similar appreciation to all the members serving in the Club’s many sub-committees and various elected committees, as well as to the management and staff. Not to forget the many Members who have taken the time and trouble to attend our various recent General Meetings, or to pen emails or letters to the Club with your comments andsuggestions. We thank you all for your support.

Regards

WINSON HAN MEAN KWONGPRESIDENT

Page 24: ANNUAL REPORT 2014 - raintree.com.my · Internal Audit Tender Board Legal & Constitutional Rules Membership ... Jalan Ampang Hilir/Jalan Desa Pandan. For the safety of our members,

In response to the calls by Members at the AGM held on 29th September 2013(reit-erated at earlier AGMs), the General Committee was given the responsibility to study and propose appropriate changes to our Constitutional Rules in order to improve and bring it up to date. The General Committee in turn tasked the Legal, Constitutional and Rules Sub-Committee to take on the significant role to amend the Constitutional Rules. The Constitutional Rules was last revised in August 2000, and then only with some relatively minor amendments.

An Extraordinary General Meeting (EGM) was held on 16th March 2014 to consider and approve amendments to the Constitutional Rules. Due to the numerous proposals and suggestions put forward from the floor, it was decided to adjourn the EGM to allow for further consultations with interested Members.

Four (4) dialogue sessions were since held on 28th April 2014, 5th May 2014, 12th May 2015 and 10th June 2015 with the aim to produce a revised text for Member’s approval at an EGM. The final revised text is now completed and an EGM will be convened on 26th July 2015 to approve the final revised Constitutional Rules.

Our regular Club newsletter continues to be the main source of information for Members on events, activities and news. However, producing it is resource-intensive in terms of both staff time and money. Our plan is to scale back gradually on the Samanea, replacing it increasingly with much improved e-communication with Members (see below). As a first step in this process, the Samanea moved to quarterly publication from the July 2014 edition onwards, in place of the previous bimonthly editions; although we did at the same time increase the number of pages from twenty to twenty-four. We also added a new feature called “Chef Creation”, in which our fabulous in-house chef Dino shares coffee house recipes to enhance Members’ cooking skills.

The existing Club website has never really taken off. Its presentation and content have frankly speaking been poor and, partly as a result, not many Members have used it. We nevertheless believe that, in this highly e-connected age, the Club should be moving increasingly towards electronic communication. At the heart of that, we need a new, better, fresher and more up-to-date website. To that end, we are currently in the process of revamping the website and relaunching it with a new website provider. We are hopeful that the new website will become a more effective and efficient tool for communication, both internally with Members and externally to raise awareness and advertise the Club to potential new members.

The new website is due to be launched in November. Watch this space for further news! Meanwhile, all Members should please make sure that we have your up-to-date correct email address(es), as we also plan to make much more extensive use of email blasts to communicate urgent and important messages in the future.

PUBLIC RELATIONS AND COMMUNICATIONS

Raintree is trying to move towards becoming an eco green club by taking various initiatives to save and preserve the environment. These include:

*Save Energy, Save Water & Save the EnvironmentThe aim is to reduce the amount of energy we use, both to save money and help the environment. Look out for the “Switch Off” stickers on electrical switches around the Club – and above all follow what they say by switching off appliances (such as lights or fans) when these are not in use and not needed.

* Bring Your Own Container (BYOC)

Takeaway charges applies for each plastic container from food & beverage outlets beginning 1st March 2015.

*Ditch The Plastic! Go Green!

We no longer supply plastic bags at the Sports Counter with effect from 1st April 2015. Members who need a bag to store their wet belongings in after sports should bring their own.

*Save a Tree! Make an E-Statement!

The Club will begin to issue electronic statements from 1 July 2015 in order to save paper, postage cost and missing mail. We plan to move over to a fully paperless billing system soon.

The Raintree Tennis section started with a friendly against Singapore Recreation Club (SRC) on 7 June 2014. It was an interesting match with SRC encompasses participation of younger ladies. This was followed with a multi Sports friendly at Royal Lake Club on 9 August and additional multi Sports friendly against Sunway Lagoon Club at our premise on 18 October. Subsequently, we had another friendly with Japan Club on 9 November.

Following in late November, an invitational tournament by Royal Selangor Golf Club (held on 28-30 November) had us compete against several clubs and we’re placed 3rd out of 6 teams. The last month of December (12 December 2014), we hosted another friendly with Chinese Swimming Club, Singapore. We played quite well with the various clubs from Singapore, Japan and a couple of local Clubs.

During Tennis Annual Championships 2014, everyone at Raintree played well despite of the pro-longed duration. We welcomed some new Champions in various categories. This was the year that Raintree did not hold our Invitational Tournament as we had all six outdoor courts re-surfaced. Our junior members also had several carnivals, (1st held on 22 November 2014 & 2nd held on 2nd August 2014) that saw 40 over kids playing in tele-matches and other fun games in the Indoor Tennis courts. Everyone walked away with prizes such as T-shirts, bags, bottles, grips and other tennis related products.

In 2015, we hosted the multi sports friendly with Royal Lake Club which we all played very well and beat Royal Lake Club. Then in May 2015, Raintree made a comeback & hosted the Annual Invitational Inter-club tennis tournament which had 10 teams competing in the 2 & half days’ tournament. Our two Raintree teams, Tigers and Dragons along with other local teams from Klang Valley such as Kelab Darul Ehsan, Lake View Club, Royal Selangor Golf Club, and out of state teams – Segamat Country Club, Taiping Chinese Recreation Club and Royal Johor Golf & Country Club, and lastly Trang Tennis Club from Thailand. This year Champion title went on to the defending 2013 Champion, the Trang Club. Raintree was placed 3rd in this event. This year, we managed to be endorsed by Wilson, a new successful sponsorship agreement from Wilson for all tennis balls, wind-breakers and tennis related products.

(e) Significant Accounting Judgements and Estimates The preparation of the Group and of the Club’s nancial statements requires management to make judgements, estimates and assumptions that affect the reported amounts of revenues, expenses, assets and liabilities, and the disclosure of contingent liabilities at the reporting date. However, uncertainty about these assumptions and estimates could result in outcomes that could require a material adjustment to the carrying amount of the assets or liability affected in the future.

(i) Judgements made in applying accounting policies

In the process of applying the Group and the Club’s accounting policies, management has made the following judgements, apart from those involving estimations, which have the most significant effect on the amounts recognised in the financial statements.

(ii) Key sources of estimation uncertainty

The key assumptions concerning the future and other key sources of estimation uncertainty at the reporting date that have a significant risk of causing a material adjustment to the carrying amounts of assets and liabilities.

Notes to the Financial Statements

3. Significant Accounting Policies

The accounting policies set out below have been applied consistently to the periods presented in these financial statements, and have been applied consistently by the Group entity.

(a) Basis of Consolidation

(i) Subsidiary

The Club is the beneficial owner of the entire issued share capital of Raintree Developments Berhad (“RDB”), a company incorporated in Malaysia. The shares are registered in the name of HSBC (Malaysia) Trustee Berhad) who acts as trustee for the Club in accordance with a Trust Deed dated 26 January 1983. The trustee was changed to OSK Trustees Berhad on 12 March 2013. The consolidated financial statements comprise the financial statements of the Club and of RDB. RDB is consolidated using the acquisition method of accounting. The difference between the acquisition cost and the fair values of RDB’s net assets is reected as goodwill or negative goodwill as appropriate. Investment in a subsidiary is stated in the Club’s statement of financial position at cost less impairment losses. RDB does not draw up an income statement as all expenses incurred by RDB are borne by the Club. The Club provides funds to RDB as and when required to enable RDB to meet its obligations as and when they fall due.

(ii) Transactions Eliminated on Consolidation Intra-group balances, and any unrealised income and expenses arising from intra-group transactions, are eliminated in preparing the consolidated financial statements.

Unrealised gains arising from transactions with equity accounted investees are eliminated against the investment to the extent of the Group’s interest in the investee. Unrealised losses are eliminated the same way as unrealised gains, but only to the extent that there is no evidence of impairment.

(b) Property, Plant and Equipment

(i) Recognition and Measurement

All items of property, plant and equipment are initially recorded at cost. The cost of an item of property, plant and equipment is recognised as an asset if, and only if, it is probable that future economic benefits associated with the item will flow to the Group and the cost of the item can be measured reliably.

Notes to the Financial Statements

3. Significant Accounting Policies (Cont’d.)

(b) Property, Plant and Equipment (Cont’d.)

(i) Recognition and Measurement (Cont’d.)

Subsequent to recognition, property, plant and equipment except for freehold land are measured at cost less accumulated depreciation and accumulated impairment losses. When significant parts of property, plant and equipment are required to be replaced in intervals, the Group recognises such parts as individual assets with specific useful lives and depreciation, respectively. Likewise, when a major inspection is performed, its cost is recognised in the carrying amount of the plant and equipment as a replacement if the recognition criteria are satisfied. All other repair and maintenance costs are recognised in the profit or loss as incurred.

(ii) Subsequent Costs

The cost of replacing part of an item of property, plant and equipment is recognised in the carrying amount of the item if it is probable that the future economic benefits embodied within the part will flow to the Group and its cost can be measured reliably. The carrying amount of the replaced part is derecognised. The costs of the day-to-day servicing of property, plant and equipment are recognised in the profit or loss as incurred.

(iii) Depreciation

Freehold land is not amortised. Depreciation is recognised in the profit or loss as incurred on the straight-line basis over the estimates useful lives of each part of an item of property, plant and equipment. Property, plant and equipment under construction are not depreciated until the assets are ready for their intended use. The estimated useful life for the current and comparative periods is as follows:

Building 50 years Improvements 5 years Furniture, fittings and office equipment 5 years Lighting, general equipment and machinery 5 years Kitchen and bar equipment 5 years Slot machines and sports equipment 5 years

The carrying values of property, plant and equipment are reviewed for impairment when events or changes in circumstances indicate that the carrying value may not be recoverable.

The residual value, useful life and depreciation method are reviewed at each financial year end, and adjusted prospectively, if appropriate.

Notes to the Financial Statements

3. Significant Accounting Policies (Cont’d.)

(b) Property, Plant and Equipment (Cont’d.)

(iii) Depreciation (Cont’d.)

An item of property, plant and equipment is derecognised upon disposal or when no future economic benefits are expected from its use or disposal. Any gain or loss on derecognition of the asset is included in the profit or loss in the year the asset is derecognised.

(c) Impairment of Non-Financial Assets

The Group assesses at each reporting date whether there is an indication that an asset may be impaired. If any such indication exists, or when an annual impairment assessment for an asset is required, the Group makes an estimate of the asset’s recoverable amount. An asset’s recoverable amount is the higher of an asset’s fair value less costs to sell and its value in use. For the purpose of assessing impairment, assets are grouped at the lowest levels for which there are separately identifiable cash flows (cash generating units (“CGU”)). In assessing value in use, the estimated future cash flows expected to be generated by the asset are discounted to their present value using a pre-tax discount rate that reflects current market assessments of the time value of money and the risks specific to the asset. Where the carrying amount of an asset exceeds its recoverable amount, the asset is written down to its recoverable amount. Impairment losses recognised in respect of a CGU or groups of CGUs are allocated first to reduce the carrying amount of any goodwill allocated to those units or groups of units and then, to reduce the carrying amount of the other assets in the unit or groups of units on a pro-rata basis. Impairment losses are recognised in profit or loss except for assets that are previously revalued where the revaluation was taken to other comprehensive income. In this case the impairment is also recognised in other comprehensive income up to the amount of any previous revaluation. An assessment is made at each reporting date as to whether there is any indication that previously recognised impairment losses may no longer exist or may have decreased. A previously recognised impairment loss is reversed only if there has been a change in the estimates used to determine the asset’s recoverable amount since the last impairment loss was recognised. If that is the case, the carrying amount of the asset is increased to its recoverable amount. That increase cannot exceed the carrying amount that would have been determined, net of depreciation, had no impairment loss been recognised previously. Such reversal is recognised in profit or loss unless the asset is measured at revalued amount, in which case the reversal is treated as a revaluation increase.

Notes to the Financial Statements

3. Significant Accounting Policies (Cont’d.)

(d) Financial Assets

Financial assets are recognised in the statements of financial position when, and only when, the Group becomes a party to the contractual provisions of the financial instrument.

When financial assets are recognised initially, they are measured at fair value, plus, in the case of financial assets not at fair value through profit or loss, directly attributable transaction costs. The Group determines the classification of their financial assets at initial recognition, and the categories include financial assets at fair value through profit or loss, loans and receivables and available-for-sale financial assets.

(i) Financial assets at fair value through profit or loss

Financial assets are classified as financial assets at fair value through profit or loss if they are held for trading or are designated as such upon initial recognition. Financial assets held for trading are financial assets acquired principally for the purpose of selling in the near term. Subsequent to initial recognition, financial assets at fair value through profit or loss are measured at fair value. Any gains or losses arising from changes in fair value are recognised in profit or loss. Net gains or net losses on financial assets at fair value through profit or loss do not include interest and dividend income. Interest and dividend income on financial assets at fair value through profit or loss are recognised separately in profit or loss as part of other losses or other income.

Financial assets at fair value through profit or loss could be presented as current or non-current. Financial assets that is held primarily for trading purposes are presented as current whereas financial assets that is not held primarily for trading purposes are presented as current or non-current based on the settlement date.

The Group has not designated any financial assets as financial assets at fair value through profit or loss.

(ii) Loans and receivables

Financial assets with fixed or determinable payments that are not quoted in an active market are classified as loans and receivables. The Group’s loans and receivables include other receivables and cash and bank balances.

Subsequent to initial recognition, loans and receivables are measured at amortised cost using the effective interest method. Gains and losses are recognised in profit or loss when the loans and receivables are derecognised or impaired, and through the amortisation process.

Notes to the Financial Statements

3. Significant Accounting Policies (Cont’d.)

(d) Financial Assets (Cont’d.)

(ii) Loans and receivables (Cont’d.)

Loans and receivables are classified as current assets, except for those having maturity dates later than 12 months after the reporting date which are classified as non-current.

(iii) Available-for-sale financial assets

Available-for-sale financial assets are financial assets that are designated as available for sale or are not classified in any of the other nancial asset’s categories.

After initial recognition, available-for-sale financial assets are measured at fair value. Any gains or losses from changes in fair value of the financial assets are recognised in other comprehensive income, except that impairment losses and losses on monetary instruments and interest calculated using the effective interest method are recognised in profit or loss. The cumulative gain or loss previously recognised in other comprehensive income is reclassified from equity to profit or loss as a reclassification adjustment when the financial asset is derecognised. Interest income calculated using the effective interest method is recognised in profit or loss. Dividends on an available-for-sale equity instrument are recognised in profit or loss when the Group and the Club's right to receive payment is established.

Investments in equity instruments whose fair value cannot be reliably measured are measured at cost less impairment loss.

Available-for-sale financial assets are classified as non-current assets unless they are expected to be realised within 12 months after the reporting date.

The Group has not designated any financial assets as available-for-sale financial assets.

A financial asset is derecognised when the contractual right to receive cash flows from the asset has expired. On derecognition of a financial asset in its entirety, the difference between the carrying amount and the sum of the consideration received and any cumulative gain or loss that had been recognised in other comprehensive income is recognised in profit or loss.

Regular way purchases or sales are purchases or sales of financial assets that require delivery of assets within the period generally established by regulation or convention in the marketplace concerned. All regular way purchases and sales of financial assets are recognised or derecognised on the trade date i.e., the date that the Group commits to purchase or sell the asset.

3. Significant Accounting Policies (Cont’d.)

(e) Impairment of Financial Assets The Group assesses at each reporting date whether there is any objective evidence that a financial asset is impaired. (i) Trade and other receivables and other f inancial assets carried at

amortised cost

To determine whether there is objective evidence that an impairment loss on financial assets has been incurred, the Group consider factors such as the probability of insolvency or significant financial difficulties of the debtor and default or significant delay in payments. For certain categories of financial assets, such as trade receivables, assets that are assessed not to be impaired individually are subsequently assessed for impairment on a collective basis based on similar risk characteristics. Objective evidence of impairment for a portfolio of receivables could include the Group's past experience of collecting payments, an increase in the number of delayed payments in the portfolio past the average credit period and observable changes in national or local economic conditions that correlate with default on receivables.

If any such evidence exists, the amount of impairment loss is measured as the dierence between the asset’s carrying amount and the present value of estimated future cash ows discounted at the nancial asset’s original effective interest rate. The impairment loss is recognised in profit or loss. The carrying amount of the financial asset is reduced by the impairment loss directly for all financial assets with the exception of trade receivables, where the carrying amount is reduced through the use of an allowance account. When a trade receivable becomes uncollectible, it is written off against the allowance account. If in a subsequent period, the amount of the impairment loss decreases and the decrease can be related objectively to an event occurring after the impairment was recognised, the previously recognised impairment loss is reversed to the extent that the carrying amount of the asset does not exceed its amortised cost at the reversal date. The amount of reversal is recognised in profit or loss.

(ii) Available-for-sale financial assets Significant or prolonged decline in fair value below cost, significant financial difficulties of the issuer or obligor, and the disappearance of an active trading market are considerations to determine whether there is objective evidence that investment securities classified as available-for-sale financial assets are impaired. If an available-for-sale financial asset is impaired, an amount comprising the difference between its cost (net of any principal payment and amortisation) and its current fair value, less any impairment loss previously recognised in profit or loss, is transferred from equity to profit or loss.

Notes to the Financial Statements 3. Significant Accounting Policies (Cont’d.)

(e) Impairment of Financial Assets (Cont’d.) (ii) Available-for-sale financial assets (Cont’d.)

Impairment losses on available-for-sale equity investments are not reversed in profit or loss in the subsequent periods. Increase in fair value, if any, subsequent to impairment loss is recognised in other comprehensive income.

(f) Cash and Cash Equivalents

Cash and cash equivalents comprise cash at bank and on hand, demand deposits, and short-term highly liquid investments that are readily convertible to known amount of cash and which are subject to an insignificant risk of changes in value.

For the purpose of the statements of cash flows, cash and cash equivalents are presented net of pledged deposits.

(g) Financial Liabilities Financial liabilities are classified according to the substance of the contractual arrangements entered into and the definitions of a financial liability.

Financial liabilities, within the scope of MFRS 139, are recognised in the statements of financial position when, and only when, the Group becomes a party to the contractual provisions of the financial instrument. Financial liabilities are classified as either financial liabilities at fair value through profit or loss or other financial liabilities. (i) Other financial liabilities

The Group's other financial liabilities include trade and other payables.

Trade and other payables are recognised initially at fair value plus directly attributable transaction costs and subsequently measured at amortised cost using the effective interest method.

For other financial liabilities, gains and losses are recognised in profit or loss when the liabilities are derecognised, and through the amortisation process.

A financial liability is derecognised when the obligation under the liability is extinguished. When an existing financial liability is replaced by another from the same lender on substantially different terms, or the terms of an existing liability are substantially modified, such an exchange or modification is treated as a derecognition of the original liability and the recognition of a new liability, and the difference in the respective carrying amounts is recognised in profit or loss.

(h) Provisions

Provisions are recognised when the Group has a present obligation (legal or constructive) as a result of a past event, it is probable that an outflow of economic resources will be required to settle the obligation and the amount of the obligation can be estimated reliably.

Provisions are reviewed at each reporting date and adjusted to reflect the current best estimate. If it is no longer probable that an outflow of economic resources will be required to settle the obligation, the provision is reversed. If the effect of the time value of money is material, provisions are discounted using a current pre-tax rate that reflects, where appropriate, the risks specific to the liability. When discounting is used, the increase in the provision due to the passage of time is recognised as a finance cost.

(i) Taxation

(i) Current tax Current tax assets and liabilities are measured at the amount expected to be recovered from or paid to the taxation authorities. The tax rates and tax laws used to compute the amount are those that are enacted or substantively enacted by the reporting date.

Current taxes are recognised in profit or loss except to the extent that the tax relates to items recognised outside profit or loss, either in other comprehensive income or directly in equity.

(ii) Deferred tax

Deferred tax is provided using the liability method on temporary differences at the reporting date between the tax bases of assets and liabilities and their carrying amounts for financial reporting purposes.

Deferred tax liabilities are recognised for all taxable temporary differences, except:

- where the deferred tax liability arises from the initial recognition of an

asset or liability in a transaction that is not a business combination and, at the time of the transaction, affects neither the accounting profit nor taxable profit or loss; and

- in respect of taxable temporary differences associated with

investment in subsidiaries, where the timing of the reversal of the temporary differences can be controlled and it is probable that the temporary differences will not reverse in the foreseeable future.

3. Significant Accounting Policies (Cont’d.)

(i) Taxation (Cont’d.)

(ii) Deferred tax (Cont’d.)

Deferred tax assets are recognised for all deductible temporary differences, carry forward of unused tax credits and unused tax losses, to the extent that it is probable that taxable profit will be available against which the deductible temporary differences, and the carry forward of unused tax credits and unused tax losses can be utilised except:

- where the deferred tax asset relating to the deductible temporary difference arises from the initial recognition of an asset or liability in a transaction that is not a business combination and, at the time of the transaction, affects neither the accounting profit nor taxable profit or loss; and

- in respect of deductible temporary differences associated with investments in subsidiaries, deferred tax assets are recognised only to the extent that it is probable that the temporary differences will reverse in the foreseeable future and taxable profit will be available against which the temporary differences can be utilised.

The carrying amount of deferred tax assets is reviewed at each reporting date and reduced to the extent that it is no longer probable that sufficient taxable profit will be available to allow all or part of the deferred tax asset to be utilised. Unrecognised deferred tax assets are reassessed at each reporting date and are recognised to the extent that it has become probable that future taxable profit will allow the deferred tax assets to be utilised.

Deferred tax assets and liabilities are measured at the tax rates that are expected to apply to the year when the asset is realised or the liability is settled, based on tax rates and tax laws that have been enacted or substantively enacted at the reporting date.

Deferred tax relating to items recognised outside profit or loss is recognised outside profit or loss. Deferred tax items are recognised in correlation to the underlying transaction either in other comprehensive income or directly in equity and deferred tax arising from a business combination is adjusted against goodwill on acquisition.

Deferred tax assets and deferred tax liabilities are offset, if a legally enforceable right exists to set off current tax assets against current tax liabilities and the deferred taxes relate to the same taxable entity and the same taxation authority.

Notes to the Financial Statements 3. Significant Accounting Policies (Cont’d.)

(j) Employee Benefits (i) Short term benefits

Wages, salaries, bonuses and social security contributions are recognised as an expense in the financial year in which the associated services are rendered by employees. Short term accumulating compensated absences such as paid annual leave are recognised when services are rendered by employees that increase their entitlement to future compensated absences. Short term non-accumulating compensated absences such as sick leave, maternity and paternity leave are recognised when the absences occur.

(ii) Defined contribution plans

The Club’s contributions to the statutory pension funds are recognised as an expense and are charged to the profit or loss in the period in which the related service is performed. The Club makes contributions to the Employee Provident Fund in Malaysia, a defined contribution pension scheme. Once the contributions have been paid, the Club has no further payment obligations.

(iii) Defined Benefits Plan

The Club operates an unfunded defined benefits scheme for eligible employees and a provision is made for all eligible employees based on the terms as stipulated in the Collective Agreement between the Club and Club Employees Union Peninsular Malaysia. The Club’s net obligation in respect of the dened benet scheme is calculated by estimating the amount of the future benefits that employees have earned in return for their service in the current and prior periods and that benefit is discounted to determine the present value. Any unrecognised past service costs and the fair value of any plan assets are deducted. The discount rate is the yield at the balance sheet date on high quality corporate bonds that has maturity dates approximating the terms of the Club’s obligations and that are denominated in the same currency in which the benefits are expected to be paid. The calculation is performed annually by a qualified actuary using the projected unit credit method. When the benefits of a plan are improved, the portion of the increased benefit relating to past service by employees is recognised as an expense in the profit or loss on a straight-line basis over the average period until the benefit become vested. To the extent that the benefits vest immediately, the expense is recognised immediately in the profit or loss.

(k) Fair Value Measurements

The Group measures financial assets and non-financial assets such as investment properties, at fair value at each statement of financial position date. The fair value of an asset or a liability is measured using the assumptions that market participants would use when pricing the asset or liability, assuming that market participants act in their economic best interest. A fair value measurement of a non-financial asset takes into account a market participant's ability to generate economic benefits by using the asset in its highest and best use or by selling it to another market participant that would use the asset in its highest and best use. The Group uses valuation techniques that are appropriate in the circumstances and for which sufficient data are available to measure fair value, maximising the use of relevant observable inputs and minimising the use of unobservable inputs.

(l) Revenue Recognition (i) Goods Sold

Revenue from sale of goods is measured at the fair value of the consideration receivable and is recognised in the profit or loss when the significant risks and rewards of ownership have been transferred to the buyer.

(ii) Services

Revenue from services rendered is recognised in the profit or loss upon completion of the transaction at the end of the reporting period.

(iii) Subscriptions

Monthly subscriptions from members are recognised on accrual basis. (iv) Interest Income

Interest income is recognised in the profit or loss as it accrues, taking into account the effective yield on the asset.

Exposure to credit and interest rate risks arise in the normal course of the Group’s operations. The nature of these risks and the Group’s management of these risks are summarised below:

(a) Credit Risk

The General Committee monitors credit risk on an ongoing basis. Credit evaluations are performed on all potential members before the Group approves the new applicants as members.

As at the end of the reporting period, there was no significant concentration of credit risk. The maximum exposure to credit risk for the Group is represented by the carrying amount of each financial asset.

(b) Interest Rate Risk

The Group places cash balances with reputable banks to generate interest income for the Group. The Group does not use derivate financial instruments to hedge its interest rate risk in cash and cash equivalents.

(c) Effective Interest Rates And Repricing Analysis

In respect of interest-earning financial assets, the following table indicates its effective interest rates at the end of the reporting period and the periods in which they mature, or if earlier, reprice.

General Committee’s Responsibility for the Financial Statements The General Committee of the Club are responsible for the preparation and fair presentation of these financial statements that give a true and fair view in accordance with Malaysian Financial Reporting Standards, International Financial Reporting Standards, the requirements of the Companies Act, 1965 and the Societies Act, 1966 in Malaysia. The General Committee are also responsible for such internal control as the General Committee determine is necessary to enable the preparation of financial statements that are free from material misstatement, whether due to fraud or error. Auditors’ Responsibility Our responsibility is to express an opinion on these financial statements based on our audit. We conducted our audit in accordance with approved standards on auditing in Malaysia. Those standards require that we comply with ethical requirements and plan and perform the audit to obtain reasonable assurance about whether the financial statements are free from material misstatement. An audit involves performing procedures to obtain audit evidence about the amounts and disclosures in the financial statements. The procedures selected depend on our judgement, including the assessment of risks of material misstatement of the financial statements, whether due to fraud or error. In making those risk assessments, we consider internal control relevant to the Club’s preparation of n ancial statements that give a true and fair view in order to design audit procedures that are appropriate in the circumstances, but not for the purpose of expressing an opinion on the eectiveness of the Club’s internal control. MINUTES OF THE ADJOURNED29TH ANNUAL GENERAL MEETING

Minutes of the Adjourned 29th Annual General Meeting at the Cerating Ballroom, The Raintree of Kuala Lumpur on Sunday, 28th September 2014 at 10.00 am.

The President, Mr Winson Han Mean Kwong called the Meeting to order. He welcomed and thanked members for their attendance. He also thanked Mr James Selvaraj from Omar Ariff & Co the Club’s Auditor for his presence.

President informed the House that financially the Club registered a larger deficit of RM627,000 compared to previous year. The larger deficit can be attributed to the increased in maintenance of the Club of RM296,000, depreciation of RM100,00, bad debts of RM51,000 and increase of funding for the Club activities of RM168,000 and also some increase in legal fees.

The President added that the Club’s collection on membership subscription on the average of 1819 members or RM218,299 the highest since 2002. There was no improvement in the Slot Machine takings which is still below RM1.3 million, the lowest in the last 20 years. The Club had suffered a deficit of 4 years in a row from 2010 to 2013 totally RM1.5million where the Slot Machine income is between RM1.3 to RM1.5 million. This is a departure from earlier 5 years of 2005 to 2009 when the Club shared profit from the Slot Machine were between RM1.7 at RM2.1 million which contributed a total surplus of 2.8million.

Regretfully to say the Club financial income are much dependant on the performance of the Slot Machine Room. President said 2014 and 2015 will be more challenging as operating cost will continue to increase. There were increase in electricity bills from about RM50,000 to RM70,000 a month following the revision on the tariff and would see more increases on other areas of operation in the near future especially after 1st April 2015.

MINUTES OF THE ADJOURNED29TH ANNUAL GENERAL MEETING

This is not because of the GST impact but the Club had enough output to offset any GST impose by the suppliers, goods and services. Other expenses are staff cost and Collective Agreement between the Club and Club Employees Union which is due for revision at the end of the year. The General Committee will look closely into the Club operations including funding for club and members activities, to reduce cost without sacrificing quality and the level of activities in the Club. The General Committee will look into the long term sustainability of the Club operations in particular the source of funding required to cover the increase of the Club operating expenditure.

On the facilities front, two of the five projects have been completed and the remaining of resurfacing of the three Tennis court will be completed in the month of November 2014. The upgrading of the Swimming Pool deck is scheduled to commence in the month of November 2014 followed by the upgrading of the kitchen equipment.

The Club had received compliments on the quality of the food & beverage and the General Committee is not resting on its laurels, but will continuously take steps to improve the menu, quality and services of the food and beverage section. Managing food cost is a challenge and need to strike a balance to be able to generate the subscription contribution to cover the operating cost of the operating outlets and also the pricing of the menu.

The revised Constitutional Rules which has gone through two Dialogues session will be finalize by the new Legal & Constitutional Rules Committee. The final Dialogue Session with the Members will be scheduled for the final text of the revised Constitutional Rules to be discussed at a EGM to obtain approval from the House.

On the Membership section, the terminated membership for 2014 has dropped to 165 as compared from 228 last year. This has contributed to the membership subscription as mentioned earlier. The General Committee will look to improve the price of membership and at the same time to bring down the number of terminated membership.

The President took the opportunity to thank the General Committee and members who have been elected to serve on Committees such as Tender Committee, Election Committee, Internal Audit Committee and other Sub-Committee and who have been appointed to serve as Convenors for their time, effort and contribution to the betterment of the club.

President mentioned that at 11.00am the Election Committee will conduct the election of office bearers for the term 2014-2016.

Item 3 : Confirmation of the Minutes of the Adjourned 28th Annual General Meeting held on 29th September 2013

Mr Looi See Chiong (M/Ship No. 0972-6) proposed and seconded by Mr James Lai Kim Hon (M/Ship No. 0454-3) that the minutes of the Adjourned 28th Annual General Meeting to be confirmed and adopted.

Item 4 : Matter Arising

There were no matters arising from both of the General Meetings held on the 7th July 2013 and 29th September 2013.

Item 5 : To receive the General Committee’s Report on the affairs of the Club for the preceding year

Mr Yeo Sek Khoon (M/Ship No. 0189-2) highlighted on the staff salary & emoluments as refer to page 49 under Administration Expenditure, the amount of RM1.9 million are the figure for the whole staff. Refer to page 19, under the Food & Beverage the staff cost is RM794,818, but on page 75 under Sports & Recreation the staff cost is RM435,971. After total the both section, the staff cost is RM1.2million. He would like the General Committee to explain further on the figure.

Another issue on page 20, under income & expenditure for Sports & Recreation is RM175,000 a year. But on page 75, there is another direct expenses of RM117,000 and he would like the General Committee to justify both of the figures as mentioned above.

President explained that there is no duplication on the figure as staff salary is concerned. Basically the staff salary is captured under the individual section so that the Club will know the cost of the individual section operation. The figure RM1.9million stated on page 49, is meant for other areas such as Administration, Membership, Accounts section.

Mr Suntoro Tjoe (M/Ship No.1198-9) noted that there are a deficit for the past 4 years and what is the General Committee intend to do to improve the Club or to zero down the deficit.

President said basically the Club depends on 3 to 4 sources of main income. One of the main source of income is from the membership subscription. The General Committee will look into reducing the terminated membership and that will increase the subscription revenue. The other main income is from the Slot Machine operator and the Club is working closely with them. The other is the food and beverage area and will look to improve the revenue from the food and beverage section.

Mr Robert Wong Seng Tuck (M/Ship No. 1734-9) enquired the reason of the Slot Machine income dropped for the past 4 years.

MINUTES OF THE ADJOURNED29TH ANNUAL GENERAL MEETING

President said as according to the Slot Machine operator, there are many opportunities outside the Club which have better games and even taking games at Genting has slowed down. President said only a handful of members patronize the Slot machine Room.

Mr Peter Lim Chee Min, the Treasurer made the clarification of Mr Yeo Sek Khoon’s question. Under the income of Sports & Recreation section on page 20, there is an income of RM133,000 with expenditure of RM175,000 resulting a nett of RM42,375. As refer to page 75, revenue of RM42,375 resulting from the nett of deficit for individual activities that was carried out by the Club. The RM117,000 is not directly activities of the club but to maintain such as towels, laundry and other expenses not related to the other activities.

President said the time is 11.00am and would like to handover the meeting to Mr Yeo Sek Khoon, the Election Committee Member to conduct the election.

Mr Yeo Sek Khoon informed the meeting that on 7th September 2014 at 12.14midnight, the nomination box were opened. Nomination forms were received without any contest for all positions.

Mr Yeo Sek Khoon announced the unopposed candidates for the following positions:-

There are no nomination forms received for the position of Tender Board Committee, Internal Audit Committee and Elections Committee.

Mr Yeo Sek Khoon handed over the floor to the President to continue the meeting followed by a word of thanks for Mr Yeo Sek Khoon.

Ir Bruce Chan Siew Keat (M/Ship No. 1119-6) followed up on Mr Peter Lim Chee Min answer pertaining to Mr Yeo Sek Khoon question, on page 75, notes 20, there is an amount on the emoluments and whether there is a double entry for Sports & Recreation (RM435,971) and Food & Beverage (RM794,818) as compared to another figure of RM1.9million.

Mr Peter Lim Chee Min said the RM1.9million is the total emolument for all staff. The figures mentioned for sports & Recreation and Food & Beverage are the breakdown as mentioned earlier.

Mr James Selvaraj, the External Audit said that the amount shown on page 75, notes 20 is the amount for Club’s activities as shown on page 49 and it is not a double counting, but it is a separate charge.

MINUTES OF THE ADJOURNED29TH ANNUAL GENERAL MEETING

President assured that the figures stated in the report is not double counting as this format report has been done for many years.

Mr Jimmy Chong Lip Chee (M/Ship No. 0480-0) suggested to re-arrange the presentation of the annual report format especially on the accounts report.

President said the next General Committee will look into the presentation of the accounts report.

Mr Henry Kok King Yan (M/Ship No. 0304-9) suggested many years ago that the Club opened the food & beverage outlets to other Club’s members to patronize the outlets to get some revenue for the Club. He also suggested to Mr Chow Seck Kai, the General Committee Members to organize a Tombola Section for Club’s Members to patronize. But meantime the Club will have to apply for the licence.

President thanked Mr Henry Kok King Yan for the suggestion and the next coming General Committee will look into the suggestion.

Mr Daniel Chi Kok Leong (M/Ship No. 1446-5) referred on page 19, staff cost for food & beverage in 2012 the amount is RM187,000 and in 2013 the staff cost is RM974,000. There is about four to five time increased in the staff cost and the other issue the deficit has increased tremendously. His opined that the Club should review some of the approved upgrading project and to look into how to increase the revenue for the Club.

President said the club took over the food & beverage operation in August 2012 and the figure shown is a part of the food & beverage operation by the Club and payment of remuneration.

The Club is trying not to increase the membership subscription fees but will be unavoidable. The last membership subscription increase was in 1993 from RM80.00 to RM100.00 which means, the past twenty years there has been no increase on membership subscription. But food costs have increased very high. The General Committee have thoughts to open the club to non-members or members from other Clubs to utilize the food & beverage outlets. President said maybe not all the club members are agreeable to open the food & beverage outlets to non-members or members from other clubs to utilize the outlets. President assures that the General Committee will be conscious about the cost, especially the operating costs.

President said the bulk of staff salary is under the Collective Agreement and there is nothing much that the club can do on the salary. The club had tightened expenses in other areas such as medical fees, uniforms, shoes, etc.

Ir Bruce Chan Siew Keat (M/Ship No. 1119-6) would like to express the outgoing and incoming President had done a great job for the past two years in maintaining the club standard although the club incurred losses this year.

MINUTES OF THE ADJOURNED29TH ANNUAL GENERAL MEETING

Mr Peter Yu Kok Ann (M/Ship No. 0783-8) opinion as mentioned by President to raise the membership fees was becoming avoidable because the last twenty (20) years there has not been increase. Even the Apartment or Condominium maintenance fee has increased. Looking at the food cost for example a bar of kit-kat twenty five (25) years ago was RM0.80 and now is RM2.60, but our membership fees has not increase. In a way if the Club increase the subscription fees another RM20.00, the Club will get another revenue of RM40,000 a month or 1/2million a year. The other way is to get new members, but the Club is tied up with limited of 2,200 members as mentioned in the Constitutional Rules. Since the membership upfront fees are low, he proposed that for new members the club charge are development fees which can be used towards the development fund. Another way to increase is the Concessionaires areas which the club can create more rooms and rent the rooms for event/functions.

Mr Gordon B. Reid (M/Ship No. 1096-4) would to refer on page 17, on the pie chart presentation which shows the percentages of Club’s incomes. The ¾ of the pie chart shows the income of membership subscription fees has been the Club major income after twenty (20) years.

Mr Henry Kok King Yan (M/Ship No. 0304-9) proposed and seconded by Datuk Nicholas S. Zeffreys (M/Ship No. 0359-9) to receive the General Committee’s Report on the affairs of the Club for the preceding year.

Item 6 : To receive the Audited Accounts for the year ended December 31 2013 and the Auditors’ Report thereon

Mr Henry Kok King Yan (M/Ship No. 0304-9) proposed and seconded by Mr Ng Boon Kuan (M/Ship No. 0437-8) to receive the Audited Accounts for the year ended 31st December 2013 and the Auditors’ Report thereon.

President thanked Mr James Selvaraj the Auditor of Omar Ariff & Co for attending the meeting.

Item 7 : To Appoint Auditors for the ensuing year and to authorise the General Committee to fix their remuneration

The Chairman informed the House that Messrs Omar Arif & Co have agreed to continue as Auditors of the Club without any increase to the audit fees.
