1. Identification name badges issued by the credentials committee shall be worn.

Identification name badges may not be transferred without proper action by the

credentials committee.

2. The president shall appoint a committee of three (3) to approve the annual gen-

eral meeting minutes.

3. Members must stand when wishing to speak. Upon being recognized, the mem-

ber shall give his or her name and office, title or league.

4. Debate shall be limited to one speech of not more than two (2) minutes for each

member on each debatable motion or bylaw amendment.

5. An amendment to strike out one word or a set of words in multiple places and to

insert a different word or a set of words in all of those places shall be in order,

and shall be deemed to include appropriate modifications in capitalization, num-

ber (singular or plural), and case (possessive).

6. Motions to close, limit, or extend debate shall require a two-thirds vote.

7. Members are required to follow rules of decorum in debate especially as it relates

to confining remarks to the pending item of business, avoiding the use of other

members’ names, and not carrying on discussion directly with another member.

Saturday, November 11, 2017

Call to order: President Paul Emhoff called the meeting to order at 10:00 a.m.

Parliamentarian Introduction: Emhoff announced Patricia Lewis, a professional registered parliamentarian, was appointed to serve as parlia-mentarian and will assist with making sure the meeting is conducted according to Robert’s Rules of Order.

Ohio North Board of Directors: Emhoff introduced the Ohio North Board of Directors. Present were Vice President David Ehlert, Secretary Pat-rick Cingel, Treasurer Ronald Gedrich, District I Commissioner Scott MacMillian, District II Commissioner Tom Pickett, and District III Commissioner Peter Kennedy.

Roll Call: Vice President David Ehlert conducted a roll call of the voting members for the Credentials Report.

Credentials Report: Ehlert presented the credentials report. Emhoff asked if there were any questions regarding the credentials re-port. Unanimous consent and the credentials report was adopted.

2017 AGM Meeting Rules:

Emhoff stated that each member was provided a printed copy of the meeting rules which were on page 4 of the AGM Book of Reports and asked if there were any questions regarding the meeting rules. Hearing none, Emhoff called for a vote on adoption. There was a two-thirds in the affirmative and the meeting rules were adopted.

Minutes:

Emhoff reported that the minutes of the 2016 AGM were approved by the 2016 Annual General Minutes Approval Committee. A copy of those approved minutes were included in the 2017 Book of Reports on pages 5 through 9.

Emhoff appointed the following people to serve on the 2017 Annual General Meeting Minutes Approval Committee: Jeff Grau (President of North Ridgeville Amateur Soccer League), Nic Olechnowicz (President of Greater Akron Ama-teur Soccer Association) and Sean Egan (President of Bay Soccer Club).

Financial Report:

Ronald Gedrich presented the Treasurer’s report and draft of the financial review.

In accordance with the Ohio Youth Soccer Association North Bylaws, our outside accounting firm performed a re-view for the year ending August 31st, 2016. The results of the audit are as follows:

For FY 2017, Ohio North’s revenue totaled $1,096,388, which was lower than budget, and expenses totaled $1,046,711, which were lower than budget.

This resulted in a net gain of $49,677 for the year. By comparison, in FY ’16, Ohio North’s total revenue was $1,291,949 and total expenses were $1,204,580, creating a net gain of $87,369. A nice job was done controlling expenses with reduced revenues which created a surplus.

Ohio North’s accounts receivable figure was $22,919 at year end compared to $13,624 last year.

Ohio North’s accounts payable figure was $18,813 at year end compared to $12,470 last year.

Ohio North prepaid expenses totaled $14,910 at year end compared to $31,766 last year.

Non‐cash donations made to Ohio North during FY ’17 increased. In FY ’16, Ohio North received approximately $1,730 in donated equipment, apparel, supplies and services from various contributors and sponsors. This year, approximately $5,950 was received.

Currently, Ohio North’s net assets total $1,570,283. This figure includes $484,084, which is currently undesignated. However, it is the policy of the Ohio North Board of Directors to review its plans for the future and to designate ap-propriate sums for future use, projects, etc. and as deemed appropriate. $1,086,199 is currently board designated for future field/and or building development.

Actions of the Board: Emhoff stated the actions of the board were included in the AGM Book of Reports on pages 24 to 25. The chair en-tertained a motion to approve the Actions of the Board. Motion by Tony Barzacchini (Avon Soccer League Associa-tion), second by Lee Wiswell (American Amateur Soccer League) to approve the Actions of the Board. Call for dis-cussion was made, hearing none, vote was taken. Motion adopted and the Actions of the Board were approved.

Constitution, Bylaws, Rules, Policy Changes:

Paul Emhoff stated the amendment to the Bylaw was on page 29 in the AGM Book of Reports.

AMENDMENT #1 – Audit

Amend Article V, Section 3

Striking “Audit” and replacing it with “Review”

Removing the mandatory audit every 5 years and replacing it with a yearly financial review

Inserting a full audit may be conducted at a request of a board member

After a call for discussion and a show of hands with two opposed, the amendment was adopted, and the bylaw was amended.

Elections: The next item of business was the election of the Ohio North Vice President, Secretary, District I Commissioner and District III Commissioner. According to Ohio North Bylaws Article 6, Section 5, nominations must be submitted no later than 30 days prior to the AGM and nominations from the floor shall not be allowed.

For each of the officer positions, only one nomination was received. For the office of Secretary, Sarah Hodgson was nominated.

According the Ohio North Bylaws Article VI. Officers, Section 5.B.1, provides that officers shall be elected by ballot at the annual general meeting. If there is but one (1) nominee for office, the vote may be taken by voice. For the of-fice of Secretary there are two (2) nominees, therefore the election of secretary is said to be ‘contested’; and a ballot vote will be taken. Before the ballot voting for this office, the chair will appoint a Tellers Committee and designate the Chairman.

The chair appointed Frank Muhl (Wadsworth Amateur Soccer Association) as the Tellers Committee Chairman, Tony Barzacchini (Avon Soccer League Association) and Lee Wisell (American Amateur Soccer League) as the Tellers Com-mittee.

For the office of Vice President, there were no nominations submitted in advance. Therefore, David Ehlert will remain in office since our bylaws do not allow nominations from the floor.

For the office of Secretary, Sarah Hodgson was nominated.

The Chairman (Frank Muhl) of the Tellers Committee provided instructions for the ballot vote for the office of Secre-tary.

CURRENT WORDING EFFECT OF PROPOSED AMENDMENT

Audit. The financial records shall be audited every five (5) years at the end of the fiscal year, by an independent auditor, and such other times as requested by the board of di-rectors. In years between audits, a review of the financial statement will be done at the end of the fiscal year by an independent au-ditor. The full audit or review report shall be presented to the members at the Annual General Meeting.

Announcements: Emhoff introduced Jen Fickett announcing to the members that she accepted the position of Ohio Norths Exec-utive Director position.

President’s Report Paul R Emhoff

Executive Director

After a year and two months without an Executive Director, Ohio North hired Jen Fickett, who started on January 4, 2018. Prior to her appointment, Jen served as the US Youth Soccer Mid-west Regional Administrator for three and a half years, where she accumulated the experience and institutional knowledge of US Youth Soccer and U.S. Soccer policies and programing. One of Jen’s first responsibilities was to implement a new registration system for Ohio North: Stack Sports, formally Blue Star. The transition has been very challenging, but, thankfully, Jen has the technical skills to meet the challenges presented to Ohio North and the other state associations also opting for early adoption.

US Youth Soccer Fees

This fall the US Youth Soccer Board of Directors voted to increase player membership and vari-ous other program fees. (Ohio North is a member of US Youth Soccer.) A $0.50 per member fee increase is to be implemented with the current 2018/2019 seasonal year. This initial fee in-crease will be funded by the US Youth Soccer Midwest Regional reserves.

An additional US Youth Soccer fee increase of $0.75 per member will also be implemented in the 2019/2020 seasonal year. Ohio North will be responsible for the aggregate fee increase of $1.25 per member beginning in the 2019/2020 seasonal year.

In the past, Ohio North has absorbed some of these membership and program fee increases. However, moving forward, we will need to pass these fee increases onto our membership. Ohio North has not increased membership fees since 2002; prior to that, there was a $0.50 per play-er increase to US Youth Soccer in 1995. The Ohio North Board of Directors has been committed to keeping membership fees as low as possible for almost 17 years. As we all know, the cost of running a household or business has risen in 17 years.

Ohio North Fees

Additionally, Ohio North will be increasing player registration fees effective for the 2019/2020 seasonal year, which will add an additional $1.25 to the aforementioned US Youth Soccer mem-ber fee increase. We plan to enhance our current program offerings and provide additional pro-grams and services as value added member benefits. Watch for more information regarding player registration fees in the coming weeks.

Ohio North is a financially healthy organization and is committed to being proactive versus reac-tive; however, we cannot rely solely on sponsorship or investment funds to operate the organi-zation. We are in the process of reviewing our current membership and program structure in anticipation of further incremental member fee increases by US Youth Soccer in subsequent years.

As a proud member state association of U.S. Soccer, we are under an obligation and required to follow their policies and provide many services to the soccer community; however, we do not receive any funding from them and are a self-supporting organization.

Referee Shortage

As you may already know, we are facing a serious referee shortage, not only in Ohio North, but in many other state associations, as well. The shortage becomes more of an issue during the fall high school season. As administrators, coaches, players and parents, we need to help promote, educate and support referees or we will continue to lose qualified young adults and adults.

Over the years, I have seen very good adults and young adults who have great potential simply choose not to recertify and never to return to the program again. Some of this is due to the verbal harassment, abuse and sometimes physical assault on the referee. These types of behaviors are unacceptable and needs to stop. We all have a responsibility to put an end to these unhealthy environments or we will continue to lose more referees. A person be-comes a referee mostly because of the enjoyment of officiating the sport and secondly for the extra income. If a referee can no longer get enjoyment from officiating, the income is not worth the rising issues they face. This is especially true among the female referees. We had many females, both young and adult, who have the required skill and knowledge for officiat-ing, leave the program as well. Ohio North is dedicated in helping the State Referee Commit-tee (SRC) to retain, recruit, develop and change the officiating environment for the referee.

Treasurer’s Report Ronald Gedrich In accordance with the Ohio North Bylaws, our outside accounting firm performed a review for the year ending August 31, 2018. The results of the audit are as follows:

For FY 2018, Ohio North’s revenue totaled $1,131,523and expenses totaled $1,067,013.

This resulted in a net gain of $64,510 for the year. By comparison, in FY ’17, Ohio North’s total revenue was $1,096,388 and total expenses were $1,046,711, creating a net gain of $49,677. A nice job was done controlling expenses to correspond with increased revenues which created a good surplus.

Ohio North’s accounts receivable figure was $111,695 at year end compared to $22,919 last year.

Ohio North’s accounts payable figure was $12,373 at year end compared to $18,813 last year.

Ohio North’s prepaid expenses totaled $14,910 at year end compared to $14,910 last year.

Non‐cash donations made to Ohio North during FY ’18 decreased as there were none. In FY ’17, Ohio North received approximately $5,950 in donated equipment, apparel, supplies and services from various contributors and sponsors.

Currently, Ohio North’s net assets total $1,634,793. This figure includes $26,828, which is cur-rently undesignated. However, it is the policy of the Ohio North Board of Directors to review its plans for the future and to designate appropriate sums for future use, projects, etc. and as deemed appropriate. $1,543,455 is currently board designated for future field/and or building de-velopment.

Independent Accountant’s Review Report

To the Board of Trustees of Ohio Youth Soccer Association North, Inc.

We have reviewed the accompanying financial statements of Ohio Youth Soccer Association North, Inc. (a nonprofit organization), which comprise the state-ment of assets, liabilities, and net assets – modified cash basis as of August 31, 2018, and the related statements of revenues, expenses, and net assets – modified cash basis and cash flows – modified cash basis for the year then end-ed, and the related notes to the financial statements. A review includes primar-ily applying analytical procedures to management’s financial data and making inquiries of management. A review is substantially less in scope than an au-dit, the objective of which is the expression of an opinion regarding the fi-nancial statements as a whole. Accordingly, we do not express such an opinion.

Management’s Responsibility for the Financial Statements

Management is responsible for the preparation and fair presentation of these financial statements in accordance with the modified cash basis of account-ing; this includes determining that the modified cash basis of accounting is an acceptable basis for the preparation of financial statements in the circumstanc-es. Management is also responsible for the design, implementation, and maintenance of internal control relevant to the preparation and fair presenta-tion of financial statements that are free from material misstatement whether due to fraud or error.

Accountant’s Responsibility

Our responsibility is to conduct the review engagement in accordance with Statements on Standards for Accounting and Review Services promulgated by the Accounting and Review Services Committee of the AICPA. Those standards require us to perform procedures to obtain limited assurance as a basis for reporting whether we are aware of any material modifications that should be made to the financial statements for them to be in accordance with the modi-fied cash basis of accounting. We believe that the results of our procedures provide a reasonable basis for our conclusion.

Accountant’s Conclusion

Based on our review, we are not aware of any material modifications that should be made to the accompanying financial statements in order for them to be in conformity with the modified cash basis of accounting.

Basis of Accounting

We draw attention to Note A of the financial statements, which describes the basis of accounting. The financial statements are prepared in accordance with the modified cash basis of accounting, which is a basis of accounting other than accounting principles generally accepted in the United States of

Executive Director’s Report Jen Fickett

As your new Executive Director, I want to thank Ohio North President Paul Emhoff and the Board of Directors for their confidence in me to help guide our organization through a diverse and ever changing landscape. Over the past 10 months, most of my time and energy has been spent on familiarizing myself with the Ohio North landscape, assessing the organization’s operational structure and procedures, evaluating programs and overseeing the development and implemen-tation of our new technology partner’s registration system.

My commitment to you is a member’s first approach reflected in everything we do to be a re-sponsive service organization that supports it members. It’s about building trust, fostering mem-ber relationships and unlocking value through member benefits. You will experience a renewed emphasis of engaging our current members as well as identifying groups that are unaware of the programs and services offered through Ohio North and US Youth Soccer.

In order to provide our membership with an enhanced value experience, we have restructured our staff. I am pleased to announce that Ohio North hired Jessica Eberle to serve as a full-time Events & Programs Manager. In this role, Jessica will be responsible for the oversight and daily management of Ohio North events and programs, including but not limited to, State League, Ohio North Premier League, State Cup, Presidents Cup and Bothwell Cup.

Jessica joins us after working for the US Youth Soccer Midwest Region for the past three years. She is no stranger to creating and maintaining quality environments and operational standards for the elite player experience. She has passionately provided administration for Mid-west ODP, US Youth Soccer Midwest Regional Championships, US Youth Soccer Midwest Presi-dents Cup and the former Midwest Regional League.

Jessica Chambers will serve as Marketing & Digital Media Manager. In this role, Jessica will be responsible for effective brand marketing for Ohio North events and programs, communications, website, social media and partner activation.

DeAnna Leonard will serve as our Member Services Administrator and will be your registration point of contact for both Stack Sports and Affinity. Additionally, DeAnna will continue to manage teams participating in the Great Lakes Conference, travel, out of state permission, tournament teams and accounts payable/receivable.

Bernie Telmanik will serve as our Program Administrator, providing support for all Ohio North events and programs. Bernie will continue to administer ODP, State League, coaching schools, tournament sanctioning, risk management and insurance.

We will also be announcing some event and program enhancements in the coming weeks, in-cluding but not limited to, hosting Presidents Cup, an alternate competitive event to run concur-rently with State Cup for a chance at a state, regional and national title, and restructuring State League. It will be our mission to lead and promote a relentless pursuit of excellence for all events and programs, while increasing our brand and name recognition with an emphasis on quality programs and services.

As you know, change does not happen overnight and often takes months to work through. With that being said, I encourage you to contact me to further discuss how we can better service your organization as well as provide additional services. Ohio North is a stronger organization when stakeholders are working together.

Recently U.S. Soccer’s newly formed Youth Task Force Leadership Council held their first meet-

ing in mid-October to begin addressing critical issues facing youth soccer in America. This coun-

cil, currently comprised of leadership from AYSO, SAY Soccer, US Club Soccer, USSSA, US

Youth Soccer and U.S. Soccer developed the following guiding “We believe” excerpted statement:

…that players should be kept at the center of every decision, and should be provided with

an environment that is fun, inclusive and safe.

…that coaches should participate in courses and educational opportunities that match their

ambition.

…that referees should be treated with respect and provided with the resources that allow

them do develop and enjoy the experience.

There are many faces of youth soccer – across all ages and levels of competition – and

we are unified in our desire to grow the sport together.

I challenge all of us to focus on our WHO, WHY, HOW and WHAT. As stakeholders, we are all

united towards a mission to teach, coach and mentor players to love the game. We have the op-

portunity to engage more players, parents, coaches and referees as well as partners and spon-

sors while, simultaneously enhancing our events and programs.

On behalf of Ohio North, thank you to our members for your continued support and the countless

volunteers and professionals who dedicate time and energy to promote youth soccer, especially at

the grassroots level. Thank you to our Ohio North Board of Directors for volunteering your time

and the vision you provide for the future. And thank you to our staff members Tom Turner, Brad

Evans, Jessica Chambers, Jessica Eberle, DeAnna Leonard and Bernie Telmanik who anchor the

Technical Director’s Report Thomas Turner, PhD

US Soccer Player Development Initiatives

The US Soccer Player Development Initiatives (PDI’s) became mandatory for member organiza-tions in August of 2018. Two years on from the “soft-adoption” in fall 2017, there is still resistance to the PDI’s from non-US Youth Soccer members inside Ohio North. Player and coach development aside, this stance is having a significant impact on referee development, given that all leagues share the same pool of US Soccer officials.

US Soccer Grassroots Coaching Education (GRCE) and the Professional Pathway The curriculum for the GRCE courses is geared towards recreation-level coaches and those with limited soccer background. Everyone who completes the course assignments is expected to pass – at virtually every level.

This creates a dilemma for coaches who need more information to prepare them to successfully coach in the State and Regional leagues. The first license in the US Soccer pathway offering a serious discussion of “soccer” is the “C” course, which requires two in-person, one on-line, and a D” license to attend. The process will take at least 12 months and cost in the region of $1800.

US Soccer Instructor License

US Soccer is now requiring a “B” License and an Instructor License to deliver their 4-hour in-person courses. The Instructor License requires two 4-day visits to regional locations, homework assignments, and the scheduling of a local Grassroots course. From a pool of over 30 instructors, Ohio North currently has three US Soccer “qualified” instructors: Brad Evans, Pat Sweeney and Tom Turner. In addition, Goran Tomic and Matt Kutner will be attending a November-February course in Minnesota. Our ability to staff any increased demand for courses is a concern and, cur-rently, there are no projected instructors in the Toledo or Youngstown area or Mansfield areas.

State Cup Awards

The Ohio North Club Cup is awarded to the club which accumulates the most points from the group stage in the U13 through U19 divisions. Team Challenger was top club in the boy’s divisions for the fourth time, while Internationals SC captured bragging rights on the girl’s side for the first time since 2011.

The Ohio North Developmental Cup recognizes clubs demonstrating a broad-based approach to player development by fielding a minimum of five teams in the U10-U12 divisions at the US Youth Soc-cer National Championship Series State Cup in June. Pacesetter SC and Team Challenger meet the re-quirements in the boy’s divisions; while GTFC Impact, Internationals SC and Pacesetter SC met the chal-lenge on the girl’s side.

State Referee Committee Thomas Chapman, SRA

This report will outline the business and activities of the State Referee Committee and its members in support of the Referee Program of the United States Soccer Federation in Ohio -North for the 2018 Registration cycle. This encompasses a period from July 1, 2017 through June 30, 2018.

During the year noted, the State Referee Committee held 5 business meetings and one Exec-utive Committee strategic planning meeting. All meetings were held at the OYSAN office in Brecksville except one in October that was held at the Diamond Sports Complex in North Can-ton, OH on Sunday afternoon of the Bothwell Cup Tournament. This has been done for sev-eral years to show support for this Youth event in OHN and and allow our members to ob-serve games, referees and make themselves available to teams and parents.

The primary focus of the State Referee Committee is the registration of Referees and other support groups for the Ohio-North Referee Program. For the 2018 Registration Cycle 1850 Referees (of all grades) were registered as well as 37 Futsal Referees. We registered 35 In-structors, 20 Assessors and 71 Referee Assignors to support the program. These groups were registered during the course of a total of 105 clinics that were held all across OHN over several months. The State Referee Committee also sponsored an Advanced Referee Clinic in December specifically targeted to Referees who officiate higher level matches in Ohio -North and are placed at Regional and National Championship events. We were pleased to have Richard Grady of Illinois serve as the lead Instructor for that clinic. Richard serves on the staff of the Regional Youth Referee Committee and has officiated at the highest levels in the United States.

Members of the State Referee Committee supported National and Regional events by having members attend most of these events. The SRA, SYRA and State Registrar attended the Na-tional Youth Soccer Association national convention in Philadelphia, PA. The SRA, SDI, SDA and State Registrar attended the US Soccer Administrators National Conference in Dallas, TX. The SYRA and the SDA both attended and were part of the administration for the USYSA Re-gion II Championships Tournament. The SYRA was part of the staff for the USYSA National Championship in Texas. The SRA attended the Hank Steinbrecher Cup Championship that was held in Independence, OH; The Region II Mid-Year Meeting and Tournament of Champi-ons in Ft. Wayne, IN.

To support Local, Regional and National events, the SRC approved assignment of Referees to the OYSAN State Cup at all venues, and the LESL and NCSL Championships. A delegation of 18 Referees four Mentors and a Head of Delegation were sent to the USASA Region II Cham-pionship. Three of our members of that delegation where chosen to represent Region II at the National Championships. Four Referees and a Mentor (acting as Head of Delegation) were assigned to the Presidents Cup. On the Adult side, four Referees were assigned to offi-ciate at the Fricker/Mengle Cup in Pontiac, MI and our crew worked the Mengle Cup Final. Four Referees and one Assessor were assigned to the Region II Tournament of Champions in Ft. Wayne, IN and several were assigned to the final games in that tournament.

All in all, another successful year for the Referee Community in Ohio-North.

GLC Report (Formally MRL) DeAnna Leonard

2017-2018 Season

The Midwest Regional League (MRL) mission is to provide the highest standard of competitive play for youth teams in US Youth Soccer Region II (the Midwest Region) and to assure the continued growth and development of elite level players.

Throughout the 2017-2018 MRL Season, Ohio North was represented by 26 different clubs. The follow-ing clubs made up our Ohio North teams. Ambassadors FC, Anthony Wayne, Bowling Green SC, CAK Premier, Canton United, Cleveland FC, Cleveland Inferno, Cleveland Kickers, Cleveland Whitecaps, Con-cordia, CSA Impact United, Croatia/Euros Jrs., Greater Toledo Futbol Club, Internationals, Liberty FC, Mansfield Crew, Metro Toledo FC, Ohio Premier, Pacesetter, Pennine, Pro Soccer Academy, Shaker PFC, Team Challenger North, Team Challenger South, Toledo Football Academy, Toledo Celtics, X-Treme Soccer Club and Upper 90.

For the 2017 Fall Season, Ohio North had a total of 10 boys and 11 girls teams 14U – 15U represent. A total of 100 Ohio North teams ages 13U thru 18U registered to the MRL for the 2017-2018 seasonal year. Eight out of the 100 teams also participated in the National League during the Spring 2018 sea-son. All MRL applications for Ohio North teams are filtered through the State Office and then communi-cated to Region II Commissioner, Tom Frisbie.

Eight out of the 100 teams who participated in the 2018 Spring MRL season, took first in their respec-tive divisions. The teams that won their divisions were;

In addition to their accomplishments in league play, 12 Ohio North MRL teams won their age division in State Cup, and 16 MRL teams advanced to regionals including 4 wild card teams. Congratulations to all of our teams and their accomplishments!

2018 Season Moving Forward

The re-imagined US Youth Soccer Leagues Program commenced in the Fall of 2018 and features a net-work of Conferences (formerly known as Regional Leagues) that are geographically focused, under one leadership and management structure, and linked into the highly successful National League and National Championship Series.

The US Youth Soccer National League Midwest Conference is one of 13 Conferences under the new program in the Multi-State Tier. The Midwest Conference consists of teams primarily from Illinois, Wis-consin, Michigan, Missouri, Iowa, Kansas, Nebraska, North Dakota, South Dakota and Minnesota. The top teams in the Conference will earn advancement to the US Youth Soccer Regional Championships, part of the US Youth Soccer National Championship Series, as well as a chance to earn a coveted spot in the National Tier of the Leagues Program, the US Youth Soccer National League.
