I n t r o d u c t i o n

Let's create a unique clock that is composed of photos of group employees from all over the world

AISIN GLOBAL CLOCK BY 90,000 EMPLOYEES

We will launch the AISIN GLOBAL CLOCK, one of the winning projects to commemorate the group‘s 50th anniversary, selected from many competing ideas and plans proposed by employees themselves. The concept comes from a desire to create one thing together, including all Aisin employees of 180 group companies in different countries, to commemorate the group’s 50th anniversary. We would like to invite you, as a member of the Aisin group, to contribute your pictures and messages, a simple but effective means of introducing the charms of your country, workplace, and people working together, to your fellow employees all over the world.

Structure of the AISIN GLOBAL CLOCK

AISIN GLOBAL CLOCK

In the AISIN GLOBAL CLOCK program, we divide a day, 24 hours, into 1,440 minutes and assign one

image for each minute. The website clock changes every minute to show the pictures and messages

contributed by our employees. We would like to ask you to contribute 1,440 images to be posted on this

picture clock.

- Observe the rules of each workplace, including security control rules, in shooting photos for the program.

- Obtain all members' acceptance and signature on a consent form before participating in this program. Persons

appearing in a picture should accept and sign the consent form at the top of the submission site.- Aisin will not bear any costs related to shooting and posting, which should be born by each company. Each company

should work out within an affordable extent.- The clock time to be allocated to each company will be decided by us. Please assign each one minute of allocated

time within your company and take pictures according to the Time-specific Assignment Table prepared by your company.

- Please contact the responsible desk at each company, if there are any questions on this matter.

Photo shoot

Put your creative ideas in shooting a picture that best represents the clock time allocated to each company/division.* All people in a picture should agree with and sign up the consent form.

Completion and availability of the clock

The clock will be available from September 2015 (plan) for one year   on site. You may use the clock on your PCs or smartphones.n the Aisin Group 50th anniversary

1. Use a digital camera or a smartphone.2. Shoot all pictures in landscape orientation.3. Clearly show the clock time, large enough to be seen by viewers. (Show the time by using a board, numerical

panels, human letters, etc.)4. Ensure sufficient margin from the edge of picture. The picture may be trimmed, so people should gather

in the center. * Persons at the side of a picture may disappear when the image is processed and posted on the website.

1. Show the clock time in 12 hour format. (Refer to the Time-specific Assignment Table for more

2. We cannot accept the following pictures.   - A picture without a clear view of clock time

  - A picture in portrait orientation

  - A picture that may infringe the intellectual property rights of a third party (including copyright and

trademark rights)*   (Example: a picture including a famous person and/or a passer-by who is not related to Aisin.)

  - A picture that may give disadvantage to a third party (including infringement of privacy and image

right)*   (Examples: a picture showing a car license plate, personal information, and/or a person not related to Aisin)

  - A picture that offends public order and morals* (Example: a picture showing a naked person or a person in

underwear)

   * Please note that the similar figure in background or in reflection (such as on window glass, eye glasses, or luster surface) is

also prohibited.

Submission procedure (1)

(1) Download a consent form from the top of the submission site.

You can switch the language of top page (only) by using the language selection button at the top of the screen.

(Other pages are described in three languages side by side: Japanese, English, and Chinese.)

Download a consent form. Accept the consent form and sign.

(2) All participants must acknowledge the details of the consent form and sign over the printed list of participants.

(3) Scan the signed consent form to create a PDF or JPEG file.

* Name the file by using the control number.(Example: A0001.pdf, B1159.jpg, etc.)(4) Save the file, so that you can attach it

later in the submission screen.

Verify the submission terms and log in.

(4) Check the contributor submission terms.(5) Enter ID and password.(6) Click the "I accept the submission terms"

button.

Download a consent form.

Submission procedure (2)

Enter your message and select an image file. Check the contents again.

(16) Verify your picture, control number, and message.

* Click the Cancel button to return to previous screen for correction.

(17) Click the OK button to finish.

Finish.

(18) Completion screen appears.

Click this button to select a consent form.

Maximum 120 bytes.* Enter the message in about 60 letters in Japanese/Chinese, and in about 20-30 words in English.

Check the contents again.

Click to return and modify the previous screen.

Click to finish and go to the completion screen.

Enter the company name and the division name.

Click this button to select an image file.

Enter the control number in five one-byte alphanumeric characters, which were informed together with your clock time.

Aisin Seiki Co., Ltd. (Address: 2-1 Asahi-machi, Kariya, Aichi, Japan: “Aisin Seiki”) executes a project celebrating the 50th anniversary of Aisin Group, called “AISIN GLOBAL CLOCK” (the “Project”), and invites officers and employees of Aisin Group companies that desire to participate in the Project (the “Participants”) to submit photographs (the “Photos”) for the Project. The Participants (including the Submitters, Photographers and Photo Subjects, as defined below) must agree to these Terms and Conditions before participating in the Project (the Participants are deemed to have agreed to these Terms and Conditions by their participation).

[How to Make Submission] ●Any person who submits the Photos (the “Submitter”) must obtain signatures of all people, who have taken the Photos (the “Photographers”) and who appear in the Photos (the “Photo Subjects”), on the attached signature form to certify that they agree to these Terms and Conditions (no one may sign the signature form on behalf of others). The Submitter must submit the Photos with a data file (such as in JPG, PDF or TIF), which contains a scanned copy of the signed signature form in clear resolution, to the Aisin G50 Project Committee (the “Committee”) using the following website: [Submission Website] https://upload.aisin50.com (Aisin G50 Project Committee)

[About the Project]●Aisin Seiki will make the Photos, names of companies, names of divisions and comments, among other information (collectively as the “Submission”), available to public on the Internet until August 31, 2016 (as scheduled) as part of images comprising the Project. The Participants shall only make submission to the Project or participate in the Project upon acknowledging that the Submission will be made available to public.●Officers and employees of Aisin Group companies freely and voluntarily participate in the Project, and it is not obligatory. Therefore, the Participants must ensure that they do not require or force anyone, including subordinates, to participate in the Project. ●The Participants must comply with the rules applicable to their workplace, including the confidentiality regulations, when participating in the Project such as taking the Photos.

[Points to be Remembered When Making the Submission]●Even if any expense is incurred to participate in the Project, Aisin Seiki and Aisin Group companies, including the company that the Participants belong to (collectively as “Aisin”), will not bear any such expense.●The Committee will not return the Submission to the Participants. Even if the Participants no longer work for Aisin, Aisin will not accept any request from the Participants or other people for deletion or change of the Submission.●The Participants acknowledge that if the Committee determines that the Submission is inappropriate, the Committee may request to make another submission, change part of the Submission without approval of the Participants or refrain from using the Submission for the Project.

●The Submitter must not make any submission if the Submission includes or may include any of the following:・ Any image or comment that infringes upon any intellectual property right (including copyright, patent right, utility model

right or trademark right) of Aisin or any third party;・ Any image or comment that has any adverse effect on Aisin or any third party (including infringement of portrait right

and privacy right, slander, libel, obstruction of business, contractual breach and breach of confidentiality);・ Any image or comment that is against public order and morals; or・ Any image or comment that is not appropriate for the Project (for example, the Submitter must not submit any image

or comment that: includes inappropriate gestures, inappropriate clothing or naked bodies; portrays drinking; suggests criminal or other inappropriate conducts; defames Aisin or any third party; or harms the reputation of Aisin).

※The Submitter warrants that the Photos will be taken with the attention not to include anyone who has not consented to the use of the Photos (including people irrelevant to Aisin), any confidential information and any information that may be used to identify particular individuals such as personal data and personal information (including accidental inclusion in the background) and that there is no accidental inclusion of any such person or information in the Photos.

●The Participants, including the Submitters, are responsible for resolving any claim, problem, dispute, damage claim or action (for the purpose of this clause, collectively or severally as the “Claim”) that a third party, including other Participants, may raise in relation to making submission or participating in the Project before, during or after the Project. Aisin will not be involved in any such Claim, and the Participants must indemnify and hold Aisin harmless from any expense or compensation related to the Claim. If Aisin receives such Claim from any third party, the Participants must cooperate, including provision of information, with Aisin at no charge and bear any expense or damage that Aisin may incur in relation to the Claim.

●The Participants (including the Photographers, the Submitters and the Photo Subjects) agree that any and all rights including copyrights (all rights described in Articles 21 through 28 of the Copyright Act) associated with the Submission made by the Submitter belong to Aisin Seiki and that Aisin and any licensee of Aisin may exploit, including use, display, transmit, broadcast or screen, the Submission without any limitation in its original form or edited or processed form without any approval from the Participants. Furthermore, the Participants must not enforce the moral right of an author with respect to any such exploitation of the Submission by Aisin or any licensee of Aisin and must not assert any claim or complaint based on infringement of such right.

●The Participants, who make submission or participate in the Project from any country outside of Japan, agree that personal information/personal data included in the Submission will be transferred outside of their country to Aisin Seiki in Japan (the “Consent”). By contacting [Contact information for privacy related inquiries], any of the Participants may request to revoke the Consent by specifying the name of his/her company and division, his/her name, the Photos and the comment at issue. If the Participant revokes the Consent, Aisin Seiki will delete the Submission within the time required to process such deletion and terminate the use of the Submission.

●Any dispute related to these Terms and Conditions and/or the Submission is subject to the exclusive and agreed jurisdiction of the Nagoya District Court in the first instance.●Any dispute related to these Terms and Conditions and/or the Submission is governed by the laws of Japan.

[Personal Information]Aisin Seiki will use any personal information that it collects from the Participants only for the purpose and within the scope expressly designated herein in accordance with Aisin’s Protection of Personal Information Basic Policies. The personal information that Aisin Seiki collects from the Participants for the Project will be used only for the project celebrating the 50th anniversary of Aisin Group and will not be provided to any party except for a subcontractor(s) of Aisin Seiki retained for creating the system of the Project.
