General Termsof Sale
AIR IS OUR FUTURE
General Terms of SaleThe present General Terms of Sale shall apply to all orders received after the date of issue of this price list.They are subject to change without any obligation to notice on our part and are fully accepted with the sending of each order.
With the entry into force of this price list, all previous editions of our General Terms of Sales and of our price lists are to beconsidered in all respects outdated and no longer valid.
1. PricesProducts will be invoiced at the prices prevailing at the date of our order acceptance, except for the occurrence where betwe-en the date of our acceptance of the customer’s order and the actual date of delivery significant cost increases supervene; in such an event, we reserve the right to define new prices with the customer.
Prices include the cost of standard packaging as defined in our Price List; any special packaging, specificallyrequested by the customer and provided feasible for us, will be charged at its cost. VAT is not included in the prices listed in our Price Lists. For the application or non application of VAT in the invoice for the supply, the relevant legal provisions in force in Italy on the day of billing shall apply.
2. Terms of deliveryThe term of delivery shall be agreed at our receipt of the order or at our acceptance of such order, unless sold and barring production interruptions or lacking supply from our suppliers, and subject to availability of suitable transportation if order delivery was agreed on a CPT basis.
It is the seller's faculty to process the order in partial shipments without giving effect for cancellation by the customer. The customer will be entitled to cancel the order if the goods will not be delivered within thirty days from the expected delivery date stated in the order confirmation and, in any case, after three months from the order confirmation, excepting different agreements which, in any case, have to be expressly stated in the order confirmation itself.
If non-compliance of the agreed date of delivery is due to force majeure, the delivery date shall be deemed to be extended for the whole duration of such events and of their possible direct consequences. The Seller will promptly inform the customer of the occurrence of such cases of force majeure and - where possible – will indicate a new expected delivery date, without any obligation on his part. The customer must be informed promptly in case of any further changes to this new delivery date due to force majeure or to delays in the preparation of the ordered goods arising from such force majeure.
Non-compliance of the delivery date and the consequent indication of a new delivery date due to force majeure do not entitle the customer to cancel the order concerned and do not entitle him to any kind of claims against Aircom Srl.
3. DeliveryExcept otherwise agreed expressly and in writing, our deliveries are always understood to be ex our works in I-15067 Novi Ligure (AL), Italy.
4. ShipmentsIn all cases where the means of delivery is not explicitly mentioned by the customer, the shipment will be done in the way we consider most appropriate. Even if sold on CPT basis, the goods travel at the risk of the customer. In case of sale on a CPT basis, every choice and decision on the means of delivery is our sole competence. Any insurance of goods in transit must be specifically requested by the customer and will be at his expense.
5. PackagingIn order to ensure product integrity, quicker delivery times and to facilitate product storage at the customer’s premises, we may round up ordered quantities to the next higher number of packs.
All packaging (including pallets) is understood to be one-way packaging.
6. Minimum order quantitiesAll orders with a net total amount of less than Euro 200 (two hundred Euro) will be charged with a fixed amount of10 Euro (ten Euro) as a lump sum contribution to the cost of billing.
7. PayementsFor any reason at all the customer may defer payment beyond the agreed terms. In the event of a delay in payment longer than 10 (ten) days or of a rejection of the means of payment agreed with the customer, the customer will be automatically charged with the fees and interests at the current rate of discount increased by 6 (six) percent. Unless otherwise specified, payment of the goods shall be understood to be at 30 (thirty) days from the date of invoice, net.
The payments must be made by bank transfer to our Italian bank account. Any reductions for the discount require our prior written agreement.
8. Retention of titleAircom Srl reserves the ownership of delivered goods, including any software or licenses to use such software, until the complete fulfillment of all obligations for payment by the customer.
9. WarrantyAll products included in this price list are guaranteed of excellent quality and perfectly complying with standards stated in the current issue of our technical catalogue. AIRCOM’s warranty is limited to replacement of material which has been eventually determined byAIRCOM to be defective and, in any case, within the limits and the termsestablished by legislation in force in Italy at the time of the complaint.
The warranty granted covers a period of two years from the sale of the product and will expire, however, even within the period specified above if:
- the supplied material is used outside of the conditions of use indicated by us and, in any case, in a way which is not conforming with rules of proper application and use of similar products;
- the supplied material was modified in any way. In this regard it should be noted, that the buyer incurs any liability by law for any changes he will make to our products.
Any report concerning defects or malfunctions relating to our products must be made within 48 (forty-eight) hours after theiroccurrence and any case after becoming aware of such defect or malfunction. Such reports must be submitted in writing and onlyto our Head Office, at the address shown in this price list.
10. ControversieJurisdiction for all disputes which could not be settled in an amicable way or by the action of an arbitration panel will be in any case the Court of Alessandria, Italy.
