APPENDIX A

FORM OF CONTRACT

This contract ("Contract") is entered into by and between the City of Beverly Hills ("City"), a California

municipal corporation, ________________________________________________ a _______________,

whose address is____________________________________________________. In consideration of the agreements herein contained, the parties agree as follows: 1. WORK TO BE PERFORMED. Contractor shall furnish at Contractor's own expense all labor, materials, supplies, equipment, tools, transportation and other items of expense necessary to complete in a workmanlike manner all Work in accordance with the terms and conditions of the Contract, except for the labor, materials, supplies, equipment, tools, transportation and other items of expense as may be required to be furnished by the City. The Work is defined in detail in the Contract Documents, which govern the interpretation and performance of this Contract, but may be generally described as follows:

ROXBURY PARK FIELD RESTROOM BUILDING PROJECT Item Description: Demolition and replacement of an existing 700 square foot restroom building; the new building will be sited in approximately the same location as the existing. The building consists of the construction of new masonry walls, steel stud framing wrapped in a synthetic-wood material at the vestibules, and institutional grade plumbing fixtures on the interior at the Roxbury Memorial Park located at 471 S. Roxbury Drive in the City of Beverly Hills. 2. CONTRACT DOCUMENTS. This contract consists of this Form of Contract and the following Contract Documents, including all exhibits, appendices, addenda, drawings, specifications and documents therein and attachments thereto, all of which are by this reference incorporated herein and made a part of this Contract:

APPENDIX B

SCOPE OF WORK 1.0 SCOPE OF WORK 1.1 Scope of Work shall be as described and in accordance with plans, dated October 4, 2013 and

technical specifications prepared by RTK Architects Inc., 3975 Landmark Street, Culver City, CA 90232.

1.2 The scope of work includes: General Description: Demolition and replacement of an existing 700 square foot restroom building; the new building will be sited in approximately the same location as the existing. Coordinate related work and modify surrounding work to integrate the Work of each alternative. 1.3.1 Deductive Alternate No. 1: Include deductive alternate for material cost only where Resysta siding has been called out on the documents. In the event that the deductive alternate is selected, the material will be provided by the owner, and contractor installed. otherwise authorized by the City, the site will be available to the contractor Monday - Friday, 8:00 AM - 5:00 PM.

3.2 Activities which create noise, vibration, fumes or similar disruptions which are, in the opinion of

the Owner's Representative, detrimental to the normal operations of the facility shall only be performed as approved in advance by the Owner's Representative.

3.3 Contractor shall control the conduct of its employees so as to prevent unwanted interaction with the owner's staff, public or other individuals except those associated with the project

3.4 Storage will be limited to the project area. 3.5 Contractor shall provide all temporary structures, measures, apparatus and services required to

prosecute the Work of this bid package while maintaining legal egress for pedestrians and safe drive access for motorists.

3.6 All utility service and building system connections or required interruptions shall be coordinated in

advance with the Owner's Representative. 3.7 Upon award of Contract, Contractor shall submit an itemized schedule of values in a format

acceptable to the Owner's Representative. 3.8 Contractor may submit a letter upon award of contract certifying its intent to provide the specified

materials/products/equipmetn and provide record submittals after materials/products/equipment orders have been placed.

3.9 Contractor shall have a competent representative on the Project site at all times Work is in

progress. Communication given to the representative shall be binding as if given to the contractor. Contractor shall immediately replace any individual who ceases to perform his duties satisfactorily, in the opinion of the Owner's

3.10 Rubbish, debris, waste, dust or surplus materials shall not be allowed to accumulate and shall be

removed continuously and disposed of by the Contractor as the work progresses. The owner may elect if required, upon written notice to the Contractor, to perform cleanup, the cost for which will be deducted from the Contract amount. Only one rubbish removal company is allowed to operate within the City. Their contact information may be obtained from the City’s Commercial Solid Waste Division at 310-288-2806.

3.11 Contractor shall submit schedule information to the Owner's Representative for the project with

updates as work progresses on the project. 3.12 Contractor shall submit as-built drawings, warranties and service manuals upon completion of the

work.

APPENDIX C

PAYMENT PROCEDURES

1.0 PROGRESS PAYMENTS 1.1 Based upon Applications for Payment submitted to the City, the City shall make progress payments on account of the Contract Sum to the Contractor as provided below. 1.2 The period covered by each Application for Payment shall be one calendar month. 1.3 City shall make payment to the Contractor within thirty (30) days after receipt of a proper Application for Payment. 1.4 Each Application for Payment shall be based upon the approved Schedule of Values submitted by the Contractor. The Schedule of Values shall allocate the entire Contract Sum among the Various portions of the Work and be prepared in such form and supported by such data to substantiate its accuracy as may be required. 1.5 Applications for Payment shall indicate the percentage of completion of each portion of the Work as of the end of the period covered by the Application for payment. 1.6 The amount of each progress payment shall be computed as follows: 1.6.1 Take that portion of the Contract Sum properly allocable to completed Work as determined by multiplying the percentage completion of each portion of the Work by the share of the total Contract Sum allocated to that portion of the Work in the Schedule of Values, less retention of five percent (5%). 1.6.2 Add that portion of the Contract Sum properly allocable to materials and equipment delivered and suitably stored at the site for subsequent incorporation in the completed construction (or, if approved in advance by the City, suitably stored off the site at a location agreed upon in writing), less retention of five percent (5%). 1.6.3 Subtract the aggregate of previous payments made by the City. 1.7 Securities may be provided in lieu of retainage as follows: 1.7.1 At the request and expense of the Contractor, upon execution of a proper escrow agreement, securities equivalent to the amount withheld shall be deposited with the public agency as the escrow agent, or with a state or federally chartered bank as the escrow agent, and the public agency shall then pay such monies to the Contractor. 1.7.2 Upon satisfactory completion of the contract, the securities shall be returned to the Contractor. 1.7.3 Securities eligible for investment under this section shall include those listed in Section 16430 of Government Code, bank or savings and loan certificates of deposit, interest bearing demand

deposit accounts, standby letters of credit, or any other security mutually agreed to by the Contractor and the City. 1.7.4 The Contractor shall be the beneficial owner of any securities substituted for monies withheld and shall receive any interest thereon. 1.7.5 The escrow agreement to be used hereunder is attached hereto. 2.0 FINAL PAYMENT 2.1 Final Payment, constituting the entire unpaid balance of the Contract Sum, shall be made by the City to the Contractor when (1) the Contract has been fully performed by the Contractor except for the Contractor's responsibility to correct nonconforming Work as agreed to between the City and the Contractor; and (2) a final Certificate for Payment has been submitted by the Contractor and approved by the City; and (3) the work has been accepted by the City Council of the City of Beverly Hills; and (4) a Notice of Completion has been filed. Final payment shall be made by the City not more than forty (40) days after completion of the above, but only to the extent that no stop notices or other requirements to withhold funds are then in effect.

ESCROW AGREEMENT FOR SECURITY DEPOSITS IN LIEU OF RETENTION

This Escrow Agreement is made and entered into by and between ______________________________ whose address is ______________________________________________ (hereinafter called "City"), whose address is (hereinafter called "Contractor"), and _______________________________________ whose address is ______________ , (hereinafter called "Escrow Agent"). For consideration as hereinafter set forth, Owner, Contractor, and Escrow Agent agree as follows: (1)Pursuant to Section 22300 of the Public Contract Code of the State of California, Contractor has the option to deposit securities with Escrow Agent as a substitute for retention earnings required to be withheld by City pursuant to the Construction Contract entered into between City and Contractor for ___ ____________________in the amount of _______________,dated(hereinafter referred to as the "Contract"). When Contractor deposits the securities as a substitute for Contract earnings, the Escrow agent shall notify City within ten days of the deposit. The market value of the securities at the time of the substitution shall be at least equal to the cash amount then required to be withheld as retention under the terms of the Contract between City and Contractor. Securities shall be held in the name of _____________________________________, and shall designate Contractor as the beneficial owner. (2) ___________________________________________________________________________ City shall make progress payments to Contractor for such funds which otherwise would be withheld from progress payment pursuant to the Contract provisions, provided that Escrow Agent holds securities in the form and amount specified above. (3) Alternatively, City may make payments directly to Escrow Agent in the amount of retention for the benefit of Owner until such time as the escrow created hereunder is terminated. (4) Contractor shall be responsible for paying all fees for the expenses incurred by Escrow Agent in administering the escrow account. These expenses and payment terms shall be determined by Contractor and Escrow Agent. (5) Interest earned on the securities or the money market accounts held in escrow and all interest earned on that interest shall be for the sole account of Contractor and shall be subject to withdrawal by Contractor at any time and from time to time without notice to City. (6) Contractor shall have the right to withdraw all or any part of the principal in the Escrow Account only by written notice to Escrow Agent accompanied by written authorization from City to Escrow Agent that City consents to the withdrawal of the amount sought to be withdrawn by Contractor. (7) City shall have the right to draw upon the securities in the event of default by Contractor. Upon seven days' written notice to Escrow Agent from City of the default, Escrow Agent shall immediately convert the securities to cash and shall distribute the cash as instructed by City. (8) Upon receipt of written notification from City certifying that the Contract is final and complete, and that Contractor has complied with all requirements and procedures applicable to the Contract, Escrow Agent shall release to Contractor all securities and interest on deposit less escrow fees and charges of the Escrow Account. The escrow shall be closed immediately upon disbursement of all monies and securities on deposit and payments of fees and charges. (9) Escrow Agent shall rely on the written notifications from City and Contractor pursuant to Sections (4) to (6), inclusive, of this agreement and City and Contractor shall hold Escrow Agent harmless from Escrow Agent's release and disbursement of the securities and interest as set forth above.

1. INTRODUCTION

In accordance with your request and authorization to proceed, Ninyo & Moore has performed a

hazardous building material survey (HBMS) of the Beverly Hills Recreation Center located at

471 South Roxbury Drive in Beverly Hills, California (subject site) (Figure 1). Our services

included the performance of an asbestos-containing materials (ACM) survey, a lead-containing

surfaces (LCS) survey, and visual identification and quantification of building materials

potentially falling under the California Department of Toxic Substances Control (DTSC)

Universal Waste Rule (UWR) and other potential hazardous building materials. This report has

been prepared in accordance with generally accepted environmental science and engineering

practices. This report is based upon conditions at the site at the time of the sampling activities

and provides documentation of our findings and recommendations.

2. PURPOSE AND SCOPE OF SERVICES

The objective of this survey is to provide information about current conditions within the

buildings of the subject site regarding the potential presence of ACMs, LCSs, and other

hazardous building materials. For the purposes of this assessment, LCS refers to both lead-based

paint (LBP), as defined by the California Department of Public Health (CDPH) and U.S. Department

of Housing and Urban Development (HUD), and other potential lead-containing materials, including,

but not limited to, ceramic tiles. The CDPH stipulates that paint or other surface coatings

containing an amount equal to or in excess of one milligram per square centimeter (mg/cm2), or

more than one-half of one percent (0.5 percent) by weight, constitute a LBP. In the County of

Los Angeles, Title 11 Health and Safety Chapter 11.28 “Lead Hazards” stipulates that materials

containing lead or its compounds in excess of 0.7 mg/cm2, constitutes a lead-bearing substance

(LBS). For purposes of this assessment, LBS is also included as a LCS. The HUD guideline for

designating a painted surface as lead-containing is consistent with the CDPH. In accordance with

the scope of services, it is our understanding that the building in the scope of work is planned for

demolition. Our scope of work performed for the study is identified below.

Performance of a visual reconnaissance of the interior and exterior of the structure to be demolished at the site to evaluate for the possible presence of ACMs and LCSs.

Collection of seven samples, consisting of fourteen layers of bulk samples and submittal of these samples to an independent laboratory for analysis of asbestos content. Samples were analyzed via the United States Environmental Protection Agency (EPA) recommended method of Polarized Light Microscopy (PLM) in accordance with EPA Test Method 600/R-93/116 July 93.

Collections of 30 x-ray fluorescence (XRF) readings of potential LCS (including calibrations).

Collection of seven paint chip samples and submittal of these samples to an independent accredited laboratory for lead analysis content. Samples were analyzed by Flame Atomic Absorption Spectrometry Method SW 846 3050B/7000B.

Collection of one ceramic tile sample and submittal of this sample to an independent accredited laboratory for the Total Threshold Limit Concentration (TTLC) by the EPA reference method SW846.

A visual assessment for potentially hazardous building components including wet electrical transformers (possible polychlorinated biphenyl [PCB]-containing oils), fluorescent light bulbs (possible mercury), fluorescent light ballasts (possible PCB-containing oils), high intensity light bulbs (possible mercury), thermostat switches (possible liquid mercury and/or batteries), emergency lighting and exit signs (possible lead acid or other metal containing batteries or tritium), heating, ventilation, and air conditioning (HVAC) and refrigeration systems (possible chlorofluorocarbon [CFC] gas), and other possible hazardous materials.

Preparation of this HBMS report which presents our findings and summarizes the assessed materials. This report includes sample location maps, a site description, laboratory testing information, conclusions and recommendations, Preparation of this report summarizing our field activities, laboratory test results, conclusions, and recommendations.

3. SITE DESCRIPTION

The restroom structure (site) is located within Roxbury Park, located at 471 South Roxbury

Drive in Beverly Hills, California (Figure 1). The building is an approximate 600 square feet

(SF) slab on grade structure. The concrete flooring substrate is unfinished. The interior and

exterior walls are either brick or wood and are unfinished. The interior ceiling is also unfinished

wood. The wood roof deck is covered with asphalt shingles.

4. FIELD LIMITATIONS

Since non-destructive sampling techniques were used, there is a possibility that additional ACMs

and LCSs may be encountered in inaccessible areas (e.g., interstitial wall and ceiling spaces as

well as roof areas) during building demolition activities.

5. SAMPLE COLLECTION

On December 31, 2013, Ninyo & Moore personnel conducted the ACM and LCS surveys. The

surveys generally followed EPA and HUD guidelines, within the limitations of the project scope

of work. The ACM survey was performed by a California Department of Occupational Safety

and Health (DOSH) Certified Asbestos Consultant. Certification documentation is presented in

Appendix A. The survey consisted of visually locating suspected asbestos containing building

materials, inventorying and quantifying homogeneous sampling areas, and collecting suspect

building materials from the subject structure. The LCS survey was performed by a CDPH Lead

Inspector/Assessor. The LCS survey was performed by collecting a combination of paint chip

samples, ceramic tiles, and XRF readings.

5.1. Asbestos Survey

A preliminary visual assessment and bulk-sampling survey of suspect ACMs within the

structure was performed. Representative samples of the suspect ACMs were collected after

identification of homogeneous sampling areas (areas in which the materials are uniform in

color, texture, construction or application date, and general appearance). Each homogeneous

area was observed for material type, location, condition, and friability. Representative

samples were collected from each homogeneous area within the survey area, except areas

that were inaccessible, or areas of assumed ACM, within the limitations of the survey.

Samples were collected using EPA-recommended sampling procedures.

Seven samples, consisting of 14 layers of suspect ACMs were collected and transferred to

LA Testing. LA Testing is an accredited laboratory in the National Voluntary Laboratory

Accreditation Program for bulk asbestos fiber analysis. The samples were analyzed using

PLM with dispersion staining for the presence and quantification of asbestos fibers, in

general accordance with EPA method 600/R-93/116 July 93. The lower limit of reliable

detection for asbestos using the PLM method is approximately 1 percent by volume.

California regulations define asbestos containing construction materials (ACCMs) as those

materials having asbestos content of greater than 0.1 percent. Materials in which no asbestos

was detected are defined in the laboratory report as “None detected.” Materials containing

asbestos, but in amounts less than 1 percent, are defined as containing “trace” amounts, and

for the purpose of this report are assumed to be ACCM.

Building materials which were sampled and analyzed for the presence of asbestos are

presented in Table 1. The approximate locations of suspect bulk asbestos samples collected

are shown on Figure 2. A copy of the laboratory analytical report and chain-of-custody

record is presented in Appendix B.

5.2. LCS Survey

The LCS Survey was conducted using a portable NITON XLp 300A XRF spectrum analyzer

in accordance with accepted environmental science and engineering practices. The testing

methodology utilized is presented in Appendix C. A total of 30 XRF readings (including

calibrations) were collected from all representative testing combinations (e.g., unique

combination of room equivalent, building component, and substrate) within the restroom

structure designated for demolition. Note that the LCS detection limit used for the survey

was 0.7 mg/cm2.

Additional representative paint chip and ceramic tile samples were collected for selected

painted or glazed surfaces. A total of seven paint chip samples and one ceramic tile sample

was collected. Paint chip and ceramic tile samples were transferred to LA Testing for

analysis of lead content. LA Testing is accredited for environmental lead analysis through

the CDPH Environmental Laboratory Accreditation Program (Laboratory Identification

No. 1406). Locations of suspect lead containing samples collected are shown on Figure 2.

Based on the CDPH guidelines, 0.5 percent by weight was used as the detection limit for the

paint chip samples. Fifty milligrams per kilogram (mg/kg) was used as the TTLC detection

limit for the ceramic tile sample. Paint that is chipping or peeling, or that may be removed

from surfaces, and has a lead content equal to or greater than 1,000 mg/kg) requires handling

as a California Title 22 hazardous waste. In addition, under California Occupational Safety

and Health Administration Construction Safety Orders, Lead Title 8, Section 1532.1 CA,

“Lead In Construction Standard,” specific worker protection measures are required in

construction projects where lead is present.

Building materials which were sampled and analyzed for the presence of lead are presented

in Tables 2, 3, and 4. The approximate locations of suspect paint chip and ceramic tile

samples collected are shown on Figure 2. A copy of the laboratory analytical report and

chain-of-custody record is presented in Appendix B.

5.3. Miscellaneous Hazardous Building Materials Survey

Ninyo & Moore conducted a visual hazardous building materials inventory. Materials of

potential concern included wet electrical transformers (possible PCB-containing oils),

fluorescent light bulbs (possible mercury), fluorescent light ballasts (possible PCB-

containing oils), high intensity light bulbs (possible mercury), thermostat switches (possible

liquid mercury and/or batteries), emergency lighting and exit signs (possible lead acid or

other metal containing batteries or tritium), HVAC and refrigeration systems (possible CFC

gas), and other potential hazardous materials. In accordance with the scope of work, positive

identification of the suspect hazardous material, via analytical testing, was not performed.

6.1. Asbestos

Based on observations and the analytical results of bulk samples collected during this

survey, ACMs were detected in the structure. Bulk sampling results and laboratory analyses

is summarized and presented below in Table 1.

6.1. Miscellaneous Hazardous Building Materials

Miscellaneous potential hazardous building materials observed within the structure included

4-foot fluorescent light bulbs and the associated light ballasts. Approximate quantities of the

bulbs and ballasts observed during the inspection are presented below in Table 4.

Fluorescent light bulbs are classified as light tubes under the DTSC UWR materials (i.e.,

containing mercury gases). Light ballasts manufactured until the late 1970s commonly

contained PCBs.

7. RECOMMENDATIONS

Since ACMs, and LCSs were identified at the subject site, the following recommendations are

provided:

The identified ACMs should not be disturbed. Prior to demolition work which would disturb identified ACMs, a licensed asbestos abatement removal contractor should remove the ACMs.

Applicable laws and regulations should be followed, including those provisions requiring notification to regulatory agencies, building occupants, renovation contractors, and workers of the presence of asbestos and LCSs.

The identified LCSs should not be disturbed. Any LCSs in a non-intact condition should be abated or the component properly encapsulated.

Lead was detected in samples collected in building materials at the site therefore contractors must comply with the California Lead in Construction Standard, Title 8 CCR Section 1532.1.

Miscellaneous hazardous building materials discussed in this report should be removed and properly recycled or disposed by a licensed contractor prior to demolition activities.

8. LIMITATIONS

Ninyo & Moore’s opinions and recommendations regarding environmental conditions, as

presented in this report, are based on limited sampling and chemical analysis. Further assessment

of potential adverse environmental impacts may be accomplished by a more comprehensive

assessment. The samples collected and used for testing, and the observations made, are believed

to be representative of the area(s) evaluated. However, if additional suspect ACMs or LCSs are

encountered during demolition activities, these materials should be sampled by a qualified

personnel, and analyzed for content prior to further disturbance. In addition, please note that

quantities of ACMs and LCSs are approximate. These numbers should be confirmed prior to

removal activities.

The environmental services described in this report have been conducted in general accordance

with current regulatory guidelines and the standard-of-care exercised by environmental

consultants performing similar work in the project area. No warranty, expressed or implied, is

made regarding the professional opinions presented in this report. Variations in site conditions

may exist and conditions not observed or described in this report may be encountered during

subsequent activities.

XRF TESTING METHODOLOGY

To assess the painted surfaces for future contractor worker safety, x-ray fluorescence (XRF) test-ing technologies were utilized. The testing was conducted in general accordance with the following regulation: Title 17, California Code of Regulations, Division 1, Chapter 8, Accredita-tion Certification, and Work Practice in Lead Related Construction, Section 36000.

After a visual assessment, accessible painted surfaces were screened for lead content with a NITON XLp 300A XRF spectrum analyzer. XRF readings were taken using the standard paint mode. Standard paint mode measurements have no predetermined testing length, and automati-cally adjust to account for various types of substrates and material’s densities. In the standard paint mode, the NITON 300A XLp XRF collects an XRF assay until either a K-shell or L-shell result is indicated as either positive or negative, compared to the threshold level based on the current precision of the test. Correction for paint matrix and substrate effects is performed auto-matically by the XRF analyzer.

XRF readings were made on testing combinations in all room equivalents in an effort to test typ-ical materials that are representative of the room equivalent. Testing combinations were tested non-destructively by holding the shutter of the XRF against the surface being tested. At each XRF assay location, the trigger is depressed to open the shutter, and one reading was made using the standard paint testing mode. Results of each assay were recorded in the memory of the XRF spectrum analyzer and downloaded via the software provided by the manufacturer. In addition, the results of each assay were read and recorded on the XRF Data Sheet field data sheet.

The XRF testing orientation is depicted on the attached sample location maps. The “A” direction was initially assigned to the direction of the street, and the subsequent directions (“B,” “C,” and “D”) were assigned clockwise from the “A” direction. Should the subject site be located on the corner of two streets, the “A” direction is assigned to the direction of the street address of the subject site.

To ensure that the XRF equipment was working properly, various quality control tests were per-formed before, during, and after the on-site work. At the beginning of the work day, three start up validation measurements were made in the K and L calibration mode, using the calibration check standard associated with the particular XRF that was used. This painted standard contains a known quantity of lead and allows the XRF operator to determine whether the instrument is functioning within acceptable tolerance ranges for accuracy and precision, as determined by the manufacturer. Calibration checks were generally collected on the red 1.06 milligrams per square centimeter (mg/cm2) and/or yellow 1.57 mg/cm2 Standard Reference Material paint film, devel-oped by the National Institute of Standards and Technology.

In addition to the three starts up tests, calibration readings are collected between each building, after four hours, and at the completion of XRF testing. Results of each calibration reading were recorded within the memory of the XRF spectrum analyzer and on the XRF Data Sheet. The quality control tests taken during testing at the subject site were within the acceptable perfor-mance range prescribed by the XRF equipment manufacturer. Documentation of the quality control calibration check is included in the Table 4.
