Confidentiality Agreement• In connection with entering into discussions with the Aparthotel Spokane Corporate Housing “the Company”,
dba Turning Leaf Furnished Townhomes at 20 E. Pineridge Ct., Spokane, WA 99208, and Autumn Leaf Furnished Apartments at 12911 W. 13th Ave., Spokane, WA 99001, “the Properties” the undersigned Purchaser and/or Broker (Parties) agree to treat all documents provided by the Company and discussions with the Company relating to the potential purchase of the above referenced properties as strictly CONFIDENTIAL. Parties are further advised that the Seller has indicated that all inquiries concerning the Property and all communications with respect to the sale of such Property be directed to the Company.
• Parties further agree not to use or disclose any information or documents provided to Parties by the Company, regardless of whether they are individually identified as CONFIDENTIAL, without the written consent of the Company. All informational materials relating to the Property shall continue to be the property of the Company and shall be used for the sole purpose of evaluating the Property. Parties agree to take all reasonable precautions to protect the confidentiality of such information and, upon written request by the Company, to immediately return any documents to the Company, which contain or reflect such Confidential Information. Although we have endeavored to include such information as we believe pertinent for the purposes of evaluation of the Property for investment potential, Parties understand and acknowledge that neither the Company nor Seller make any representation or warranty as to the accuracy or completeness of the information. Parties further understand and acknowledge that the information used to prepare any materials provided were furnished by sources deemed reliable but have not been verified and are subject to Parties’ own investigations and diligence. Parties agree that neither Seller nor the Company shall have any liability for any reason to Parties nor their advisors resulting from the use of the materials provided in connection with the pursuit of securing an investment in the Property, whether consummated or not for any reason. No representation of environmental condition of the properties has been made.
• Parties acknowledge that the Property is subject to prior sale, contractual obligation, or withdrawal from the market for any reason without notice. The Company and Seller retain the right in their sole discretion to withhold information from Parties if, in their determination, the Purchaser is not a qualified Purchaser. Such qualifications may include but are not limited to financial capability, relevant industry experience, net worth, and demonstrated ability to complete a transaction of this type and size. The Company may request and Parties agree to supply information which may be deemed relevant in determining the qualification of the Purchaser.
• Should Purchaser contact the Company directly without Broker representation then said Purchaser hereby represents and warrants that Purchaser has not contacted or entered into any agreement with any real estate broker, agent, finder, or any other party in connection with this transaction, and that it has not taken any action which would result in any real estate broker's, finder's, or other fees or commissions being due or payable to any other party with respect to the transaction contemplated hereby. Additionally, Purchaser, for all properties provided by the Company, agrees to protection of the Company as procuring cause of resultant transaction including although not limited to assurance of standard and equitable compensation for said role. Parties specifically agree not to enter into any discussions with any employee or guest at the Property about any matter relating to business operations or a potential sale of the Company. In the event of any material breach of the provisions of this agreement the Company and/or Seller shall be entitled to equitable relief in addition to all other remedies available at law or at equity. This agreement shall be interpreted in accordance with the laws of the State of Washington. The venue for any action shall be Spokane County, Washington.

Capitalization Rate: 7.72% based upon net operating income of $485,004
Analysis is based upon operating entity Classyproperties.com, dba Spokane Corporate Housing Aparthotel,
(“Company”) accountant-compiled 2016 through 2018 company tax return, accountant-compiled 2nd
quarter interim profit and loss statement dated 6/1/19 and accountant-compiled 2019 proforma.
• Sourced from May 2019 interim profit and loss, percentage of long-term residents are at an all-time
high as evidence by 71% of gross sales.
• Historical gross sales break down of short-term and long-term tenants has remained relatively
constant at approximately 40% and 60% of total sales, respectively, until the December 2017
purchase of Autumn Leaf Furnished Apartments which produced higher long-term resident’s sales.
• Solid net operating income performance with upward trend
• While short-term resident sales has given the company higher profitability compared with similar
multifamily units in size and scope, consistently increasing long-term resident sales, as evidenced by
the upward trend in over 30-day stays as a percentage of gross sales, has afforded the company
earnings consistency and stable labor costs.
• Pet and administrative fees have consistently added approximately 2-3% to the gross sales figure
year-over-year.
• Aparthotel net operating income from operations has a four-year inclining trend with exception of
year 2017 where 65% of available TLTH apartments for rent were taken out of service for
renovation.
• Increase in fiscal year 2017 and 2018 payroll expense is attributed to completion of TLTH renovation
projects and purchase of ALFA.
• Built in December 2017, ALFA has almost 2 full years of financials and absorption giving the
property time to project a historical financial track record.
• Merchant transactions, as percent of gross sales, downward trend is attributable to less reliance on
short-term resident credit card sales and online travel agents.
• While 2016 – 2019 year-over-year occupancy average is in line with the average local hotel
competitive set, further upside sales potential may be gained from an increase in long-term resident
occupancy to match multifamily industry average.
• Gross sales inclining trend is anticipated to continue momentum on a proforma basis due to several
major entities expanding into the area such as Mullen Technologies, Fairchild AFB additional planes,
Amazon, Exotic Metals, and Boeing/Triumph.
Steadily increasing gross sales with concentration on long-term resident sales points to this companies’
financial stability and its ability to produce above-average cashflow in this industry segment. With the
corporate housing/aparthotel industry segment growing in momentum combined with this aparthotel’s
net operating income upward trend, investment risk mitigation is apparent and continued growth is
predicted.

On Tuesday, Oct 23, 2018, Spokane Mayor Condon held a telephone town hall meeting to discuss multiple topics and solicit feedback from the public. One of the questions asked was:
“How Optimistic are you about Spokane’s Future?” 77% Optimistic!
Realtor.com, a Santa Clara, Calif.-based online research and real estate seller, ranks Spokane as 21st out of 300 metros nationwide on its list of Hottest Real Estate Markets for December 2018, with a “Hotness Index” rating of 86.79 out of a potential score of 100.
Spokane County also was ranked first out of all counties in Washington, with a Hotness Index of 94.64, out of 100, for the third quarter of 2018. The state’s most populous counties—King, Pierce, and Snohomish—had ratings in the mid to low 50s.
