"the Licencee"

for the operation of a hazardous waste transfer station (the "facility"), for the storage andthen shipment of waste magnesium turnings, lead-acid batteries, and nickel-cadmiumbatteries, and other types of battery, located on the property described as 2141 LoganAvenue, in The City of Winnipeg, and in accordance with the Application dated June 8,1993 and the additional information dated December 15, 1997, April 13, 1999, July 14,2005, January 11, 2011 and November 9, 2011 and filed under The Dangerous GoodsHandling and Transportation Act and subject to the following restrictions and conditions:

DEFINITIONS

In this Licence,

"lead-acid batteries" means batteries formerly used as a source of electromotive force fora means of transport;

"magnesium turnings" means a solid composed of magnesium or a magnesium alloy;

"nickel-cadmium batteries" means batteries containing cadmium that can be classified asleachable toxic waste (L7) as per Manitoba Regulation 282/87 Classification Criteria forProducts, Substances and Organisms; and

"other batteries" means batteries and cells listed in Appendix "A"; and

"waste battery" means a battery or cell that:a) through use, storage, handling, defect, damage, expiry of shelf life or other

similar circumstance can no longer be used for its original purpose; orb) for any other reason, the owner or person in possession of the battery intends to

dispose of it;

GENERAL TERMS AND CONDITIONS

This Section of the Licence contains requirements intended to provide guidance to theLicencee in implementing practices to ensure that the environment is maintained in such amanner as to sustain a high quality of life, including social and economic development,recreation and leisure for present and future Manitobans.

1. The Licencee shall implement a high standard of equipment maintenance and goodhousekeeping and operational practices with respect to the facility, at all times.

2. The Licencee shall reduce the production and dissemination of wastes by initiatingand maintaining waste reduction and waste recycling programs.

3. The Licencee shall erect a fence or barrier of a minimum height of 2.4 meters torestrict access to the facility by unauthorized personnel. This fence or barrier shallhave a locking gate, which shall be locked at all times except to allow access andegress from the facility. Proper signs shall be posted in a conspicuous location aroundthe storage area.

4. The Licencee shall not receive or store at the facility any hazardous waste, as definedby Manitoba Regulation 282/87 Classification Criteria for Products, Substances andOrganisms; or subsequent amendment, other than lead-acid batteries, wastemagnesium turnings, nickel-cadmium batteries, and other batteries.

Waste Magnesium Turnings

5. The Licencee shall maintain, at the facility, records related to waste magnesiumturnings. These records shall include, but not be limited to the following:

a) the name and address of the supplier and the quantity, as weight, of wastemagnesium turnings received on a daily basis; and

b) all duly completed manifests pursuant to Section 12 of The Dangerous GoodsHandling and Transportation Act.

6. The Licencee shall submit a summary of the records maintained at the facility,pursuant to Clause 5 of this Licence, to the Director on a quarterly (every threemonths) basis.

7. The Licencee shall store the waste magnesium turnings in sealed drums on a pallet orother device acceptable to the Director.

8. The Licencee shall not permit the inventory of waste magnesium turnings at thefacility to exceed 11000 kilograms.

9. The Licencee shall provide information to the local fire department so that it is madeaware that the facility contains waste magnesium turnings, and in case of a fire at thefacility, appropriate action can be taken so that water is not allowed to enter thesealed drums of waste magnesium turnings.

Nickel-Cadmium Batteries

10. The Licencee shall maintain, at the facility, records related to waste nickel-cadmiumbatteries. These records shall include, but not be limited to the following:

a) the name and address of the supplier and the quantity, as weight, of wastenickel-cadmium batteries received on a daily basis; and

b) all duly completed manifests pursuant to Section 12 of The Dangerous GoodsHandling and Transportation Act.

11. The Licencee shall submit a summary of the records maintained at the facility,pursuant to Clause 10 of this Licence, to the Director on a monthly basis.

12. The Licencee shall store the waste nickel-cadmium batteries in a sealed containeracceptable to the Director.

13. The Licencee shall not permit the inventory of waste nickel-cadmium batteries at thefacility to exceed 45400 kilograms.

Lead-Acid Batteries

14. The Licencee shall maintain, at the facility, records related to waste lead-acidbatteries. These records shall include, but not be limited to the following:

a) the name and address of the supplier and the quantity, as weight, of waste lead-acid batteries received on a daily basis; and

b) all duly completed manifests pursuant to Section 12 of The Dangerous GoodsHandling and Transportation Act.

15. The Licencee shall submit a summary of the records maintained at the facility,pursuant to Clause 14 of this Licence, to the Director on a monthly basis.

16. The Licencee shall store the waste lead-acid batteries in an area where the floor isresistant to acid.

17. The Licencee shall store the waste lead-acid batteries off the ground on a pallet orother device acceptable to the Director to a maximum height of not more than threebattery heights.

18. The Licencee shall place a minimum of two layers of corrugated cardboard or othermaterial which will prevent casing ruptures between successive layers of waste lead-acid batteries.

19. The Licencee shall store the waste lead-acid batteries in an area that is covered by aroof constructed in a manner acceptable to the Director.

20. The Licencee shall not store the waste lead-acid batteries in an area that contains anysewer lines that are connected at any point to the City of Winnipeg sewer system.

21. The Licencee shall have effective neutralizing materials or materials approved by theDirector for the containment or clean-up of spills conspicuously placed in an areawithin the storage area.

22. The Licencee shall not permit the inventory of waste lead-acid batteries at the facilityto exceed 45400 kilograms or 2500 batteries.

Other Batteries

23. The Licencee shall maintain, at the facility, records related to waste other batteries.These records shall include, but not be limited to the following:

a) the name and address of the supplier and the quantity, as weight, of waste otherbatteries received on a daily basis; and

b) all duly completed manifests pursuant to Section 12 of The Dangerous GoodsHandling and Transportation Act.

24. The Licencee shall submit a summary of the records maintained at the facility,pursuant to Clause 23 of this Licence, to the Director on a monthly basis.

25. The Licencee shall store the waste other batteries in an area where the floor isresistant to acid.

26. The Licencee shall store the waste other batteries in the manner described for eachtype of battery or cell pursuant to the information in Appendix "A".

Financial Assurance/Insurance

27. The Licencee shall, within 30 days of the date of this Licence, post with the ManitobaDepartment of Conservation in the amount of $10,000 Cdn:a) a permit bond issued by a surety company licenced to do business in the

Province of Manitoba;b) an irrevocable letter of credit; orc) another acceptable security satisfactory to the Director.

This permit bond, irrevocable letter of credit, or other security and renewals thereofshall remain in place for the duration of the operation of the facility. The Director

may order forfeiture of the permit bond, irrevocable letter of credit, or other security,either in whole or in part, by giving written notice to that effect to the Licencee, uponthe Director being satisfied that the Licencee is in breach of any specification, limit,term or condition of this Licence, or for reimbursement of any costs or expensesincurred by the Province of Manitoba in rectifying environmental damage caused orcontributed to by the operation of the facility.

Contingency/Emergency Response Plan

28. The Licencee shall submit to the Director for approval, within 60 days of the date ofthis Licence, a contingency plan, in accordance with the Manitoba IndustrialAccidents Council (MIAC) Industrial Emergency Response Planning Guide,outlining procedures to be used in the event of a leak, spill, fire, or other hazardouscondition at the facility.

REVIEW AND REVOCATION

A. This Licence replaces Licence No. 23 HW RRR which is hereby rescinded.

B. If, in the opinion of the Director, the Licencee has exceeded or is exceeding or hasor is failing to meet the specifications, limits, terms or conditions set out in thisLicence, or if in the opinion of the Director a hazardous situation exists, theDirector may, temporarily or permanently, revoke this Licencee.
