SECTION 2.1 FINANCIAL PROPOSAL

2.1.1 DEFINITIONS The prices in this section are given in accordance with the following definitions:

2.1.1.1 “Sepro”

Shall mean Sepro Mineral Systems Corp

2.1.1.2 “Client” Shall mean Minera Larmahue Ltda.

2.1.1.3 “Supply”

Shall mean Design, Procurement, Manufacturing, Expediting, Inspection and Delivery, on EXW Langley, B.C. CANADA basis of equipment as specified and defined in the technical specification unless stated otherwise.

2.1.1.4 “Supervision of Installation”

Shall mean supervision of the installation of mechanical equipment by a competent field service engineer. At the same time, operating and maintenance personnel will be instructed in the use of the equipment.

Should the installation period be extended for reasons beyond Sepro’s control, manpower will be for the Client’s account. The additional costs in terms of travel and accommodation will be charged at cost, and manpower at $1050 CAD per man day unless stated otherwise.

2.1.1.5 “Supervision of Commissioning”

Shall mean supervision of the process commissioning and performance testing of the equipment by a competent commissioning technician. At the same time operating personnel will be instructed in the use of the equipment. It is essential that the relevant personnel to be trained are available during this time. Three days on site for 1 Sepro personnel are included free of any daily rate, subject to any possible travel restrictions due to the installation location. Travel and accommodation will be invoiced at cost. Please contact Sepro directly for more information regarding current travel restrictions.

Should the commissioning period be extended for reasons beyond Sepro’s control, manpower will be for the Client’s account. The additional costs in terms of travel and accommodation will be charged at cost, and manpower at CAD $1050 per man day unless stated otherwise.

2.1.1.6 “Transport”

Shall mean a budget price indication for transport of equipment to the point nominated. Please note the transport costs are based on present day rates and conditions, and on information supplied by the authorities and/or carriers. These costs are subject to change without prior notice.

2.1.3 COMMERCIAL AND CONTRACTUAL

2.1.3.1 Price Basis

o No taxes, import or other duties of whatsoever nature have been included, and will be for the account of the client.

o Prices quoted for supply are EXW – Langley, Canada unless stated otherwise.

2.1.3.2 Terms of Payment

Sepro’s proposal is based on the following Terms of Payment. o 50% on receipt of order o 50% upon notification of readiness to ship EXW Langley, BC

Site Related Services o 100 % payable within 15 days from completion of a work portion

2.1.3.3 Commercial Conditions

Sepro’s standard terms and conditions are applicable to this Quotation. 2.1.3.4 Rates of Exchange

All prices are USD unless otherwise stated.

2.1.3.5 Quotation Validity

This quote will be valid for 60 calendar days from the date of submission as requested. The validity will expire at the end of this period, after which, the validity will be subject to Sepro’s written confirmation.

2.1.4 DELIVERY

The EXW delivery period applicable to this proposal is 12-16 weeks from the date of the receipt of order, subject to shop loading at the time of order. Please contact Sepro prior to issuing a PO for an exact production schedule.

2.1.5 SHIPPING & INSURANCE

Please note that Shipping and Insurance is not included in this quotation but can be arranged by Sepro at the clients request.

2.1.6 SITE WORK

Installation site work is to be performed by others. Commissioning will be performed by a qualified Sepro technician at the rates given in section 2.1.1.5.

2.1.7 RATES FOR SITE WORK

2.1.8 RESERVATION OF OWNERSHIP

Ownership in the goods remains vested in Sepro until the purchaser has paid all amounts owing in terms of the contract. The risk in the goods passes to the purchaser upon completion of assembly and testing EXW.

2.1.9 COPYRIGHT AND OWNERSHIP

Notwithstanding anything to the contrary anywhere contained, copyright and ownership of any proprietary equipment or technology remains the property of Sepro.

2.1.10 DRAWINGS AND DOCUMENTATION

Our quoted price allows for the drawings produced to Sepro’s standard. Should the Client require additional drawings or specifications, these will be invoiced at normal rates.

2.1.11 SEPRO SAFETY STANDARD

Safety standards are in compliance with local WorkSafe BC Regulations. 2.1.12 DAMAGES AND LIABILITY

2.1.12.1 Maximum Damages and Total Liability

Sepro will, under no circumstances, be liable for any consequential damages or losses, nor for any damages arising from the Client’s failure to observe Sepro’s recommendations and operating instructions.

2.1.12.2 Force Majeure

Sepro shall not be liable for any penalties, loss or damages resulting from delays due to causes beyond the reasonable control of Sepro, which shall include but not be limited to any of the following events; Acts of God, War, Government acts or regulations, strikes, blockade, sabotage, civil commotion or riot, landslide, windstorm, flood, earthquake, fire or delays in shipping beyond the control of Sepro. Shortage of materials or components from Vendors or subcontractors will be accepted as reasonably beyond Supplier’s control if they were originated by causes qualified as Force Majeure.

SECTION 2.2 CONCENTRATOR EQUIPMENT SELECTION

2.2.1 Equipment Selection for Proposed Duty

Sepro’s recommendation is one Falcon SB750B gravity concentrator with a bowl diameter of 21” for the specified duty.

2.2.2 Gravity Concentrator Description The Falcon SB-Series enhanced gravity concentrator is ideal for recovery of free native metals (Au, Ag and Pt) from process streams. The SB750B will process up to 45 t/h solids within a circulating load, yet normally requires less than 8 m3/hr of fluidisation process water for this type of duty. The SB750B produces less than 25 kg of concentrate per cycle and typical running time could be anywhere between 15 and 120 minutes depending on the exact nature of the feed. When controlled by an Autopac, the SB750B machine rinses in less than 60 seconds with no operator attention and thus can be installed in a secure area.

Local Control Console (LCC)

The LCC panel allows operation of the Falcon SB locally or by remote DCS in a way that optimizes the grade/recovery function for each individual application while at the same time minimising operator attention. The highest possible concentrate security can be maintained because operators are not required to control the machine cycles or collect concentrates. The LCC is simple to operate as all controls and programmable features can be preset upon commissioning. It contains the PLC and HMI/Keyboard, communication module, relays, switches and an E-Stop push button. Falcon PLC software is used to control the operation through timers, set-points, control valves, solenoids, and motor speed. It incorporates safety limits, alarms, automatic shut-down, maintenance screens, and many operator friendly features and control information. Although Falcon’s standard is Mitsubishi, we have supplied Automation systems using all of the well-known brands including Allen-Bradley, Siemens, Modicon, and others. Whatever the Plant’s preference for Automation, we can supply it!

Adjustable Frequency Drive Console (AFDC) (SE model only)

The AFDC panel contains the variable speed drive and dynamic brake system as well as a circuit disconnect, circuit breaker, line contactor and line reactor. The VFD display screen and keypad are mounted inside the AFDC enclosure. The parameter unit, in conjunction with the LCC are used to set operating parameters such as run speed, rinse speed, acceleration and deceleration time, power draw etc. The AFDC dynamic brake allows the rinsing cycle to be reduced to as little as 60 seconds off line. All controls and programmable features can be preset upon commissioning. Although Sepro’s standard is Mitsubishi, we can and have supplied many other brands including Allen Bradley, ABB, Siemens, Danfoss, GE, and others. We can supply whatever drive is required in a way that will make it communicate with any major control protocol.

SECTION 2.5 WARRANTY

SEPRO 2-YEAR WARRANTY Sepro concentrators are tested and inspected before leaving the factory. They are warranted to be free from defects in material or workmanship for a period of Two Years from the date of shipment or 5,000 Operating Hours, whichever comes first. This warranty is limited to the repair or replacement of parts other than designated wear parts when operated and maintained properly in accordance with the owner’s manual. In no event shall Sepro be liable for any direct, indirect, incidental or consequential damages resulting from the sale or use of the product during or after the term of this warranty. SEPRO WARRANTY RETURN POLICY Return Defective Parts: To obtain warranty service during the warranty period, notify Sepro and return parts (freight prepaid) to Sepro for inspection. If problem is caused by defects in material or workmanship then Sepro will repair or at our option, replace the defective part. Order Emergency Replacements: If required in emergency situations where no suitable spare parts are on site, a replacement part may be ordered from Sepro (and shipped from closest inventory stock to avoid down-time) while failed parts are being returned to Sepro for evaluation by Sepro or its suppliers for possible warranty repair or replacement (or credit at customers request). It is strongly recommended that critical parts be carried as spares on site by the customer as per the owner’s manual. Transportation Costs: All shipping, duty or related costs associated with warranty claims to transport the parts to/from Sepro factory are the responsibility of the customer. ENTIRE WRITTEN WARRANTY This warranty is expressly made by Sepro Mineral Systems Corp and accepted by purchaser by act of purchase in lieu of all other warranties, including warranties of merchantability and fitness for particular purpose, weather written, oral, expressed, implied or statutory. Sepro neither assumes, nor authorizes any other person, employee, associate or agent to assume for it any other liability with respect to its equipment or designs. Sepro shall not be liable for normal wear and tear nor any contingent, incidental or consequential damage or expense due to partial or complete inoperability of its equipment for any reason whatsoever. This warranty is entirely contingent upon buyer’s cooperation in returning parts to Sepro and permitting inspection (by Sepro or original manufacturer) to investigate defects prior to repair or replacement of parts. Warranty parts may be subject to pro-rata charge based upon Sepro’s estimate of normal service life realized from the part. This warranty shall not apply to equipment or parts thereof that have been altered or repaired outside of the Sepro factory, or damaged by improper installation, application or subject to misuse, abuse, neglect or accident. Commissioning or service by third party other than Sepro could void warranty if not carried out correctly. Sepro makes no warranty and accepts no liability with respect to equipment, parts, components or accessories supplied by Sepro but manufactured by others. The warranty which applies is that offered by their respective manufactures as facilitated by Sepro.
