2018 Annual Meeting

April 3, 2018

I. Meeting called to order. The tenth annual meeting of the Girl Scouts of Greater Iowa was called to order by Elizabeth Meyer, GSGI Board Chair.

II. Motion to approve minutes of the April 18, 2017 Annual Meeting. Motion to approve by Jennifer Sedlock. Second by Emily Olson. No discussion. Motion carried, minutes approved.

III. Appointment of Minutes Committee. The Minutes Committee receives the minutes from the secretary and makes revisions, as appropriate. The Chair appointed Linda Nase, Cindy Talsma and Kathy Vollmar to the Minutes Committee for the 2018 Annual Meeting and thanked them for volunteering. No objections were noted.

IV. Attendance figures for April 3, 2018 meeting.

Chair declared a quorum present for the transaction of business.

V. Unfinished Business. None.

VI. New business.

A. Council Update. Board Chair, Elizabeth Meyer opened the tenth annual meeting. The meeting’s focus will be on the vision and direction of the organization. The discussion and questions at this year’s annual meeting will concern the governing business of Girl Scouts of Greater Iowa. Elizabeth Meyer invited Beth Shelton to start off the meeting. Beth reflected on the past two years as CEO of Girl Scouts of Greater Iowa. Girl Scouting has never been more relevant to today’s society. Girl Scouts offers the best leadership development in the world – designed with, by and for girls. Today’s girls are standing up proud and confident. Our program and the troop experience foster a safe, inclusive and all female environment. We see the difference support and encouragement an all-girl environment makes every day. Juliette Gordon Low wrote over 90 years ago, “The work of today is the history of tomorrow, and

we are its makers.” GSGI’s members range in age from 5 to 99 years old. They continue to discover, connect and take action to make their community and world a better place.

Beth Shelton: In our 2016-2017 membership year, 10,751 girls chose to become members of Girl Scouts of Greater Iowa. This number gave us a 7% market share and a 65% girl retention rate from the previous membership year. This marked a significant increase in membership over the previous year. GSGI was one of only a few councils across the country to show growth. Elizabeth Meyer: In 2016-2017, Girl Scouts of Greater Iowa provided $63,755 in direct financial assistance to girls in each and every county served by GSGI. These funds helped girls pay for membership dues, books, and uniform pieces. 163 Girl Scouts also received financial assistance to help them benefit from the friendship, fun and unforgettable new experiences at summer camp. Examples of what our Girl Scouts accomplished in 2016-2017 include: Beth Shelton: Girl Scouts of Greater Iowa is dedicated to the development of all girls. As we

further Juliette Gordon Low’s vision of inclusivity of all girls, we see girls flourish and grow through Girls Scouting. We witness daily, examples of girls exhibiting courage, confidence, and character. We see girls, coming into their own with the pride of accomplishment either through trying a new activity, setting goals and fearlessly pursuing them or recognizing the needs of others and rising to action.

GSGI empowers our volunteers to serve girls in new ways such as after-school programs, volunteering at schools, community centers and Boys and Girls Clubs. 483 girls were served through our outreach programs outside of school over a period of several weeks. With the help of volunteers ranging from college students to new Girl Scouts to retirees, girls explored subjects like STEM, self-esteem, and environmental stewardship. We take pride in our mission to bring these experiences to girls who are otherwise unable to benefit from the troop experience.

Elizabeth Meyer: In 2017, Girl Scouts of Greater Iowa had 7,653 girls building financial stability by participating in the largest girl-led business in the world, selling cookies. They sold just over 147,347 cases of cookies—that’s an impressive 1,768,164 packages. The Cookie Program empowers girls with the financial skills they need for an ever-changing economy and world. Girls learn courage, confidence and character while building the skills of goal setting, decision-making, money management, people skills and business ethics. This year’s top seller was Lillian K from Council bluffs selling an amazing 3,150 packages!

The second C of the ‘2-C’s’ of Girl Scouting, is camp. In an ever-increasing technology-filled

world, the benefits of spending time in nature range from improving concentration and creative reasoning, inspiring environmental stewardship, and a positive influence in girls’ confidence through new experiences. Camp promotes healthy social development. Girl Scouts are twice as likely as their peers to take actions to protect the environment. In 2017, 2,127 girls attended camp, making new friends and learning new skills.

Volunteers are the backbone of our organization, investing in our volunteers means investing in our girls. In the 2016-2017 Membership Year, 3,685 dedicated individuals joined Girl Scouts of Greater Iowa. An increase of nearly 400 more volunteers over the previous year. We celebrate our dedicated volunteers, who make every effort to ensure the girls are growing in courage, confidence and character. It is our goal to support you as the leaders you are, so that we may all instill these values in the next generation of Girl Scouts.

B. Financial Report. Board Secretary, Finance Committee member, Susan Davis presented the financial report.

• CliftonLarsonAllen was selected as GSGI’s auditing firm for year-end September 30, 2017 and rendered a clean opinion. No internal control issues to report.

• Morgan Stanley was again selected as the Investment Manager, reviewing cash and investments.

• The Cookie Sale revenue increased by $527,000 from the previous year. We had an increase of $250,000 in investment income and $190,000 in contribution income which also helped in our overall revenue increase of $1,240,000.

• Current year increase in net assets of $625,085. Total net assets are $10.5 million.

Discussion. Open discussion on issues pertaining to membership, properties, programs and governance. Beth Shelton committed to continue the dialogue regarding council future possibilities.

C. Presentation of Slate (New Board Members). 1st Vice Chair, Valarie Vest presented the slate for Board Officers and Board of Directors members at large. Board Development Committee was deferred to a later date. The following names were presented by the Development Committee as a single slate:

Vote to approve the slate. Motion by Melody Lee. Second by Jennifer Sedlock. The slate was approved, officers and board members were duly elected.

VII. Adjournment of the Business Meeting. Motion by Jennifer Sedlock. Second by Toni Stout. Vote passed and the meeting was adjourned at 7:18 pm.

VIII. Circle of Excellence Event Announcement. Everyone was encouraged to check the council website for date and location of event that will celebrate and thank our dedicated volunteers.

EXECUTIVE COMMITTEE:

Elizabeth Meyer, Board Chair, is from Urbandale, IA. Elizabeth is an Attorney and shareholder of the Davis Brown Law Firm. Elizabeth practices primarily in the areas of trust and estate litigation and construction litigation. She has represented Fortune 500 companies, national and local financial institutions, agricultural companies, small businesses, and individuals. Elizabeth and her husband Alex have two sons and a Boston Terrier. Elizabeth has served on Greater Iowa’s Board since November of 2012.

Doug Stonehocker, 1st Vice Chair, is from Urbandale, Iowa. Doug is a realtor with RE/MAX Real Estate

Group in Windsor Heights. Doug has a broad range of experiences as a small business owner having day to day involvement with finance and accounting, human resources, operations management and marketing. Prior to becoming a licensed realtor, he owned a property and casualty claims adjusting company and a moving and storage company. Doug and his wife live in Urbandale and have two teenaged children in the Waukee School District.

Susan L. Davis, 2nd Vice Chair, is from Carlisle, IA. Susan recently retired from RSM US as Assurance

Partner where she was a member of the Regional Professional Practice Office, supporting not-for-profit and governmental client teams. Susan is a former member of the American Institute of CPAs Not-for-Profit Expert Panel. She has served on many not-for-profit boards in the community including United Way of Central Iowa, the Des Moines Symphony, CFUM (Children and Families Urban Movement), the Des Moines Playhouse and the Des Moines Figure Skating Club. Susan’s service to GSGI began in 2009 as the chair of the development committee, expanding to finance committee, which she chaired for two years, along with Board service. Susan also chaired the CEO Executive Search Committee. As a life-long Girl Scout, Susan has a passion for helping girls succeed and achieve their dreams.

Mary Edelen, Secretary, is from Vermillion, SD. Mary is retired from an 18 year career in the South Dakota House

of Representatives. Mary also taught history at the University of South Dakota and Yankton College. Mary’s commitments to non-profit organizations include her service as Director of the South Dakota State Historical Society, Cottey College Alumnae Association, and the Board of the Tri-Conference Ministries of Iowa, Nebraska and South Dakota United Church of Christ. Mary’s service to Girl Scouting is long and rich. Her wealth of knowledge includes her years as a brownie scout and Girl Scout, a troop leader for her daughter’s troop, a member of the Sioux Trails board as well as a member of the Council Realignment Board that helped make GSGI what is today. Mary joined the GSGI board in 2007 continuing her commitment to Girl Scouting through 2011 serving as the Board secretary. Mary rejoined the Board in 2016.

Nicole Loux, Treasurer, is from Indianola, IA. Nicole is an Assurance Manager at McGowen, Hurst, Clark & Smith, P.C., one of the oldest and largest local firms in Central Iowa. She has been with McGowen, Hurst, Clark & Smith, P.C. for over ten years, and is member of the American Institute of Certified Public Accounts and the Iowa Society of Certified Public Accountants. She works primarily with not-for-profit organizations, on real estate partnership and on employee benefit plan audits. When not at work, she enjoys spending time outside with her husband and two boys along with attending the boys’ activities. She has served on the Girl Scouts of Greater Iowa Finance Committee since 2015 - currently serving as the Finance Committee Chair - and joined the Board in 2017.

BOARD MEMBERS AT LARGE:

Christin Aldridge, Board member at large, is from Indianola, IA. Christin is a 15-year team member of Wells Fargo Bank. She’s held various leadership roles throughout her tenure with the company, and is currently an Affluent Segment leader, supporting the Nebraska, Kansas, Iowa, and Illinois regions. She volunteers through Wells Fargo regularly - packaging meals through Meals from the Heartland and providing financial literacy to local schools and residents in local supportive housing. She and her husband have five children, and she is actively involved in school activities and youth sports programs. Her passion for working with youth has translated into her joining the Board in 2017, where she can further her work to empower young girls.

*Brooke Bartholomay Quinn, Board member at large, is from Des Moines, IA. Brooke recently joined

Dwolla as the Vice President of Sales. Prior to joining Dwolla, Brooke was the Senior Vice President of Sales Logistics at Businessolver. Brooke has expertise in operational management, customer success, sales logistics, and strategy. Her focus has been on mentorship, talent development, internal and external partnerships, with a strong commitment to excellence. Her results-driven commitment to community has served her well as a past member of the Board of Directors and the Fundraising Committee Chair for Make-a-Wish Iowa. She is an avid supporter of girls and Girl Scouts, having been a Gold Award Girl Scout herself. She is active in the promotion of STEM and girl coding. She is excited to join the board and enhance GSGI fundraising efforts.

Heath Bartles, Board member at large, is from Carson, IA. Heath has worked for Nebraska Furniture Mart for

the past eighteen years most currently as the Appliance Builder Sales Manager. He is an avid outdoorsmen and spends most of his free time hunting and working outside on his acreage. He has three daughters two of whom are active Girl Scouts and the third one will be in about five years. He works closely with his local troop leaders to ensure that they have what they need to succeed.

*Jenny Carter, Board member at large, is from Ankeny, IA. She is Associate Managing Director at Bankers Trust

with responsibilities for the Support Services and Retirement Plan Services teams in the Wealth Management Division. Jenny has over 20 years’ experience in the retirement plan industry. Jenny graduated from William Penn University with a Bachelor’s Degree in Business. She has been a past troop leader for Daisy Girl Scouts, and an assistant troop leader for Brownie and Junior Girl Scouts. She joined the board in June 2018. In her free time, Jenny can be found at the ball fields watching her two youngest play softball and baseball, or curled up with a good book.

Michelle Elliott Eddy, Board member at large, is from Urbandale, IA. Michelle is the Information Resource

Program Manager at the Iowa Farm Bureau Federation. She began working for Farm Bureau in 2001, serving the first 9 years in the Government Relations division primarily in grassroots advocacy and member engagement. Since 2010 Michelle lead the national expansion of membership software services to state Farm Bureau Federations affiliated with Farm Bureau Financial Services and Farm Bureau Life Insurance Company. Michelle is passionate about serving the community and supporting organizations that focus on the empowerment of girls and women, health and wellness, and youth and education issues. Michelle has served on the Executive Leadership Committee for the American Heart Association Go Red for Women Campaign in Central Iowa since 2016. Michelle and her husband Travis have two children, daughter Maslyn (9) and son Tredon (8). Michelle has been active with her daughter’s Girl Scout troop since 2014 and joined the Board in September 2017.

*Dr. Laura Higgins, Board member at large, is from Des Moines, IA. Laura is currently the Integrated Field

Sciences Operational & Scientific Excellence Lead for Corteva™ Agriscience,™ the Agriculture Division of DowDuPont. She has spent most of her career with the Pioneer Hi-Bred Research & Development group, and holds a Ph.D. in entomology from the University of Nebraska, Lincoln. An Ohio native, Laura has lived in central Iowa for nearly 30 years where she and her husband David have raised their two daughters. Laura has been an active Girl Scout troop leader and is passionate about science literacy, advocacy, and STEM education. She serves on the Board of Directors of several central Iowa non-profit organizations and is an active volunteer for Corteva Science Ambassadors, Girl Scouts, the Science Center of Iowa, and a variety of organizations that provide STEM education opportunities.

Jackie Johansen, Board member at large, is from Des Moines, IA. Jackie recently founded Shattered Glass

Development. Shattered Glass Development is a company with a purpose ranging beyond acquisition and the brokerage of real estate. The vision and mission is to encourage and support women in shattering the glass ceiling in all areas of real estate, building, and repurposing. Jackie has extensive experience in marketing and commercial real estate including acquisitions, disposition, and equity attraction. She is skilled in collaborating with top executives in the integration of their mission, vision, brand, and leadership. Jackie has been a frequent speaker and panel member to organizations in Omaha and Des Moines on commercial real estate trends and life balance. She serves on the executive committee of the CREW Iowa Board, Orchard Place, American Heart Association’s Go Red for Women, and LEAP. Jackie was a Girl Scout growing up in Texas. She is passionate about focusing her efforts and time towards helping women and children around the globe. Jackie’s vision is to participate in a hands-on way to show that being a woman in today’s society is a wonderful and powerful thing, as we support one another. Jackie’s family includes two sons, two dogs, and the community of her friends and colleagues.

Martha Krone, Board member at large, is from Sioux City, IA. Martha works for Great West Casualty Company

as a Workers’ Compensation Adjuster. She was formerly with MidAmerican Energy for 22 years in the Legal, HR and Safety-Workers’ Compensation Departments. She has been GSGI’s Board Secretary and Board Chair, co-chair of the Council Realignment Committee, and past Board Chair of the Sioux Trails Girl Scout Council. She has chaired the By-Laws committee and served on the Policy and Annual Meeting committees. Martha has been an adult member of Girl Scouts since April, 1996. She was a girl member from 1964-1974 in the former Mason City Council where she spent summers as a camper at Camp Tanglefoot. She is involved in national ISU Alumni Association activities and served as Board member and Board Secretary. She is a sustainer with JLSC. She and her husband Phil have two children, Erick and Jacqueline. Martha feels passionately that “we as adult volunteers and board members are responsible to the girls and stakeholders to provide a high performing council to share the mission to positively impact more girls.” Martha rejoined the Board in 2016.

*Karen Rieck, Board member at large, is from Des Moines, IA. Karen Rieck has been with Farm Bureau

Financial Services since 2012 and is currently the Vice President of Human Resources. Karen has more than 25 years of human resources experience and has had increasing roles of responsibility and leadership throughout her career. Karen holds a bachelor’s degree in mathematics and math education and a Masters of Business Administration from Mid America Nazarene University. Continuing education and both profession and industry designations are important to her, so she has accumulated a number of designations, including Senior Professional (SPHR) in Human Resources, Certified Compensation Professional (CCP), Global Remuneration Professional (GRP), Senior Human Resources Business Partner (S-HRBP) , and Associate in General Insurance (AINS). She is an active volunteer in various industry groups, where she has held a number of volunteer leadership roles. Karen is extremely supportive of women in leadership. Karen’s two grown daughters benefited from their experiences in Girl Scouts. These experiences helped to prepare them to be the confident, strong and empowered women they are today.
