2015 NY BRIDAL & QUINCE EXPO TUESDAY, MARCH 10, 2015 – 5:00 PM TO 9:00 PM EVENT DETAILS OUR MISSION The 2015 NY BQE is NY’s premier Latino bridal and quince expo; open to all, but with a particular focus on the Latino community. The goal of the 2015 NY BQE is to create a lively, upbeat, sales driven environment, which will entice motivated brides and quinceañeras to book exhibitor services and products. THE VENUE The 2015 NY BQE will use over 6,000 sq. ft. of the 1st floor of The Museum of the Moving Image, which is located at 36-01 35 Avenue, Astoria, NY 11106, and  just minutes away from midtown Manhattan by subway, bus or car. EXHIBITOR  TERMS  &  CONDITIONS    DEFINED  TERMS:  2015  NY  Bridal  &  Quince  Expo  (the  “Event”)  also  known  as  2015  NY  BQE  is  scheduled  to  be  held  March  10,  2015  (the  “Event  Date”),  at  the  Museum  of  the  Moving  Image  (the   “Event   Facility”).   The   Event   is   produced   and  managed   by   bluGarden   Events   (the   “Organizer”),   and   its   respecSve   officers,   directors,   shareholders,   agents,   affiliates,   representaSves,  employees  and  assigns,  unless   the  context   requires  otherwise.  The  term  “Exhibitor”  means  the  company  or  person  or  any  of   its  officers,  directors,  shareholders,  employees,  contractors,  agents,  or  representaSves  that  applied  for  exhibit  space  rental  and  agreed  to  enter  into  this  contract  upon  acceptance  by  the  Organizer  in  the  manner  stated  below.    PAYMENT  TERMS  /  CANCELLATION  POLICIES:  Exhibitor  shall  not  be  permi_ed  to  bring  any  equipment  or  display  any  material  into  the  show  without  prior  full  payment.  If  payments  are  not  made  in  accordance  with  the  due  dates  negoSated,  Organizer  may  terminate  this  agreement  and  reassign  space  to  another  Exhibitor,  where  applicable.  All  payments  are  nonrefundable  and  nontransferable,  and  space  reservaSons  may  not  be  canceled  less  than  60  days  prior  to  Event  Date.  Exhibitor  shall  pay  a  fee  of  $30.00  if  any  check  presented  for  payment  is  returned  by  the  bank.  In  the  event  of  breach  of  this  agreement  by  Exhibitor,  Organizer  reserves  the  right  to  cancel  the  agreement  without  liability  for  a  refund  of  fees  paid.  The  Exhibitor  is  considered  to  be  in  breach  of  this  agreement  if  the  Exhibitor  (1)  transfers  or  a_empts  to  transfer  exhibit  space  to  another  party;  (2)  files  for  bankruptcy  or  is  declared  bankrupt;  (3)  fails  to  fully  comply  with  the  terms  and  condiSons  of  this  agreement.  Organizer  reserves  the  right  to  cancel  this  Exhibitor  agreement  for  any  reason  by  giving  30  days  wri_en  noSce  to  Exhibitor.  In  the  event  that  Organizer  cancels  this  agreement,  the  liability  of  Organizer  shall  be  limited  to  a  return  of  any  amounts  paid  by  Sponsor  without  interest  or  penalty.    CONTRACT  AND  DEPOSIT  ACCEPTANCE:  The  contract  shall  become  effecSve  only  when  it  has  been  (1)  signed  by  the  Exhibitor  (2)  counter-­‐signed  on  the  facing  page  by  a  duly  authorized  representaSve  of  the  Organizer  and  (3)  a  50%  non-­‐refundable  deposit  has  been  received.    EVENT  DATES  AND  ATTENDANCE:  Exhibitor  understands  and  agrees  that  Organizer  makes  no  guarantees  regarding  weather  condiSons  or  a_endance  at  the  Event.  If  Organizer  is  prevented  from  producing  the  Event  herein  by  reason  of  any  act  of  God,  fire,  flood,  public  disaster,  act  of  terror  or  any  other  cause  or  reason  either  within  or  beyond  the  control  of  Organizer,  such  condiSon  shall  be  deemed  a  valid  excuse  for  delay  or  cancellaSon  of  the  Event.  Organizer  reserves  the  right  that  the  Event  may  be  rescheduled  for  another  date  and/or  locaSon  chosen  by  Organizer.    CHANGES  AND  MODIFICATIONS:  The  promoSonal  and  instrucSonal  informaSon  provided  by  Organizer  to  Exhibitor  is  accurate  as  of  its  publicaSon;  however,  Organizer  reserves  the  right  to  change  or  modify  details  of  the  show  without  noSce.  Organizer  may  issue  addiSonal  rules,  as  it  deems  necessary  for  the  orderly  presentaSon  of  the  show.  Any  rule  may  be  amended  at  any  Sme  by  Event  management  provided  that  such  amendment  shall  not  substanSally  diminish  the  rights  or  increase  the  liability  of  Exhibitor.  This  agreement  shall  represent  the  enSre  agreement  between  Exhibitor  and  Organizer.  Organizer  shall  not  be  bound  by  any  representaSon  or  understanding  not  expressly  set  forth  in  this  agreement.  No  provision  of  this  agreement  shall  be  modified  except  by  the  wri_en  mutual  consent  of  the  parSes.    QUALIFICATIONS  OF  EXHIBITOR:  The  Organizer,  in  its  sole  discreSon,  determines  whether  a  prospecSve  Exhibitor  is  eligible  to  parScipate  in  the  Event.  Eligibility  is  generally  limited  to  persons  or  firms  who  supply  products  and  services  to  the  wedding  and  special  events  industry.  Applicants  who  have  not  previously  exhibited  at  the  Event  may  be  required  to  submit  a  descripSon  of  the  nature  of  their  business  and  the  items  to  be  exhibited.  The  Organizer  reserves  the  right  to  restrict  or  remove  any  exhibit,  which  the  Organizer,  in  its  sole  discreSon,  believes  is  objecSonable  or  inappropriate.    ASSIGNMENT  OF  SPACE:  Space  will  be  assigned  on  a  first-­‐come,  first-­‐served  basis.  Exhibit  space  shall  be  assigned  by  the  Organizer  in  its  sole  discreSon  for  the  Event  and  for  the  Event  Date  only.  Any  such  assignment  does  not  imply  that  similar  space  will  be  assigned  for  future  events.  The  Organizer  reserves  the  right  to  change  the  floor  plan  or  to  move  an  Exhibitor  to  another  booth  locaSon  prior  to  or  during  the  Event  if  the  Organizer  determines  that  to  do  so  is  in  the  best  interest  of  the  Event.    FAILURE  TO  CHECK  IN/EXHIBIT:  In  the  event  that  the  Exhibitor  fails  to  check  in  by  5  PM  to  exhibit  in  the  space  allocated  to  him/her  on  the  day  of,  without  noSfying  Event  management  at  least  two  days  in  advance,  Organizer  may  make  such  use  of  said  space,  as  it  sees  fit,  without  any  liability  whatsoever  to  the  Exhibitor  who  shall  remain  liable  for  the  payment  of  the  total  booth  price  due  under  contract,  whether  or  not  the  space  is  resold.  There  will  be  no  late  check-­‐in  allowed,  no  excepSons.      PUBLICITY  /  USE  OF  PHOTOS  OR  VIDEO:  Exhibitor  agrees  that  Organizer  may  list  the  Exhibitor  in  Event  promoSonal  materials  and  use  photography  and/or  video  taken  at  the  Event  for  publicity  purposes  without  compensaSon  to  Exhibitor.    BOOTH  AND  PRODUCT  DISPLAY:  Booths  can  be  occupied  only  by  the  Exhibitor(s)  making  the  reservaSon  and  contract.  Booths  can  be  shared  by  no  more  than  two  companies.  All  efforts  to  adverSse,  demonstrate  and  operate  the  exhibit  must  be  conducted  so  as  not  to  interfere  with  the  rights  of  other  exhibitors  and  visitors.  No  exhibit  will  be  permi_ed  which  interferes  with  the  use  of  other  exhibits  or  impedes  access  to  them  or  impedes  the  free  use  of  the  aisles.  All  business  acSviSes,  including  the  distribuSon  of  circulars  and  adverSsing  materials,  may  be  conducted  by  Exhibitors  and  their  representaSves  only  within  the  booth  area  assigned  to  the  Exhibitor.  Violators  will  jeopardize  their  request  to  exhibit  in  future  shows.  No  Exhibitor  can  display  in  his/her  booth  any  products,  equipment  or  merchandise  of  any  kind  that  was  not  included  in  the  contract  descripSon.  No  Exhibitor  may  offer  for  sale  or  sell  or  give  away  or  distribute  in  any  manner,  any  products,  equipment  or  furniture,  unless  the  Exhibitor  of  such  products  have  also  taken  a  booth  space  directly  through  Event  management.  Any  violaSon  of  the  above  will  result  in  removal  from  the  venue.  All  products,  equipment  and  furniture  must  be  confined  wholly  within  the  booth  space  as  shown  on  the  official  floor  plan.  No  use  of  any  purpose  whatsoever  may  be  made  of  aisles  or  any  other  space  adjacent  to  the  booth  reserved.  Chairs  or  seaSng  will  be  limited  to  the  capacity  of  the  measurements  of  booths  and  will  not  be  permi_ed  in  aisles  or  passageways.  Any  violaSon  of  the  above  will  result  in  removal  from  the  exhibit  hall  or  hotel.  No  exhibit  will  be  permi_ed  which  includes  any  poliScal  (parSsan)  fundraising,  acSvity,  messages  or  causes;  hate  or  discriminatory  divisive  speech  or  messages;  indecent  or  adult  language  or  images.    EXHIBITOR  SERVICE  MANUAL:  Approximately  three  (3)  months  from  the  Event,  the  Organizer  will  email  Exhibitor  and  post  an  online  Exhibitor  Service  Manual.  The  Exhibitor  Service  Manual  will  include  informaSon  integral  to  your  company’s  parScipaSon  at  the  Event,  including  but  not  limited  to:  addiSonal  Exhibitor  rules  and  regulaSons,  addiSonal  markeSng  opportuniSes  order  forms,  registraSon,  shipping,  uSliSes  and  Event  Facility  services,  decorator,  audio/visual,  Exhibitor  display  rules,  and  move-­‐in/move-­‐out  schedules.    INSURANCE  AND  LIABILITY:  Fire  and  thev  insurance  covering  the  Exhibitor’s  property,  if  desired,  must  be  taken  out  by  the  Exhibitor  at  his/her  own  expense.  Neither  Organizer  nor  the  Event  Facility  will  be  liable  for  damage  done  in  your  booth  such  as  malpracSce,  or  any  loss  of  Exhibitor’s  property  through  fire,  thev,  accident  or  any  other  cause.  Organizer  will  provide  security  during  the  hours  of  the  show,  but  it  is  understood  that  all  products,  equipment,  furniture  and  furnishings  of  the  exhibitors  are  placed  and  exhibited  at  the  sole  risk  of  the  Exhibitor  and  Event  management  assumes  no  responsibility  of  any  kind.  It  is  suggested  that  the  Exhibitor  remove  valuable  samples  and  moveable  equipment  from  the  booth  reserved  if  it  is  lev  una_ended  during  set-­‐up.  Exhibitors  are  expected  to  maintain  personnel  in  their  exhibit  booths  at  all  Smes  during  the  show  hours.    LIABILITY  AND  INDEMNIFICATION:  Reasonable  precauSons  will  be  taken  by  Organizer  to  protect  persons  and  property  during  the  Event;  neither  Organizer,  Event  Facility,  nor  representaSves  of  any  of  the  same,  shall  be  responsible  for  the  personal  safety  of  the  Exhibitor  or  its  representaSves  from  injury,  or  for  the  safety  of  the  property  of  the  Exhibitor  from  thev  or  damage.  Exhibitor  waives  all  claims  of  every  kind  against  Organizer,  Event  Facility,  and  representaSves  of  the  same  including,  without  limitaSon,  all  claims  for  damages  based  on  personal  property  damage,  destrucSon,  loss  or  thev,  personal  injury  or  death,  and  any  other  act  or  failure  to  act  of  Organizer.  Exhibitor  agrees  to  indemnify  and  hold  Organizer  harmless  from  all  claims,  including  expenses,  damages,  costs,  and  a_orney’s  fees,  by  Exhibitor,  Exhibitor’s  agents,  employees,  contractors,  or  by  any  other  person,  arising  out  of  any  act  or  omission  in  any  way  related  to  Exhibitor’s  parScipaSon  in  the  show,  whether  negligent  or  not.    OBSERVANCE  OF  LAWS:  The  Exhibitor  shall  abide  by  all  federal,  state,  and  city  laws,  codes,  ordinances,  rules  and  regulaSons,  and  all  rules  and  regulaSons  of  the  Event  Facility  (including  any  union  labor  work  rules).    SEVERABILITY:  If  any  clause  of  this  agreement  is  found  to  be  invalid  or  unenforceable,  the  remainder  of  the  agreement  shall  conSnue  in  full  force  and  effect  without  regard  to  the  invalidated  clause.    FAXED  /  ELECTRONIC  MAILED  AGREEMENTS:  For  the  convenience  of  Exhibitor,  Organizer  will  accept  submission  of  this  agreement  by  facsimile  and  electronic  mail.  The  parSes  agree  that,  if  a  signed  copy  of  this  agreement  is  transmi_ed  by  facsimile  or  electronic  mail,  the  copy  shall  be  deemed  to  be  an  original  document  and  fully  enforceable  there  as.    ARBITRATION:  All  disagreements  between  the  ParSes  under  this  Agreement  shall  be  submi_ed  to  arbitraSon  under  the  rules  of  the  American  ArbitraSon  AssociaSon.
