human suffering, eradication of illiteracy and povety, imparting of sound

educating and training for employment with opportunities for research, "to

development and empowerment of. håman beings into socially responsible, .

economically productive, intellectually alert and morally upright members of

society, with initial contribution of Rs. 100,000 (Rupees One Lakh only) towards

the Trust and its Corpus Fund.

AND WHEREAS an effort has been made by this Steering Committee to collect

funds for the purpose of and with the intent of creating the Trust;

AND WHEREAS contributions if received in pursuance of such efforts shall be

transferred to the Tnust, to be held by the settler and the tnustees hereinbefore

named (who, shail constitute the first Board of the Trust) subject to, and in

accordance with, the provisions of this Deed of Declaration.

AND WHEREAS the said settler and the trustees have, in laking of their agreeing to be trustees.

Deed of Declarations witnesseth as follows:

inconsistency or conflict in such rules/bye-laws, the rules and bye-laws

framed, modified, amended, altered or repealed by the Board shall prevail.

Subject as aforesaid, the terms of this Deed may be amepded, altered or

modified by a majority of 2/3rd of åll the members of the Board present

and voting in a meeting called for this purpose. If the Trust fails for any

reason, in the opinion of 2/3rd of all the members of the Board, the net

assets of the Trust, both movable and immovable shall be handed over to

another organization with minority character-having same or similar aimns

and objectives as that of the Tnust; provided, however that no amendment

conirary to the object of the Trust hereinbefore set forth shall be valid and

effective.

BOARD OFTRUSTEES

The Trust shal be vested in a Board of Trustees (hereinafter called the

Board) which shall consist of not less than three and not more than ten

tristees. The first trustees of the Board are:

The Board shall ordinarily consist of not less than three trustees. The

persons for the time being constituting the Board shall have the power too

or tnustees, but the total number of persons constituting the Board shall at

no time exceed ten The Board may associate distinguished persons as

Special Trustees/Fellows of the Trust for an initiai period of two years or

such tem as thc Board may deem appropriate. Special Trustees/Fellow of

the Trust shall bave no vote in or the right to attend Board meetings.

All the founding Trustees including theSettler & Trustee shali be the

The Secretary shall be responsible for the safe keeping of all documenis,

Vacancies in the Board shall be filléd by the remaining trustees at a

meeting called for the purpose. Casual vacancies in the Board may be

filled in the manner aforesaid for the unexpired part of the trustee causing

Mr. Mohammad Athar will be the first secretary of the Trust for his life-

tme. He will not be removed from his office unless he himself decides to abdicate the office and requests the Taistees to endorse his retirement and

appoint someone else as Secretary. In the event of vacancy in the office of

the Secretary, the Board shall appoint any trustee or any other person as

he/she wili hold office.

FUNCTIONS OF THE B0ARD

22 The Board shall have the power and description to accept, upon such

terms as it may deem fit, any donations or contributions (whether such

donations or contribution be in cash or other movable or immovable

property), provided always that the terins upon which such donations or

contributions shall be accepted shall not, in any way, be inconsistent with

or repugnant to the objects of this Trust and that no other name shall be

associated with the name of this Trust; the donations/contributions so

received shall be at the absolute disposal of the Board and the Board shall

invest, dispose or utilize them according to law.

The Trust shall from and out of the income realized from the properties,

assets, funds; centres and institutions of the Trust, and from such other

endowments, and from Govermment grants, and from any other sources

inchding intermaltional agencies which they may get, expend such sum or

sums of money as they may deem proper towards the maintenance of the

properties of the Tnust, pay al rates and taxes, pay such sums towards the

Tepaymet of any borTowing by the trustees and meet all expenses which

the trustees may in their description think nècessary for the proper and

eficient management of the Trust, and in particular pay the salaries and

allowances of all staff and servants, purchase books, equipment and

furniture, pay management contribution for the Provident Fund of the

stai, Gsatuity, Pension, etc, award prize or scholarships to students and

ncur any other items of expendiure, relating to he Institute, Centres, if

any, under the management of the Trust not hereinbefore specilically

mentioned, it being understood thal the above emumeration gives no

prionty to any particular item of expenses, nor is the same exhaustive.

The Board shall appoint two tustees as Joint Treasurers of the Trust who

may singhy or jointly or severally operate the accounis of the Tust. The

Joint Treasurers shall also be members of the Executive Committee.

The Boad shall have management of the affairs of the Trust and the

overall supervision and superintendence of the Trust and all institutions,

centers ad programmes nun by the Tnust and all matters incidental

thereto.

FUNCTIONS OF THE EXECUTVE COMMITTEE

Subject to the provisions of this Deed of Declaration and the overall

condrol and supervision of the Board the Executive shall carry on the

management and administration of the Trust, and shall exercise all the

powers and do all its deeds and things as may be necessary for the

purpose The Executive Committee shall have the power to spend amounts

as may be required in this behalf. Without prejudice to the general powers

conferred on the Executive Committee, he Executive Committee shall, inter-alia, be entitled to: receive donations in any form subject to applicable laws, to purchase or

take on lease lands, buildings, equipment materials and things, to erect and maintain building and other constructions and to sell, mortgage, dispose of

or otherwise deal with all or any of the same as may be deemed fit, however sale or lease of immovable properties shall be subject to approval or ratification by the Board by a majority of those present and voting ina meeting called for this purposeg ) grant loans or borrow moneys as they think fit and proper and control and maage he assets of the Foundation; sell, purchase exchange and deal with any stocks, funds, shares, bonds, debentures, debenture stocks and other securities, to draw, make, accept, endorse, discount, negotiate, execute and issue promissory notes, bills of exchange, hundies, cheques, Govermment securities and other negotiabie nstruments bomow from time to time such sums of money at such reasonable rate of inlerest for such period and on such terms, with or without security, Ovable or mnovable, and to secure payment thereof with interest by ortgage or by bond, promissory note, bills hundies and other negotiable securties orby isse of debentures, as they may decide, institute, conduct, defend, compound, withdraw, compromise, adjust, refer to arbitration or abandoa any legal or other proceedings, claims disputes by or against the Trust or trustees or against iis oficers or employees cDncerning the affairs of the Trust and to sign and verify vakalatnamas, plaints, wnttea statements, execution petitions, aflidavits and other documents, appoent such staf for administering the Trust's property on such terms as. they may decide mSre and keep insured, if deemed expedient, all or any buildings and other assets of the Tnust and invest in securities approved by law relating to the Tust and invest in aecurities approved by law relating to the Trust or such manner as the trustees may think fit and proper in the best initerest of the Trurst; and

PoWER TO AMALGAMATE The Executive Committee may, subject to approval or ratification by the

Board, allow and permit any other Foundation, Trust institution or

Charity, in any local area or áreas whose objects are similar to those of

these presents to the intent and effect that such other Foundation, Tust,

institution or charity shall be deemed to be a part and parcel of the Trust

created by these Presents,

INDEMNITY

The trustees shall be chargeable only for such moneys, slocks, funds,

accountable only for their own deliberate or willful acts or omission or

No trustee shall be liable for any breach of trust committed by the other

co-trustee except in respect of his own act and in respect of any property

ALLOWANCES TO TRUSTEE OFFICE-BEARERS Ifat any time anry trustee acts as a whole time or part-time office-bearer of

the Trust or the Executive Committee or renders any special service, the Executive Commitlee may in its discretion pay such remuneration or

allowance to such trustee as it may think proper.

RECULATRONS AND BYE-LAWS

33 The Board and the Executive Committee shall each and se ely be cnditled to frame, modify, amend, alter or repeal rules and bye-laws for the

purpose of administering the Trust, praovided that in the event of any inconsistency or conflict in such rules/bye-laws, the rules and bye-laws framed, modified, amended, altered or repealed by the Board shall prevail.

Subject as aforesaid, the terms of this Deed may be amended, altered or

modified by a majority of 2/3rd of all the members of the Board presentand voting in a mecting called forhis peurpose. If the Trust fails for any

AND WHEREAS Board of Trustees in its meeting held on 27.5.2009, decided to amend the said Trust Deed by adding under mentioned para below para 34 of the said Tust Deed

a) The Director of Education will be entitled to nominate a member on the Board of Management of the every school running under trust

b) At least 10% seats will be reserved for the meritorious children of scheduled caste/scheduled tribes and school will not charged fee more than fee prescribed for the schools run and managed by the Uttar Pradesh Madhymik Shiksha Parisad/Basie Shiksha Parisad. The students of the different categories will be granted the tee concessions ás prescribed under rules 105 to 107 of Uttar Pradesh

Educational Manual, if applicable.

c) The school will not demand any grant from the State

Govemment.

The pay scales and allowances of the vocational and non vocational staff will not be leas than the employees of Govermment

Aided Education Institutions.

d)

The service rules of the employees will be prepared and the

Cmployeces will got the retirement benefits equal to employees of

Govemment Aided Higher Secondary Schools.

The School will follow the orders of the State Government issued

from time to time.
