EXECUTIVE DIRECTOR CEO REPORT

Pasadena Community Access Corporation Board of Directors Meeting

Tuesday, March 7, 2017 - 7:00 PM

ANNOUNCEMENTS - Pasadena Media is developing two new shows called “TALK Pasadena” and “About Pasadena”; the second is still a working title.

ED/CEO met with Mayor Terry Tornek to discuss current and future plans for Pasadena Media. The Mayor has agreed to be our first guest on the premier of “TALK Pasadena”; details forthcoming.

ED/CEO and COO met with Mark Jomsky, City Clerk, and discussed closed captioning project for KPAS and agreed that there will be no election coverage this year.

KEY ACHIEVEMENTS:

Member Relations/Outreach

● Pasadena Media administrative staff met with Mike Ross, Chief ExecutiveOfficer of the Pasadena Convention Center and his marketing team todiscuss potential support from Pasadena Media for the Convention Center’smarketing materials; details forthcoming.

● ED/CEO met with Darryl Dunn, CEO/General Manager for the Rose BowlOperating Company, regarding Pasadena Media’s coverage of the AEGMusic Festival this summer; details forthcoming.

● Chris Miller, COO, is working with Claire Bogaard and the McKinleyElementary School on a time lapse photography project over the next sixmonths for the restoration of the Mckinley Elementary School Art Mural.

● ED/CEO approved the logo on the van as part of our marketing andbranding campaign, this will help make Pasadena Media visible to the

community. Cost of the van graphics is $1200 and we are currently soliciting donations to cover that expense.

● ED/CEO attended the 20th Annual National Hispanic Media Coalition(NHMC) Impact Awards for Pasadena Media.

Facilities

● Space consolidation planning is still in progress with three contractorsrequesting to submit their bids. City staff and elected officials are reluctant toapprove an extension of our current lease for the 1st floor beyond the nextthree years. Without the ability to extend the lease with our landlord, tenantimprovement cost will require funding from Pasadena Media.

● PCAC Madam Board Chair, Gail Schaper-Gordon, is hosting her VistageGroup Meeting here at Pasadena Media and has rented our Boardroomfacility for the entire day; details forthcoming.

Personnel

● ED/CEO and Administrative staff continues to review the EmployeeHandbook in alignment with current State and Federal Laws.

● ED/CEO and COO are currently reviewing retirement plan options forPasadena Media employees.

Financial

● Chris Miller, COO, has made the formal request for Quarterly payments fromthe City of Pasadena.

● ED/CEO and COO are currently working on the submission of our fiscalbudget to the city due this month.

Board

● ED/CEO met with William Boyer, Public Information Officer, to discuss apotential new program for KPAS utilizing the bi-monthly publication “In Focus”as the format. This in conjunction with KPAS and Pasadena Media’s workplan submission this year.

● A Board Member has requested an update and explanation on Net Neutralityand how it might impact Pasadena Media. Javan Rad, Chris Miller andGeorge Falardeau to address.

Operations Report - February 2017 Notable Operations Projects and Their Statuses Prepared by Chris Miller, Chief Operations Officer

City Council Chamber Meeting Management System Assisted Listening Issue 11/7: Ongoing The audio distribution system output that feeds the assisted listening devices malfunctioned. We bypassed the port by connecting the assisted listening transmitter directly to an output from our audio board. DoIT has set an appointment with their vendor to address.

Suite Consolidation: Ongoing We have completed a space plan for the consolidation of space from suite 450 into suite 101. We are currently accepting bids from contractors.

City Council Chamber Closed Captioning Installation: Ongoing The closed captioning system hardware has been ordered. Delivery is expected this week. I will install the equipment and test it over the next few weeks before training Pasadena Media staff.

Charter KPAS Bulletin Board Failure 2/21: Monitoring The Carousel bulletin board failed around 3am due to Windows issues. While shows were playing normally, the bulletins were not airing between those shows. A reboot resumed the bulletins, though we are not yet sure what caused the Windows issues. AT&T and the pasadenamedia.org stream were unaffected by this issue.

I am sorry to hear that you are having difficulty reaching a resolution with Charter. Here are the steps we take: 1) We forward your concern to the Charter Corporate Escalation team. I did this about 10 minutes ago. You should expect to hear fromthem shortly.2) Your issue will be included in the regular monthly board packet (without personally identifiable information) for our Board of Directors.The board is made up of 11 members selected by City Council members, the City Manager, the Mayor and the institutions that utilizethe educational access channels in Pasadena - PUSD and PCC.3) If your experience with the Corporate Escalation team does not satisfactorily resolve your issue, we can also contact our governmentrelations liaison at Charter. This hasn't been necessary in the four years I've worked here, but it remains an option.

As the City's operating company that oversees the four local cable access channels, we are also charged with facilitating consumer complaints with the cable companies. To be clear, PCAC has no authority or control over the cable franchisees in Pasadena (Charter and AT&T). When DIVCA was signed into law in 2006, city and county control of cable franchises was handed to CPUC. Of course, I recommend that you contact your City Councilmember as well as the CPUC (along with our other elected representatives at every level) regarding these issues if they continue. Both Charter and AT&T are interested keeping local entities happy.

Description of Complaint : I have had continuing service problems (8 service calls) on specific

channels which are not being adequately addressed by Charter. Outages, pixelation, audio

syncing, blank screens, slow internet rates, etc. This has been on-going for months. Their service

technicians state these are system and network problems and not originating in home equipment

or installation. The service provider has consistently failed to remedy the situation, avoided

contacting me for a plan for resolution, or otherwise providing assurances this is an actionable

issue.

Resolution Requested : As a regulated concern, I would like to understand 1) PCAC's

authority/control over the provider, 2) what steps can be taken to bring management's attention

to this situation, and 3) remedy the problems.

Charter’s ISP group was able to identify an issue with a file that had been overwritten. The file was reloaded on

02/13/17, which resolved the Video service issues. On 02/24/17 we identified an issue with some additional

channels, which was resolved by switching the feed origination. Mr. H***** is satisfied.

Title 2 - ORGANIZATION AND ADMINISTRATION

Article IV. - Boards of Nonprofit Corporations

Chapter 2.155 - PASADENA COMMUNITY ACCESS CORPORATION BOARD

2.155.010 - Short title.

This chapter shall be known as the "Pasadena Community Access Corporation Board Ordinance."

2.155.020 - Establishment.

The Pasadena community access corporation, a California nonprofit public benefit corporation, was established with the filing of articles of incorporation on December 9, 1983, hereinafter called the "corporation." The corporation's governing body, a board of the city, shall be known as the "Pasadena community access corporation board" and hereinafter called "board."

2.155.030 - Membership—Appointment and terms.

A. The board shall consist of 11 members, who shall be appointed as follows:

1. Each of the 7 councilmembers and the mayor shall nominate 1 member for a total of 8 members.

2. The city manager, or his or her authorized representative, at the election of the city manager bywritten notice to the city clerk, is appointed as a member.

3. The Pasadena Unified School District (hereinafter PUSD) shall nominate 1 member.

4. The Pasadena Area Community College (hereinafter PCC) shall nominate 1 member.

5. All nominations, except the city manager, or his or her authorized representative, are subject toratification by the city council.

B. Members shall be appointed for a term of 3 years, and city members shall serve no more than 2consecutive terms. A term of less than 1 year shall not be considered a full term. Terms expire on June30th of the applicable years. A member shall continue in office for the term for which he/she wasappointed or until his/her successor is appointed. No member who has served 2 consecutive termsshall be eligible for reappointment to the board prior to the passage of a 2-year interval.

C. If a city member ceases to reside in the city prior to the expiration of a term, the member may completethe term only upon approval by the city council pursuant to Section 2.45.020.

D. Any member of the board may be removed by the city council for cause as specified in the CorporationsCode or articles or bylaws of the corporation. Any city member of the board may be removed by thecity council if he/she ceases to reside in the city or has 3 consecutive unexcused absences.
