PREAMBLE TO SCHEDULE OF PRICES

1. The entire Package consisting of Supplies and Services/ Work(s) the totality, shall be covered in the Lump sum Price.

FORM SP-0 gives the Lump sum Price by adding the price of materials given in FORM SP-1 and the price of services given in FORM SP-2. Bidder’s quoted prices shall be strictly as per various FORMS included under section Schedule of Prices. Bidder shall quote LUMPSUM PRICE for entire scope of work including Project management, Detail engineering, Procurement, supply. Fabrication, Inspection, Transportation, Storage, construction, installation, testing, pre-commissioning, commissioning and performance guarantee test run.

2. Spare for start-up /Commissioning, mandatory spares, special tools & tackles are in contractor’s scope of supplies and shall be included in the quoted lump sum prices in Form SP-1.

3. The Lump sum prices is inclusive of all taxes/duties and levies etc but excluding Service Tax , Swachh Bharat Cess & Krishi Kalyan Cess.

4. The prices quoted shall be lump sum prices on turnkey basis. Unless the basic parameter changes or additional / extra requirements are made, total payments to be made to the CONTRACTOR shall be limited to Lump sum Prices indicated in FORM SP-0, irrespective of the progressive payments made during execution based on the split up of prices.

5. Obligation of the CONTRACTOR is not limited to the quantities that the CONTRACTOR may either indicate in the Schedule of Break-up of Lump sum Prices along with his bid or in further detailed break-up of lump sum prices furnished after award of work. CONTRACTOR shall carry out entire scope of work / supplies as detailed in various sections / volumes of the Bidding Document within the quoted Lump sum Prices (Contract Price) as per FORM SP-0.

6. Lump sum prices quoted by the Bidder shall include cost of any other supplies / work(s) not specifically mentioned in the Bidding Document but necessary for the efficient, trouble free operation of the Plant and to make this package job complete in all respects.

7. Bidder shall note that break-up of lump sum prices is for interim payment purposes only and total price payable under the Contract shall be restricted to the Lump sum Price / Contract Price as per FORM SP-0.

8. Total prices for Supplies quoted in FORM SP-1 shall not exceed 60% (Sixty Percent) of the Total Lump sum Prices quoted in FORM SP-0. Total price quoted for Survey, Design & Detailed Engineering services part at Sr. No. 1 & 2 of FORM SP-2 shall not exceed 5% (Five percent) of the Total Lump sum Prices of the price of services quoted in FORM SP-0.

9. In case the price(s) quoted exceed the limits specified at sl. 8 herein above, the excess amount shall be paid in Final Bill.

10. In case of any contradiction between Lump sum Prices mentioned in FORM SP-0 and break-up of Lump sum Prices mentioned in FORM SP-1 & FORM SP-2 the following precedence shall apply:

(i) FORM SP-0;

(ii) FORM SP-1 & FORM SP-2

11. a) Prices for annual maintenance contract (AMC) for a period of 5 years for various systems is to be quoted by the bidder in FORM- SP3, However, the prices quoted by the Bidder in FORM SP-3 shall not be considered for evaluation. The quotation by the bidder for annual maintenance contract is mandatory and shall have the option whether or not to accept the offer with respect to all or any of the said systems and/ or separately negotiate the annual maintenance contracts with the concerned manufacturers of the system or any of them as it deems fit.

b) The successful Bidder shall enter upon a suitable agreement with the relevant suppliers in accordance with FORM- SP3 covering all aspects and transfer the contract in the name of BPCL.

c) The five (5) year Annual Maintenance period shall commence with the expiry of the defect liability period for relative system.

12. Prices of two year operation & maintenance spare after defect liability period shall not be included in the lumpsum prices. Bidder shall furnish the two year operation and maintenance spares recommended manufacture suppliers for each item and the current applicable price list of such manufacturers/suppliers within six months from the date of issue of the letter/fax of acceptance. These prices shall be valid for a period of 12 months from the date of mechanical completion

13. a) If it is not feasible for the bidder to enter the items or relative values in the relevant SP forms due to limitation of space, the bidder may retype the forms wherever required and fill up the rates either by hand or by typing the values and/or items as required. The Bidder further declares that in the event of any discrepancy in the wording between the SP Forms enclosed with the Bidding Document and with any subsequent addendum and the working in the forms prepared by the bidder, the wording given in the SP Forms enclosed with the Bidding document or with any subsequent addendum as the case may be, shall prevail and the values submitted by the bidder shall be taken cognizance of and read accordingly.

b) All the original SP FORMS shall be enclosed duly signed and stamped by the bidder along with the priced sheets prepared by the bidder pursuant to (a) above.

14. Contractor to note that breakup of Lump sum price is for interim payment purpose only and total prices payable under the contract shall be restricted to the Lump sum Price/Contract Price

15. The Bidder shall further ensure that all the originals written by hand or with signature affixed thereto shall be in Blue ink.

16. The lump sum price quoted by bidder shall be for the complete scope of work as defined in the bidding document. Any materials/services required for completion of work but not identified in the FORMS SP-1 to SP-2, the same is deemed to be included in the quoted lump sum price.

17. The incidental cost rising out of Punch list/check list issued by commissioning team of licensor or owner or operation group of owner during pre-commissioning/commissioning for smooth and trouble free operation of the system/units is deemed to be included in the quoted and accepted lump sum price against respective items of supply and services. The contractor shall not be entitled to any compensation in terms of cost and time for such additional supplies and/or services.

18. Prices for Recommended spares for two years normal operation and Maintenance to be quoted as per SP Form-4.

19. Prices for Addition and deletion of Items shall be as per SP Form-5.

20. Details of Taxes and duties to be provided in Form SP-6

DESCRIPTION: Project management, Detailed survey and soil investigations, Design and detailed engineering, Design of insulation & Fabrication of buried double walled metallic pipe in pipe (P-I-P) system and above ground cold insulated piping system, procurement of all materials (except free issue materials) including all consumables required for execution of project, handling, loading, unloading & transportation of corrosion coated outer line pipes & bare inner pipes and other fittings (required for expansion/ contraction bulk heads etc.), bends, insulation materials and accessories, fabrication of pre-insulated double walled metallic pipe-in-pipe spools in the established fabrication yard, shop inspection & transportation of PIP spool to site (s); transportation of all other materials for buried and above ground piping items (including field insulation and joint coating materials, valves, fittings etc) to site and safe storage of all materials including maintenance of storage yard and dumpsite; receiving and taking over of all free issue materials (marine loading arms etc.) including loading unloading and transportation to contractor’s own storage yards; mobilization of all construction equipments, barges, cranes etc.; installation of all items, materials (including temporary items);data collection at site, route finalization, obtaining all approvals from statutory bodies, local authorities; liaisoning, clearance, re-habilitation, decongestion of unauthorized habitation (hutments, dwelling units, shops etc)required for installation and laying of pipeline system; laying, trenching & excavation to all depths and all types of soil, fitment, field welding, dewatering of trench where required including sheet piling as required, field insulation and field joints coating, inspection and testing, backfilling, erection, installation of cold insulated above ground station piping, hydrostatic testing, mechanical completion, cleaning, pigging, pre-commissioning, preservation, commissioning, pre-cooling works, mobilizing insulation vendor at site for close supervision; intelligent pigging; design and development of detailed specifications, drawings and other engg deliverables. 3. Above break-up pertains to supply of major items without identifying individual item. It will be the responsibility of the contractor to supply all materials/equipments required for completion of work as per the contract, irrespective of whether all items are identified above or not.

4. The total process of supply items, as indicated in SL.NO.1 shall not exceed 60% (Sixty Percent) of the total quoted lump sum price.

5. Prices of minor materials for Mechanical equipment, Electrical and Instrumentation and materials for Civil, Structural and General civil, Architectural, Painting works and all consumables for testing, Pre-commissioning& commissioning shall be included in prices for Construction/ Installation quoted in FORM SP-2.

Notes:

1. No Cenvat / Input Tax credit is available to BPCL.

2. While quoting, bidder shall have the option to decide on the method of valuation prescribed under the service tax rules, i.e. either on actual service portion or deemed service portion. Wherever Service Tax is to be paid on actual service portion, the bidder(s) shall indicate the value for service portion on which the Service Tax is applicable i.e. @ 15% (present rate) on actual value for service. Wherever Service Tax is to be paid on deemed service portion as per percentage prescribed, the bidder(s) shall indicate the percentage of the gross works contract value on which Service Tax is applicable i.e. 15% (present rate) on 40% of gross works contract value.

3. The Service Tax amount indicated by the Bidder in this Form shall include both, namely, (i) the amount of Service Tax payable by the bidder and reimbursable by Owner (ii) the amount of Service Tax, if any, directly payable by Owner , as applicable to recipient of service, as per the reverse charge rule of Service Tax.

4. The Service Tax, if any, to be payable by the Owner under reverse charge rule shall not be reimbursed to the Contractor but shall be directly submitted to the Service Tax Authorities by Owner. If the same has already been reimbursed / paid to the Contractor for whatsoever reason, the said amount, as submitted by the Owner to Service Tax Authorities, shall be deducted / recovered / adjusted from the payment due to the Contractor.
