- WITNESSETH, that -

WHEREAS, there is a need for government agencies to improve quality in theiroperations and service delivery in line with the Administration's thrust to ensure that "realchange" is the direction of the government;

WHEREAS, the Duterte Administration is committed to further increase the country'scompetitiveness and ease in doing business as cited in its proposed 1g-pointSocio-Econom ic Agenda ;

NOW, THEREFORE, for and in consideration of the foregoing premises, the Partiesagree as follows:

Section 1. Scope of Work/Description of the Project. The Parties hereby undertake toperform the Project entitled: "Development of a Quality Management SystemCertifiable to ISO 9001 :2015 for the National Telecommunications Commission,"more particularly described in the Project Proposal attached hereto and made an integralpart hereof as Annex "A".

Section 2. Obligations of the DAP. The DAP shall:

a. Organize a team who will conduct the project within the agreed timeframe;b. Prepare the program and course designs for all the training and workshop activities;c. Provide one (1) set of training materials for reproduction by the NTG, for each course

to be conducted;d. Provide resource persons and facilitator;e. Provide certificates to qualified participants of training courses conducted;f. Review the draft documented information and recommend necessary revisions to

ensure their alignment with ISO 9001 .2015 standard; and,g. Provide technical advice and guidance to counterpart team in the establishment and

implementation of NTC's QMS.

Section 3. Obligations of the NTC. The NTC shall:

a. Designate a counterpart support team who will work closely with the DAP ProjectTeam regarding technical and administrative requirements of the project, including themonitoring of the progress of the various project activities;

b. Provide logistical requirements of the project such as training and meeting venues,accommodation (when necessary), equipment (LCD projector with desktop or laptop),supplies, reproduction of training materials for participants, and meals and snacks ofparticipants and resource persons;

c. Provide and/or reimburse transportation expenses (local transportation, airfare) of theresource persons and the DAP Project Team, from DAP Office, Pasig City totraining/meeting venue and vice-versa;

d. Draft the documented information, including specific QMS-related forms and toolsagreed upon during workshops, with guidance from the DAP Project Team;

e. Ensure implementation of relevant project activities and provide policy support for theimplementation of quality systems and procedures adopted by the NTC; and,

f. Ensure availability and participation of staff/participants concerned during the conductof training courses and other activities necessary in the course of the project.

Section 4. Statement of Gonsideration (Fees). For and in consideration of the servicesof the DAP, the NTC shall:

a. Pay the DAP the sum of One Million Seven Hundred Seventy Thousand SevenHundred Twenty Pesos (PHP 1,770,720.00), inclusive of 12o/o VAT, payable asfollows:

b. Pay the DAP an additional fee of Five Hundred Pesos (PHP 500.00) inclusive of12o/o VAT for each participant in the orientation in excess of fifty (50) persons;

c. Pay the DAP an additional fee of Two Thousand Pesos (PHP 2,000.00) inclusive of12o/o VAT, per training participant per day in excess of twenty-five (25), up to amaximum of thirty (30) participants;

d. Pay the DAP an additional twenty-five percent (25%l of the project activity costfor weekend sessions; and,

e. lssue a Certificate of Availability of Funds (CAF) duly signed by the NTC'sFinance/Budget Officer, hereto attached and marked as Annex '38" and made anintegral part of this Agreement.

Section 5. Gonfidentiality. Each party undertakes not to divulge at any time to any thirdperson any confidential information relating to the other, except upon prior writtenconsent of the other or where required under the law or regulation or by a valid order of acourt or other governmental authority with competent jurisdiction.

Section 6. Intellectual Property Rights. All materials and work provided by the DAPshall belong exclusively to DAP and shall not be used for any purpose other than theimplementation of this Agreement. Any use, reproduction, publication, sale ordistribution of these materials and work shall be subject to the prior written consent of theDAP and such terms as DAP shall require. Any original work created arising out of or inconnection with this Agreement shall belong to DAP, except where the original workuses any data or material belonging to NTC, in which case, the work shall be ownedjointly by the Parties, with each party having royalty free non-exclusive and irrevocablelicense to use, publish, copy, reproduce or distribute the work for government or publicpurposes.

Section 7. Liability. The DAP shall not be liable to NTG for loss or damage to NTC'sproperty unless due to the gross negligence or breach of this Agreement. The DAP shallnot be liable to NTG for any indirect, special or consequential loss arising out of or inconnection with the provision of goods and the services pursuant to this Agreement andthe total liability of DAP for any other loss of NTG arising out of or in connection with thisAgreement in respect of any event shall not exceed the charges payable by NTG to theDAP for the Project.

Section 8. Indemnity. The NTG shall indemnify and hold the DAP free and harmlessfrom any and all claims or causes of action of third parties arising from a negligent orothenruise wrongful act, or omission by the NTC or its employees or representatives.

Section 9. Warranties. All conditions and warranties whether expressed or implied bylaw or otherwise (including but not limited to those as to description, merchantability orfitness for a particular purpose) are excluded from this Agreement.

Section 10. Duration of Term of the Agreement. This Agreement shall becomeeffective upon execution thereof and shall be valid and subsisting until the final andsatisfactory fulfillment by the Parties; provided, however, that there shall be flexibility inthe Project duration as long as the specified Project deliverable agreed upon by theParties are met.

Section 11- Changes. lf changes under this section shoutd result in an increase ordecrease in the services originally provided and scheduled, an equivalent adjustmenton the contract price, time or both shall subsequently be agreed upon in writing byboth Parties.

Section 12. Force_ Majeure. No party shall be liable to the other for the delay ornon-performance of its obligations under this Agreement arising from any cause orcauses beyond its reasonable control, including, without limitation, any of tnL tottowing:act of God, government act, war, fire, flood, explbsion or civil commotion.

Section 13. Termination. The following events shall entitle the party not in breach toterminate this Agreement by immediate written notice:

a. Failure on the part of NTC to make punctual payment of all sums due to the DApunder the terms of this Agreement;

b. Failure on the part of the DAP to remedy any breach of its obligations hereunderwithin fifteen (15) days following written notice from NTC specifyin-g tne breach w1hfull particulars; and,

c. Any serious and persistent breach by either party of any provision of this Agreement.

The Parties may terminate this Agreement upon mutual agreement.

In the event this Agreement is terminated for causes not attributable to the DAp, theDAP shall be entitled to payment determined on a pro rata basis for services satisfaciorilyperformed or delivered as well as reimbursemeni for reasonable expenses incurred inperforming its obligations prior to the termination.

Section 14- Dispute Settlement or Arbitration. All disputes and controversies arisingout of in connection with this Agreement, or for breach of any provision hereof, whichcannot be solved by the herein contracting Parties, shall be setfled through Arbitration inaccordance with PD No. 242 in relation to Sections 66, Chapter XlV,

-Book lV of theAdministrative Code of 1987, in conjunction with Section'tO, inapter 3 Book Vll, of the

same code. The venue of any legal action arising out of this Agreement shall be broughtto the proper court in pasig City.

Section 15' Amendments. No amendment or modification of any of the terms andconditions of this Agreement shall be valid unless evidenced by a written Agreementexecuted by the Parties' respective authorized representatives.

Section 16' Separability. lf any part of this Agreement is declared unenforceable orvoid, the rest of the Agreement shall neverthelesi remain in full force and effect.

Section 17' Waiver. No failure, omission or delay of any of the parties in exercising anyof its right, privileges and remedies hereunder sfratl operate as a waiver thereof. Nowaiver or departure from the terms of this Agreement shall be valid unless made inwriting and signed by the party's authoriz"i t"presentative. Such waiver shall beeffective only in the specific instance and for the purpose for which it is given.

Section 18' Assignment. The benefit of this Agreement may not be assigned in wholeor in part by a party without the prior written consent of the other.

Section 19' Binding Effect. This Agreement shall be binding on the parties and theirrespective successors-i n-i nterest.

I. BACKGROUND/RATIONALE

The need for government agencies to improve quality in their operations and servicedelivery has never been more urgent in the light of the current Administration's thrust toensure that "real change" is the actual direction of the government. In the inauguralspeech and the proposed 10-point socio-economic agenda of the President, thegovernment agencies are directed to improve the delivery of services through processstreamlining and rationalizing documentary requirements to increase competitivenessand ease of transaction for the citizens. There is also an urgent call to improve thecitizens' faith and trust in the government's capacity to make the Filipino lives better,safer and healthier.

This clear and compelling direction of the Administration further strengthens the needfor government agencies to comply with Executive Order No. 605, Institutionalizing theStructure, Mechanisms, and Standards to lmplement the Government QualityManagement Program, which was issued to effect improvement in public sectorperformance by ensuring the consistency of products and services through qualityprocesses. Effective management and good governance are essential elements ofquality that can be achieved through an effective Quality Management System(OMS). Aligning an organization's planning, service, and support operations to ISO9001 International Standards is one reliable approach in establishing a QMS. Thismethodology provides a clear perspective of the quality system requirements and theareas of control to assure the consistency in the quality of services and continuousprocess improvement that will generate approaches to improve customer/citizensatisfaction.

In line with the aforementioned thrusts of the government and in support of its vision tobe a world class regulatory agency able to lead the telecommunications andinformation sector as an engine for progress and development, the NationalTelecommunications Commission (NTC) has decided to embark on its own journeytowards ISO certification.

In support of its vision, the Development Academy of the Philippines is proposing theproject: Development of a Quality Management System Certifiable to ISO9001 :2015 for the National Telecommunications Commission. The ISO 9001 shallprovide a globally recognized standard that would transform NTC's currentmanagement system to a certified QMS.

II. OBJECTIVES

The project aims to facilitate the establishment of ISO 9001:2015 QMS covering theprocesses: lssuance of Type-Approval/Acceptance Certificate by the EquipmentStandard Division, lssuance of New Radio Station License of Public Telecom Carrierby the Network and Facilities Division and lssuance of Renewal of Radio StationLicense of Public Telecom Carrier by the Regional Offices.

Specifically, it shall:

a. Enhance the understanding and appreciation of the NTC officers and staff on theprinciples and requirements of ISO 9001 :2015 QMS;

b. Develop the capabilities of key officers and staff of the NTC in preparing for andsustaining the ISO 9001 certification; and,

c. Prepare the documentation and implementation requirements for the certification ofthe NTC QMS and for maintaining and sustaining the established QMS.

III. DAP'S SCOPE OF WORK

a. Develop and conduct customized training courses on ISO 9001 .2015 QMSRequirements and Documentation and Auditing Quality Management System forthe QMS Core Team and selected officers and staff of the NTC;

b. Provide technical guidance in establishing the QMS documented information suchas the scope of the QMS, quality policy, and quality objectives. Specifically, the saidtechnical guidance covers the following: (1) conduct of workshops and writeshopsessions; (2) review of the workshop and writeshop outputs; (3) provision of inputsfor improvements; and, (4) checking of final documents to ensure their alignmentwith ISO 9001 :2015 QMS standard;

c. Provide technical guidance in cascading and implementing the QMS in NTC; and,

d. Conduct readiness review of the QMS and recommend final preparations for theISO 900 1 :2015 certification process.

IV. PROJECT COMPONENTS AND METHODOLOGY

To realize the project objectives, the following shall be undertaken:

A. QMS Awareness and Gapability Building

1. ISO 9001 =2015

Orientation for Top Management and General Employees

The DAP Project Team shall conduct a brief orientation on the importance andprinciples of the ISO 9001:2015 to the key officers and staff of NTC. Thepresentation will also provide an overview of the project, highlighting the projectmethodology, components, and the QMS roadmap and framework.

2. Training Course on ISO 9001 :2015 QMS Requirements and Documentation

The DAP Project Team shall conduct training on ISO 9001 :2015 QMSrequirements and documentation to develop an in-depth understanding of QMSconcepts, principles and requirements. lt will also include establishment andformulation of required documented information. The course shall utilizediscussions, exercises and workshops.

3. Training Course on Risk Management

The DAP Project Team shall conduct the training on risk management toenhance the QMS Core Team's appreciation of risk-based planning for theQMS, understanding of the basic concepts and principles of risk management,and knowledge on the application of risk identification and assessment tools. Aworkshop on the formulation of the NTC's risk registry, stakeholders' map andcorresponding action plans to address identified risks and optimize identifiedopportunities shall also be facilitated in the training.

4. Training Course on Auditing Quality Management System

The DAP Project Team shall conduct a training on auditing quality managementsystem to enable participants to understand, interpret and audit ISO-QMSrequirements, as well ?s, address audit findings. The course shall utilizediscussions, exercises, workshops, and mock audit to guide and enhanceauditing skills of the participants

5. Technical Guidance on QMS lmplementation

The DAP Project Team shall provide technical guidance through a discussionmeeting on developing and enhancing the QMS documentation, tools, andpractices resulting from. the previous workshops, cascading of the QMS andimplementation of the 1" IQA and 1" management review. This activity aims to develop an in-depth understandingof the NTC's processes and QMS gaps, to be incorporated in the Project WorkPlan activities.

2. Final Gap AssessmenUReadiness Review

The DAP Project Team shall conduct a final gap/readiness assessment of theestablished QMS through on-site assessment. This activity aims to recommendnecessary actions to eliminate the gaps and recommend final preparations forISO 900 1 :2015 certification.

vl. PROJECT TERMS AND CONDITIONS

A. The DAP shall:

Organize a team who will conduct the project within the agreed timeframe;Prepare the program and course designs for all the training and workshopactivities;

3. Provide one (1) set of training materials for reproduction by the NTC, for eachcourse to be conducted;Provide resource persons and facilitator;Provide certificates to qualified participants of training courses conducted;Review the draft documented information and recommend necessary revisionsto ensure their alignment with ISO 9001 :2015 standard; and,Provide technical advice and guidance to counterpart team in the establishmentand implementation of the NTC's QMS.

B.The NTC shall:

Designate a counterpart support team who will work closely with the DAPProject Team regarding technical and administrative requirements of the project,including the monitoring of the progress of the various project activities;Provide logistical requirements of the project such as training/workshop/seminar/meeting venue, accommodation (when necessary),equipment (LCD projector with desktop or laptop), supplies, reproduction oftraining and seminar materials for participants, and meals and snacks ofparticipants and resource persons;

3. Provide and/or reimburse transportation expenses (local transportation) of theresource persons and the DAP Project Team, from DAP Office, Pasig City totraining/writeshop/seminar/meeting venue and vice-versa;Draft the documented information, including specific QMS related forms andtools agreed upon during workshops, with guidance from DAP Project Team;Ensure implementation of relevant project activities and provide policy supportfor the implementation of quality systems and procedures adopted by the NTC;Ensure availability and participation of staff/participants concerned during theconduct of training courses and other activities necessary in the course of theproject;
