ItistheintentionofRegion14EducationServiceCenter(herein“Region14ESC”)toestablishaMasterAgreementforFoodserviceEquipment,Smallwares,Parts,Designand/orInstallationforusebyRegion14ESCandotherpublicagenciessupportedunderthiscontract.ThisRequestforProposalisissuedonbehalfoftheNationalCooperativePurchasingAlliancethroughapublicagencyclause,whichprovidesthatanycounty,city,specialdistrict,localgovernment,schooldistrict,privateK-12school,highereducationinstitution,state,othergovernmentagency,healthcareorganizationornonprofitorganizationmaypurchaseProductsandServicesthroughthiscontract.RespondentswillberequiredtoexecutetheNCPAAdministrationAgreementuponaward.Thiscontractwillallowagenciestopurchaseonan“asneeded”basisfromacompetitivelyawardedcontract.Respondentsarerequestedtosubmittheirtotallineofavailableproductsandservices.WhilethissolicitationspecificallycoversFoodserviceEquipment,Smallwares,Parts,Designand/orInstallation,respondentsareencouragedtosubmitanofferingonanyorandallproductsandservicesavailablethattheycurrentlyperformintheirnormalcourseofbusiness.

Introduction/Scope
♦ Region14ESConbehalfofitselfandallstates,localgovernments,schooldistricts,andhighereducationinstitutionsintheUnitedStatesofAmerica,andothergovernmentagenciesandnon-profitorganizations(herein“PublicAgency”orcollectively“PublicAgencies”)issolicitingproposalsfromqualifiedvendorstoenterintoaMasterAgreementforacompletelineofFoodserviceEquipment,Smallwares,Parts,Designand/orInstallation.
♦ Region14ESC,astheleadpublicagency,haspartneredwithNCPAtomaketheresultantcontractavailabletoallparticipatingagenciesintheUnitedStates.NCPAprovidesmarketingandadministrativesupportfortheawardedvendorthatpromotesthesuccessfulvendor’sproductsandservicestoPublicAgenciesnationwide.TheVendorwillexecutetheNCPAAdministrationAgreement(Tab2)uponaward.VendorshouldthoroughlyreviewalldocumentsandnoteanyexceptionstoNCPAtermsandconditionsintheirproposal.
♦ Awardedvendor(s)shallperformcoveredservicesunderthetermsofthisagreement.Respondentsshallprovidepricingbasedonadiscountfromtheirstandardpricingschedulesforproductsand/orservicesoffered.RespondentsmustprovideexplanationonhowtheywillprovideeitherCatalogand/orpricelistsintheiraccompanyingproposal.Pleasespecifywheredifferentpercentagediscountsapply.Additionalpricingand/ordiscountsmaybeincluded.
♦ Eachserviceproposedistobepricedseparatelywithallineligibleitemsidentified.Servicesmaybeawardedtomultiplevendors.Respondentsmayelecttolimittheirproposalstoasingleservicewithinanycategory,ormultipleserviceswithinanyandallcategories.
♦ NationalCooperativePurchasingAlliance(NCPA)Ø TheNationalCooperativePurchasingAlliance(herein“NCPA”)assistspublicagenciesto
increasetheirefficiencyandreducetheircostswhenprocuringgoodsandservices.Thisisaccomplishedbyawardingcompetitivelysolicitedcontractsthatareleveragednationallybycombiningthevolumesandpurchasingpowerofentitiesnationwide.Ourcontractsareavailableforusebyanyentitythatmustcomplywithprocurementlawsandregulations.
♦ ItistheintentionofRegion14ESCandNCPAtoachievethefollowingobjectivesthroughthisRFP.Ø ProvideacomprehensivecompetitivelysolicitedMasterAgreementofferingProductsand
ServicestoPublicAgencies;Ø AchievecostsavingsofVendorsandPublicAgenciesthroughasinglecompetitive
solicitationprocessthateliminatestheneedformultipleproposals;Ø CombinethepurchasingpowerofPublicAgenciestoachievecosteffectivepricing;Ø ReducetheadministrativeandoverheadcostsofVendorsandPublicAgenciesthrough
stateoftheartpurchasingprocedures.
♦ VendorScope
Ø ItistheintentionofRegion14ESCtoestablishacontractwithvendor(s)forFoodserviceEquipment,Smallwares,Parts,Designand/orInstallation.Awardedvendor(s)shallprovideproductsandperformcoveredservicesunderthetermsofthisagreement.Offerorsshallprovidepricingbasedonadiscountfromamanufacturer’spricelistorcatalog,orfixedprice,oracombinationofbothwithindefinitequantities.Additionalpricingand/ordiscountsmaybeincluded.IfOfferorhasexistingcooperativecontractsinplace,Offerorisrequestedtosubmitpricingequalorbetterthanthosethatareinplace.Multiplepercentagediscountstructureisalsoacceptable.Pleasespecifywheredifferentpercentagediscountsapply.
Ø Each service proposed is to be priced separately with all ineligible items identified.
Servicesmaybeawardedtomultiplevendors.Offerorsmayelecttolimittheirproposalstoasingleservicewithinanycategory,ormultipleserviceswithinanyorallcategories.
Ø Region 14 ESC is seeking a service provider that has the depth, breadth and quality of
resourcesnecessarytocompleteallphasesofthiscontract.Inaddition,NCPAalsorequestsanyvalueaddproductorservicethatcouldbeprovidedunderthiscontract.
Ø WhilethissolicitationspecificallycoversFoodserviceEquipment,Smallwares,Parts,
Designand/orInstallation,respondentsareencouragedtosubmitanofferingonanyandallproductsorservicesavailablethattheycurrentlyperformintheirnormalcourseofbusiness.

♦ CustomerSupportØ Thevendorshallprovidetimelyandaccuratetechnicaladviceandsalessupport.The
vendorshallrespondtosuchrequestswithinone(1)workingdayafterreceiptoftherequest.
♦ AssignmentofContract
Ø NoassignmentofcontractmaybemadewithoutthepriorwrittenapprovalofRegion14ESC.Purchaseordersandpaymentcanonlybemadetoawardedvendor.AwardedvendorisrequiredtonotifyRegion14ESCwhenanymaterialchangeinoperationismade.
♦ Disclosures
Ø Respondentaffirmsthathe/shehasnotgiven,offeredtogive,norintendstogiveatanytimehereafteranyeconomicopportunity,futureemployment,gift,loan,gratuity,specialdiscount,trip,favororservicetoapublicservantinconnectionwiththiscontract.
Ø Therespondentaffirmsthat,tothebestofhis/herknowledge,theofferhasbeenarrivedatindependently,andissubmittedwithoutcollusionwithanyonetoobtaininformationorgainanyfavoritismthatwouldinanywaylimitcompetitionorgiveanunfairadvantageoverothervendorsintheawardofthiscontract.
♦ RenewalofContract
Ø Unlessotherwisestated,allcontractsareforaperiodofone(1)yearwithanoptiontorenewannuallyforanadditionalfour(4)yearsifagreedtobyRegion14ESCandthevendor.
♦ FundingOutClause
Ø Any/allcontractsexceedingone(1)yearshallincludeastandard“fundingout”clause.Acontractfortheacquisition,includinglease,ofrealorpersonalpropertyisacommitmentoftheentity’scurrentrevenueonly,providedthecontractcontainseitherorbothofthefollowingprovisions:
Ø Retainstotheentitythecontinuingrighttoterminatethecontractattheexpirationofeachbudgetperiodduringthetermofthecontractandisconditionedonabesteffortsattemptbytheentitytoobtainappropriatefundsforpaymentofthecontract.
♦ Shipments(ifapplicable)
Ø Theawardedvendorshallshiporderedproductswithinthewrittenestimateofdeliverytimebythevendortotheentityafterthereceiptoftheorderunlessmodified.Ifaproductcannotbeshippedwithinthattime,theawardedvendorshallnotifytheentityplacingtheorderastowhytheproducthasnotshippedandshallprovideanestimatedshippingdate.Atthispointtheparticipatingentitymaycanceltheorderifestimatedshippingtimeisnotacceptable.Alldeliveriesshallbefreightprepaid,F.O.B.destination.
♦ TaxExemptStatus
Ø Sincethisisanationalcontract,knowingthetaxlawsineachstateisthesoleresponsibilityofthevendor.
♦ PaymentsØ Theentityusingthecontractwillmakepaymentsdirectlytotheawardedvendorortheir
affiliatesaslongaswrittenrequestandapprovalbyNCPAisprovidedtotheawardedvendor.
♦ Addingauthorizeddistributors/dealers
Ø Awardedvendorsareprohibitedfromauthorizingadditionaldistributorsordealers,otherthanthoseidentifiedatthetimeofsubmittingtheirproposal,tosellundertheircontractawardwithoutnotificationandpriorwrittenapprovalfromNCPA.
Ø AwardedvendorsmustnotifyNCPAeachtimeitwishestoaddanauthorizeddistributorordealer.
Ø PurchaseordersandpaymentcanonlybemadetoawardedvendorunlessotherwiseapprovedbyNCPA.
Ø Pricingprovidedtomembersbyaddeddistributorsordealersmustalsobelessthanorequaltothepricingofferedbytheawardedcontractholder,unlessotherwiseapprovedbyNCPA.
♦ Pricing
Ø Allpricingsubmittedtoshallinclude,asacostofsaletotheawardedvendor,theadministrativefeetoberemittedtoNCPAbytheawardedvendor.Itistheawardedvendor’sresponsibilitytokeepallpricinguptodateandonfilewithNCPA.Forthosepricingrequiringannualorperiodicpricingupdates,awardedvendorsareexpectedtoprovidethesechangesassubmitted.
Ø Alldeliveriesshallbefreightprepaid,F.O.B.destinationandshallbeincludedinallpricingofferedunlessotherwiseclearlystatedinwriting
Ø All supplies, equipment and services shall include manufacturer's minimum standardwarrantyandone(1)yearlaborwarrantyunlessotherwiseagreedtoinwriting.
♦ BestPriceGuaranteeØ TheawardedvendoragreestoprovidepricingtoRegion14ESCanditsparticipating
entitiesthatarethelowestpricingavailableandthepricingshallremainsothroughoutthedurationofthecontract.
Ø TheawardedvendoragreestolowerthecostofanyproductpurchasedthroughNCPAfollowingareductioninthemanufacturerorpublisher'sdirectcost.
Ø Theawardedvendoragreesallprices,terms,warranties,andbenefitsgrantedbythevendortoMembersthroughthiscontractarecomparabletoorbetterthantheequivalenttermsofferedbyvendortoanypresentcustomermeetingthesamequalificationsorrequirements.
♦ WarrantyØ Proposalsshouldaddresseachofthefollowing:
§ Applicablewarrantyand/orguaranteesofequipmentandinstallationsincludinganyconditionsandresponsetimeforrepairand/orreplacementofanycomponentsduringthewarrantyperiod.
§ Availabilityofreplacementparts§ Lifeexpectancyofequipmentundernormaluse§ Detailedinformationastoproposedreturnpolicyonallequipment
♦ AdministrativeFee
Ø AllpricingsubmittedtoRegion14ESCshallincludetheadministrativefeetoberemittedtoNCPAbytheawardedvendor.
Ø Theawardedvendoragreestopayadministrative feestoNCPAoftwopercent(2%)onall product sales and five percent (5%) on all labor based solutions. (Sales will becalculatedforfiscalyearofJanuary1stthroughDecember31standreseteachyear)
♦ AuditrightsØ Vendorshall,atVendor’ssoleexpense,maintainappropriateduediligenceofallpurchases
madebyanyentitythatutilizesthisAgreement.NCPAandRegion14ESCeachreservetherighttoaudittheaccountingforaperiodofthree(3)yearsfromthetimesuchpurchasesaremade.ThisauditrightshallsurviveterminationofthisAgreementforaperiodofone(1)yearfromtheeffectivedateoftermination.IntheStateofNewJersey,thisauditrightshallsurviveterminationofthisAgreementforaperiodoffive(5)yearsfromthedateoffinalpayment.Suchrecordsshallbemadeavailable to theNewJerseyOfficeof theStateComptrolleruponrequest.
Ø Region14ESCshallhavetheauthoritytoconductrandomauditsofVendor’spricingthatisofferedtoeligibleentitiesatRegion14ESC'ssolecostandexpense.Notwithstanding theforegoing, in theevent thatRegion14ESC ismadeawareofanypricingbeingoffered toeligible agencies that is materially inconsistent with the pricing under this agreement,Region14ESCshallhave theability to conductanextensiveauditofVendor’spricingatVendor’s sole cost and expense. Region14ESCmay conduct the audit internally ormayengageathird-partyauditingfirm.Intheeventofanaudit,therequestedmaterialsshallbeprovidedintheformatandatthelocationdesignatedbyRegion14ESCorNCPA.
♦ Indemnity
Ø Theawardedvendorshallprotect,indemnify,andholdharmlessRegion14ESCanditsparticipants,administrators,employeesandagentsagainstallclaims,damages,lossesandexpensesarisingoutoforresultingfromtheactionsofthevendor,vendoremployeesorvendorsubcontractorsinthepreparationofthesolicitationandthelaterexecutionofthecontract.
♦ LicensesandDutytokeepcurrentlicenses
Ø Vendor shall maintain in current status all federal, state and local licenses, bonds andpermits required for the operation of the business conducted by vendor. Vendor shallremainfullyinformedofandincompliancewithallordinancesandregulationspertainingtothelawfulprovisionofservicesunderthecontract.Region14ESCreservestherighttostop work and/or cancel the contract of any vendor whose license(s) expire, lapse, aresuspendedor terminated.Vendor is expected toprovideall required license(s)with thisRFPresponse.
♦ FranchiseTax
Ø Therespondentherebycertifiesthathe/sheisnotcurrentlydelinquentinthepaymentofanyfranchisetaxes.
♦ SupplementalAgreementsØ Theentityparticipatinginthiscontractandawardedvendormayenterintoaseparate
supplementalagreementtofurtherdefinethelevelofservicerequirementsoverandabovetheminimumdefinedinthiscontracti.e.invoicerequirements,orderingrequirements,specializeddelivery,etc.Anysupplementalagreementdevelopedasaresultofthiscontractisexclusivelybetweentheparticipatingentityandawardedvendor.
♦ CertificatesofInsurance
Ø CertificatesofinsuranceshallbedeliveredtothePublicAgencypriortocommencementofwork.Theinsurancecompanyshallbelicensedintheapplicablestateinwhichworkisbeingconducted.Theawardedvendorshallgivetheparticipatingentityaminimumoften(10)days’noticepriortoanymodificationsorcancellationofpolicies.Theawardedvendorshallrequireallsubcontractorsperforminganyworktomaintaincoverageasspecified.
♦ LegalObligations
Ø ItistheRespondent’sresponsibilitytobeawareofandcomplywithalllocal,state,andfederallawsgoverningthesaleofproducts/servicesidentifiedinthisRFPandanyawardedcontractandshallcomplywithallwhilefulfillingtheRFP.Applicablelawsandregulationmustbefollowedevenifnotspecificallyidentifiedherein.
♦ Protest
Ø Aprotestofanawardorproposedawardmustbefiledinwritingwithinten(10)daysfromthedateoftheofficialawardnotificationandmustbereceivedby5:00pmCST.NoprotestshalllieforaclaimthattheselectedVendorisnotaresponsibleBidder.ProtestsshallbefiledwithRegion14ESCandshallincludethefollowing:
§ Name,addressandtelephonenumberofprotester§ Originalsignatureofprotesteroritsrepresentative§ IdentificationofthesolicitationbyRFPnumber§ Detailedstatementoflegalandfactualgroundsincludingcopiesofrelevant
documentsandtheformofreliefrequestedØ Anyprotestreviewandactionshallbeconsideredfinalwithnofurtherformalitiesbeing
considered.
♦ ForceMajeure
Ø IfbyreasonofForceMajeure,eitherpartyheretoshallberenderedunablewhollyorinparttocarryoutitsobligationsunderthisAgreementthensuchpartyshallgivenoticeandfullparticularsofForceMajeureinwritingtotheotherpartywithinareasonabletimeafteroccurrenceoftheeventorcausereliedupon,andtheobligationofthepartygivingsuchnotice,sofarasitisaffectedbysuchForceMajeure,shallbesuspendedduringthecontinuanceoftheinabilitythenclaimed,exceptashereinafterprovided,butfornolongerperiod,andsuchpartyshallendeavortoremoveorovercomesuchinabilitywithallreasonabledispatch.
Ø ThetermForceMajeureasemployedherein,shallmeanactsofGod,strikes,lockouts,orotherindustrialdisturbances,actofpublicenemy,ordersofanykindofgovernmentoftheUnitedStatesoranycivilormilitaryauthority;insurrections;riots;epidemics;landslides;lighting;earthquake;fires;hurricanes;storms;floods;washouts;droughts;arrests;restraintofgovernmentandpeople;civildisturbances;explosions,breakageoraccidentstomachinery,pipelinesorcanals,orothercausesnotreasonablywithinthecontrolofthepartyclaimingsuchinability.Itisunderstoodandagreedthatthesettlementofstrikesandlockoutsshallbeentirelywithinthediscretionofthepartyhavingthedifficulty,andthattheaboverequirementthatanyForceMajeureshallberemediedwithallreasonabledispatchshallnotrequirethesettlementofstrikesandlockoutsbyaccedingtothedemandsoftheopposingpartyorpartieswhensuchsettlementisunfavorableinthejudgmentofthepartyhavingthedifficulty
♦ PrevailingWage
Ø ItshallbetheresponsibilityoftheVendortocomply,whenapplicable,withtheprevailingwagelegislationineffectinthejurisdictionofthepurchaser.ItshallfurtherbetheresponsibilityoftheVendortomonitortheprevailingwageratesasestablishedbytheappropriatedepartmentoflaborforanyincreaseinratesduringthetermofthiscontractandadjustwageratesaccordingly.
♦ Miscellaneous
Ø Eitherpartymaycancelthiscontractinwholeorinpartbyprovidingwrittennotice.Thecancellationwilltakeeffect30businessdaysaftertheotherpartyreceivesthenoticeofcancellation.Afterthe30thbusinessdayallworkwillceasefollowingcompletionoffinalpurchaseorder.
♦ CancellationforNon-PerformanceorContractorDeficiency
Ø Region14ESCmayterminateanycontractifawardedvendorhasnotusedthecontract,orifpurchasevolumeisdeterminedtobelowvolumeinany12-monthperiod.
Ø Region14ESC reserves the right to cancel thewholeor anypart of this contractdue tofailurebycontractortocarryoutanyobligation,termorconditionofthecontract.
Ø Region14ESCmayissueawrittendeficiencynoticetocontractorforactingorfailingtoactinanyofthefollowing:
♦ Providingmaterialthatdoesnotmeetthespecificationsofthecontract;♦ Providingworkand/ormaterialthatwasnotawardedunderthecontract;♦ Failing to adequately perform the services set forth in the scope of work and
specifications;♦ Failing to complete requiredwork or furnish requiredmaterialswithin a reasonable
amountoftime;♦ Failingtomakeprogress inperformanceof thecontractand/orgivingRegion14ESC
reason to believe that contractorwill not or cannot perform the requirements of thecontract;
Ø Uponreceiptofawrittendeficiencynotice,contractorshallhaveten(10)daystoprovideasatisfactoryresponsetoRegion14ESC.Failuretoadequatelyaddressallissuesofconcernmay result in contract cancellation. Upon cancellation under this paragraph, all goods,materials,work, documents, data and reports prepared by contractor under the contractshallbecomethepropertyofRegion14ESCondemand.
If awarded vendor is going to do business in the State of Arizona, the following terms andconditionsshallapply♦ CancellationforConflictofInterest
Ø PerA.R.S.38-511aSchoolDistrict/publicentitymaycancelthisContractwithinthree(3)
years after Contract execution without penalty or further obligation if any personsignificantlyinvolvedininitiating,negotiating,securing,drafting,orcreatingtheContractonbehalfoftheSchoolDistrict/publicentityis,orbecomesatanytimewhiletheContractoranextensiontheContractisineffect,anemployeeoforaconsultanttoanyotherpartytothisContractwithrespecttothesubjectmatteroftheContract.Thecancellationshallbeeffectivewhentheawardedvendorreceiveswrittennoticeofthecancellationunlessthenoticespecifiesalatertime.
♦ RegisteredSexOffenderRestriction
Ø Pursuant to this order, the awarded vendor agrees by acceptance of this order that no
employeeoftheawardedvendororasubcontractoroftheawardedvendor,whohasbeenadjudicated to be a registered sex offender, will performwork on any School District’spremisesorequipmentatanytimewhenDistrictstudentsare,orarereasonablyexpectedto be, present. The awarded vendor further agrees by acceptance of this order that aviolation of this condition shall be considered a material breach and may result in acancellationoftheorderattheDistrict'sdiscretion.
♦ Contract’sEmploymentEligibility

Ø NCPAshallbeaffordedalloftherights,privilegesandindemnificationsaffordedtoRegion14ESCundertheMasterAgreement,andsuchrights,privilegesandindemnificationsshallaccrueandapplywithequaleffecttoNCPAunderthisAgreementincluding,butnotlimitedto,theVendor’sobligationtoprovideappropriateinsuranceandcertainindemnificationstoRegion14ESC.
Ø Vendorshallperformallduties,responsibilitiesandobligationsrequiredundertheMasterAgreementinthetimeandmannerspecifiedbytheMasterAgreement.
Ø NCPAshallperformallofitsduties,responsibilities,andobligationsasadministratorofpurchasesundertheMasterAgreementassetforthherein,andVendoracknowledgesthatNCPAshallactinthecapacityofadministratorofpurchasesundertheMasterAgreement.
Ø WithrespecttoanypurchasesmadebyRegion14ESCoranyPublicAgencypursuanttotheMasterAgreement,NCPA(a)shallnotbeconstruedasadealer,re-marketer,
representative,partner,oragentofanytypeofVendor,Region14ESC,orsuchPublicAgency,(b)shallnotbeobligated,liableorresponsible(i)foranyordersmadebyRegion14ESC,anyPublicAgencyoranyemployeeofRegion14ESCorPublicAgencyundertheMasterAgreement,or(ii)foranypaymentsrequiredtobemadewithrespecttosuchorder,and(c)shallnotbeobligated,liableorresponsibleforanyfailurebythePublicAgencyto(i)complywithproceduresorrequirementsofapplicablelaw,or(ii)obtainthedueauthorizationandapprovalnecessarytopurchaseundertheMasterAgreement.NCPAmakesnorepresentationsorguarantieswithrespecttoanyminimumpurchasesrequiredtobemadebyRegion14ESC,anyPublicAgency,oranyemployeeofRegion14ESCorPublicAgencyunderthisAgreementortheMasterAgreement.
Ø ThePublicAgencyparticipatingintheNCPAcontractandVendormayenterintoaseparatesupplementalagreementtofurtherdefinethelevelofservicerequirementsoverandabovetheminimumdefinedinthiscontracti.e.invoicerequirements,orderingrequirements,specializeddelivery,etc.AnysupplementalagreementdevelopedasaresultofthiscontractisexclusivelybetweenthePublicAgencyandVendor.NCPA,itsagents,membersandemployeesshallnotbemadepartytoanyclaimforbreachofsuchagreement.

Ø AwardedvendoragreestoallowNCPAtousetheirnameandlogowithinwebsite,marketingmaterialsandadvertisement.AnyuseofNCPAnameandlogooranyformofpublicityregardingthiscontractbyawardedvendormusthavepriorapprovalfromNCPA.
Ø IfanyactionatlaworinequityisbroughttoenforceorinterprettheprovisionsofthisAgreementortorecoveranyadministrativefeeandaccruedinterest,theprevailingpartyshallbeentitledtoreasonableattorney’sfeesandcostsinadditiontoanyotherrelieftowhichsuchpartymaybeentitled.

3) FoodserviceParts - Foodservice Parts are defined as parts used to repair and/or
maintain commercial kitchen cooking and refrigeration equipment to include, butnot limited to: gaskets, cooking equipment components, commercial refrigerationcomponents,timers,thermodiscs,pressurecontrols,pressureregulators,gasvalves,thermocouples, probes, latches, filters, baskets, faucets, drains, washroomcomponents, dish room components, hinges, hardware, plumbing components, gasandelectricappliancepartsandcasters.
4) FoodserviceDesigna) Conceptuallydevelopanddesignfoodservicefacilityschematicswhichmeetthe
owner’srequirementsandserveaspecifiednumberofpeople.i) Provide full utility floor plans with dimensions. This should include all
electrical,plumbing,structural,facilityandmechanicaldetails.ii) Provide and explain special conditions requirements and detailed
elevations.
b) Developandrefinepreliminarybudgetsbasedonschematicdesigns.i) Provide itemized equipment lists detailing all manufacturer makes and
models to be used. This should also include a detailing of all utilityrequirements.
ii) Provide installation rate, labor rates and any other applicable chargesproposedunderthisheading.
iii) The Foodservice Designermust include, in its quote to themember, allrequired architectural and engineering design requirements as well aselectrical,plumbing,structuralandfacilitymodificationsneeded.
c) The Foodservice Designer must have full and current Computer Aided Design(CAD)capabilities.
d) TheFoodserviceDesignermusthavefullandcurrentREVITcapabilities.e) The Foodservice Designer must have remote meeting capabilities (e.g.
GoToMeeting) to hold regular discussions with members to aid in the designprocess.
5) FoodserviceInstallation
a) TheFoodserviceInstallermustbeabletoperform,atleast,thefollowingtasks:i) Receiveandstoreequipmentuntilthefacilityisreadyforinstallation.ii) Hang and trim hoods and provide full fire system installation. This
includespermitsandfinaltestsforallsystems.iii) Assemblewalk-incoolersandfreezers.Thisincludespipingrefrigeration
linesforcoolers,freezersandicemachines.Setcondensingunitsinplace,providingproperpressuretestingoflinesandequipmentstart-up.
iv) Connect all utilities (e.g. plumbing, electrical, gas) within five feet ofinstalledunit(s).Thisincludesstart-upandtestingofallunitsforproperoperation.
v) Performfieldweldingaswellas install stainlesssteel, stoneormillworkfabricateditems.
vi) Pre-assembleitemsreadyforsettinginplaceoncetheyarereceivedatthejobsite.
b) TheFoodserviceInstallermustbewillingandabletoperformthefunction/roleas the prime contractor and coordinate, supervise and administer all activitieswiththemember,allgeneralandsub-contractors,architects,engineersandsitecoordinators, as needed, to assure that the project is completed in a timelymannerandasproposedinthePurchaseOrder.
c) The Foodservice Installer must be knowledgeable of, and able to, secure allbonds,permits,licensesandapprovalsneededforinstallationofthefoodservicefacilityasproposedinthePurchaseOrder.
6) The Foodservice Equipment Supplier will provide comprehensive training on theoperation,useandtestingofpurchasedequipment toallpersonnelselectedby themember. Thismustbeastandardpartofthe installationandbe includedwiththepurchasedequipmentatnoadditionalcost.
7) Allwarrantieswillbeginonthedateof finalacceptanceoftheprojectbytheNCPA
memberorparticipant.Allwarrantiesmustcontainthefollowing:a) AllproductsofferedunderthisRFPshallbeguaranteedfreefromdefectsandany
faulty workmanship for a minimum period of at least one (1) year after finalacceptance. Any extended warranty offered by the manufacturer will bedescribedandoffered.
b) Refrigeration systems to include: walk-ins, self-contained units and remoteappliances, shallhave (1)oneyearwarrantyonpartsand labor. Anadditional(5)yearwarranty(replacementonly)onthecompressorshallbeprovided.
8) IftheFoodserviceEquipmentSupplierisnotgoingtobethewarrantyprovider,orisgoingtoutilizeothermanufacturer’sserviceproviders,theSuppliermustprovidealist of service providers authorized by the manufacturer and acceptable to themember. Include each warranty provider’s contact information (name, emailaddress,phonenumber,mailingaddressand/orfacsimilenumber).
9) TheFoodserviceEquipmentSuppliercanofferdepotwarrantyserviceforsmallandportable equipment and/or products. Unless otherwise specified for equipmentand/or products covered by depot service, the normal warranty will apply. TheNCPA member or participant will be responsible for shipping/insurance ordeliveringtheequipmenttotheSupplier’sdesignatedlocation.TheSupplierwillberesponsible for all return shipping and insurance. For items too large to ship, theSuppliermustofferon-sitewarrantyasnotedabove.
10) Alldeliveriesmustbecoordinatedwiththememberbeforedelivery.Deliverymust

FEDERALCHANGES
