BYLAWSOFTHEASSOCIATIONOFHIGHEREDUCATIONPARENT/FAMILYPROGRAMPROFESSIONALS

ARTICLEI:NAMEANDMISSIONSection1.01.Name.ThenameoftheorganizationshallbeAssociationofHigherEducationParent/FamilyProgramProfessionals(AHEPPP).Section1.02.Mission.TheAssociationofHigherEducationParent/FamilyProgramProfessionals(AHEPPP)isthepremiernationalassociationforhighereducationpractitionerswhoworkwiththeparentsandfamilymembersofcollegestudents.ThemissionoftheAssociationistosupportprofessionalsinhighereducationwhopromotestudentsuccessthroughinformedparentandfamilyengagement.Section1.03.Values.AHEPPPsharesabeliefinandcommitmentto:

• Supportingacollaborativeenvironment• Responsibleandethicalbehavior• Leadinginnovationandideasfortheprofession• Diversityandinclusion• Fiscalstrengthandresponsibility• Continuedprofessionaldevelopment• Research,assessment,andbestpractices

Section1.04.Non-discrimination.TheAssociationofHigherEducationParent/FamilyProgramProfessionalswelcomesandencouragesparticipationfromallindividualswhosupporttheAssociation’smissionandvaluesandshallnotdiscriminateonthebasisofrace,color,religion,sex,nationalorigin,sexualorientation,genderexpressionoridentity,ability,appearance,age,class,protectedveteranstatus,geographic/regionallocation,institutionaltype,professionaltitleorposition.ARTICLEII:MEMBERSHIPSection2.01.Members.Theorganization’smembershipshallconsistofindividualsand/orinstitutionsthatsupportthemissionoftheorganizationandremainingoodstanding.Section2.02.TypesofMembership.

1. InstitutionalMembership:CollegesanduniversitiesareeligibleformembershipuponpaymentofannualduesasdeterminedbytheBoardofDirectors.Institutionalmembershipincludesuptothreeindividualspercollege/university.

2. StudentMembership:anygraduateorundergraduatestudentfromamemberornon-memberinstitutioniseligibleformembershipuponpaymentofannualduesasdeterminedbytheBoardofDirectors.

3. EmeritusMembership:AnyindividualwhohasretiredfromamemberinstitutioniseligibleformembershipuponpaymentofannualduesasdeterminedbytheBoardofDirectors.

4. HonoraryMembership:AllfoundingBoardmembersaregrantedlifetime,complimentarymembership.

5. AssociateMembership:Thoseorganizationsorbusinessesthatprovideproducts,servicesorprogramsrelatedtocollege/universityparentandfamilyprogramsareeligibleforconsiderationforassociatemembership,uponapplicationandpaymentofannualduesasdeterminedbytheBoardofDirectors.TheAssociationdoesnotendorse,directlyorbyimplication,anyproducts,servicesorideasadvertisedbyourassociatemembers.TheBoardofDirectorsreservestherighttorefuseassociatemembershipthatisnotappropriateforourassociation.

Section2.03.RightsandBenefitsofMembers.Allmembersingoodstandingareentitledtoattendmeetings,participateinworkgroups/committees,applyforleadershippositions,andvote;however,AssociateMembersmaynotserveoncommittees,serveontheBoardofDirectors,beelectedtooffice,orvote.Section2.04.Eligibility.ThemembersoftheAssociationshallconsistofdues-payingindividualsandorganizationswhomeettherequirementsofthetypesofmembershipasoutlinedinSection2.02.TheBoardofDirectorsreservestherighttodeny,refuse,ortoallowrenewalofmembershipaswellasterminateorsuspendmembershipforanyindividual,group,ororganizationwithitsdiscretion.Behaviorwhich,inthesolejudgmentanddiscretionoftheBoardofDirectors,iscontraryanddetrimentaltoitsinterests,operations,missionandgoals,maybegroundsfordenial,refusal,ortermination.Section2.05.Resignation.AnymembermayresignaffiliationwiththeAssociationatanytimebysubmittingawrittenresignationviaemailtoinfo@aheppp.org.However,suchnoticeshallnotrelievetheresigningmemberfromtheobligationtopayanyduesorotherchargesthathaveaccruedandremainunpaid.Section2.06.Dues.AnnualduesforeachlevelofmembershipshallbeperiodicallyreviewedanddeterminedbytheBoardofDirectors.ARTICLEIII:OFFICERSANDDIRECTORSSection3.01.TheBoardofDirectors.

TheBoardofDirectorsisthepolicy-makingbodyandmayexerciseallthepowersandauthoritygrantedtoconductthebusinessandaffairsoftheAssociation.TheBoardofDirectorsshallconsistofnolessthanninenormorethanelevenmembersfromtheAssociation’smembership.ThenumberofDirectorsmaybeincreasedordecreasedfromtime-to-timebyamendmenttotheBylaws.Section3.02.GeneralAuthority.TheBoardshalldetermineitsownstructureandoperatingprocedureswhichshallbemadeknowntothemembershipinanappropriateandcurrentwrittenformat.ThepowersoftheBoardofDirectorsinclude,butarenotlimitedto,thefollowing:

• ApprovaloftheannualAssociationbudget,investments,andexpenditures;• Approvalofallcontractualrelationshipsandpartnershipswithotherprofessional

associationsorgovernmentagencies;• Developmentandreviewoftheconditionsofemploymentforanypersonsemployed

bytheAssociation;• Select,appoint,anddismissmembersoftheBoardofDirectors;• Approvaloftheannualconferencelocation,theme,andprograms;• Responsibilityofqualitycontrolofallpublications.

Section3.03.Selection.CandidatesforBoardofDirectorsmustbemembersofAHEPPPingoodstanding.Inaddition,candidatesmustbeemployedbyhighereducationinstitutionsandhaveworkedwithcollegeparentsandfamilies.ThePresident-Elect,inconsultationwiththePresidentoftheBoard,willcoordinatetheannualselectionprocess,whichincludesdeterminingatimeline,distributingacallfornominations,andcollectingnominations.ThecurrentBoardwillreviewnominationsandputnomineesforwardformembershipvote.Section3.04.Tenure.BoardofDirectortermsshallbegininJanuaryofacalendaryear.Boardmembersshallserveonethree-yeartermandmaybeelectedtooneadditionalthree-yearterm,nottoexceedsixconsecutiveyears.BoardmemberswhoareattheendoftheirfirsttermmayberenewedforasecondtermbymajorityvoteoftheremainingBoardmembers.If,duringtheirtenure,Boardmembersbecomenolongeremployedbyaninstitutionofhighereducation,theBoardwillvoteonhowlongthemembermaystayintheirpositionontheBoard.Section3.05.Vacancy.VacanciesshallbefilledbytheBoard,withtherecommendationsofthePresidentandPresident-Elect.Vacanciesexistingbyreasonofresignation,death,incapacity,orremovalbeforetheexpirationofhis/hertermshallbefilledbyamajorityvoteoftheremainingdirectors.Intheeventofatievote,thePresidentshallchoosefromthepersonswhoreceivedthesamenumberofvotesasthesucceedingBoardmember.Adirectorappointedtofillavacancyshallbeappointedfortheunexpiredtermofthatdirector’spredecessorinoffice.

Section3.06.ExtensionofTermofaDirectorElectedtoanOffice.Section3.04notwithstanding,anydirectorwhoiselectedtoanofficemayserveanadditionaloneortwoyearsbeyondthetermlimitsetforthinSection3.04inordertoserveacompletetermasofficer.Section3.07.Officers.TheofficersoftheBoardshallconsistofaPresident,President-Elect,Treasurer,andConferenceLiaisonnominatedbytheBoard.Attheendoftheyearandifvacanciesoccur,theBoardofDirectorswillselectnewofficersforitselffromthemembersofthecurrentboard.Ifanofficerresignsinthemiddleoftheyear,thePresidentwillappointaninterimofficer.Electedofficerswillserveatermoftwoyears,exceptforthePresident-Elect,whowillbecomePresidentaftertwoyears.Section3.08.Compensation.BoardofDirectorsshallservewithoutcompensationwiththeexceptionthatexpensesincurredinthefurtheranceoftheorganization’sbusinessareallowedtobereimbursedwithdocumentationandpriorapproval.Section3.09.ResignationandDismissal.AnyDirectormayresignatanytimeuponwrittennoticetothePresident.ShouldaPresidentwishtoresign,writtennoticeshouldbedeliveredtothePresident-Elect.Suchresignationshallbeeffectiveatthetimespecifiedtherein,andtheacceptanceofsuchresignationshallnotbenecessarytomakeiteffective.AnyBoardmembermaybedismissedfromtheBoardatanytimebyatwo-thirds(2/3)voteoftheBoardofDirectorswhenever,initsjudgment,itisinthebestinterestsoftheAssociation.ARTICLEIV:COMMITTEESANDWORKGROUPSSection4.01.Committees.AssociationmembersaretaskedbytheBoardofDirectorstofurtherthemissionandgoalsoftheAssociation.ThePresidentshall,withtheconcurrenceoftheBoard,appointworkgroupsandcommitteesasneeded.Thesize,duration,andresponsibilitiesofthesecommitteesandworkgroupsshallbeestablishedbytheBoard.ThePresident,withguidancefromtheBoard,maymakesuchprovisionsforappointmentofthechairpersonofsuchcommittees;establishprocedurestogoverntheiractivities,anddelegateauthorityasmaybenecessaryordesirablefortheefficientmanagementofthebusinessandactivitiesoftheAssociation.Section4.02.StandingCommittees.AHEPPPStandingCommitteesshallbethefollowing:1.AnnualConferenceCommittee2.MembershipandOutreach3.Education4.ResearchandAssessment

5.PartnershipsARTICLEV:MEETINGSSection5.01.BoardofDirectorsMeetings.RegularmeetingsoftheBoardofDirectorsshallbeheldatsuchtimesasmaybedeterminedbytheBoard,orasmaybespecifiedinthenoticeofthemeeting.Everyeffortwillbemadetoconductregularmeetingsoncepermonth,andmeetingswillbeconductedbyanymeansofcommunicationbywhichalldirectorsparticipatingmaysimultaneouslyheareachotherduringthemeeting(i.e.,teleconference).TheBoardofDirectorsshallholdin-personmeetingstwiceeachyear,withonemeetingheldinconjunctionwiththeannualconferenceandanotherasdeterminedbytheBoard.Boardmembersarerequiredtoattendthein-personmeetingsandparticipateinscheduledmonthlyteleconferences.Situationsthatpreventanydirectorfromattendinganin-personmeetingwillbehandledonacase-by-casebasis,andeveryeffortwillbemadebytheBoardandtheabsenteetoparticipatevirtually.Agendasshallbeprovidedatleast48hoursinadvance.Section5.03.NoticeofMeetings.InthecaseofregularmeetingsoftheBoardviaconferencecall,atleast15daysadvancenoticeisrequired.Noticeofanin-personmeetingshallbemadewithreasonablenoticeforBoardmemberstofacilitatethenecessarytravelarrangements.SpecialmeetingsmaybecalledbythePresidentorattherequestofanytwo(2)directorsbygivingnoticeviaemailortelephonetoeachmemberoftheBoardnotlessthanforty-eight(48)hoursbeforesuchmeeting.Section5.04.Quorum.Aquorumshallconsistofasimplemajority(onemorethanhalf)oftheBoardofDirectors.Aquorumisrequiredforthetransactionofbusiness.Section5.05.ActionwithoutaMeeting.AnyactionrequiredorpermittedtobetakenatameetingoftheBoardofDirectorsorofanycommitteemaybeaccomplishedwithoutconveningameetingifallmembersoftheBoardorcommitteeconsentinwritingthatanactionbeapprovedwithoutcallingameetingperSection6.03.SuchconsentsshallhavethesameforceandeffectasaunanimousvoteoftheBoardorofthecommitteeasthecasemaybe.Section5.06.AnnualBusinessMeeting.AbusinessmeetingfortheAssociationmembershipshallbeheldeachyearduringtheannualconference,whichisusuallyheldduringthefallofeachyearonsuchdateasmaybedeterminedbytheBoardofDirectors.Associationbusinesswillbeconductedandwillinclude,butisnotlimitedto,thefollowing:

• ReportfromthePresidentonthestatusoftheAssociation• ReportfromtheTreasurerontheannualbudget• ReportsfromDirectorsandcommittees

ARTICLEVI:VOTINGSection6.01.VotingRights.EachBoardmemberisallowedone(1)vote.AnyemployeeoftheAssociationisnotavotingmember.Section6.02EstablishingaQuorum.ExceptasdeterminedinSection6.03,noformalactionshallbetakenwithoutaquorumoftheBoard.Intheabsenceofaquorum,themeetingwillbeadjournedtoasubsequentdate.Section6.02.VotingOnanyAction.VotingforselectionofBoardmembers,electionofofficers,amendmentstotheBylaws,oranyotheractionormotionwillbedeterminedbymajorityrulesusingquorumestablishedasoutlinedinSection5.04.Section6.03.EmailVoting.WhenanactionnecessitatesafullBoardvoteandaconferencecallorin-personmeetingisnotpossible,directorsmayvotefororagainstanactioninwritingviaemail.ThefollowingisrequiredforwrittenactionsbytheBoardofDirectors:

• ThePresidentorthePresident’sdesigneeisrequiredtosendanemailtotheBoarddetailingtheproposedaction.

• Theemailmustincludeawrittenballotasanattachment(PDF)foreachDirectortocomplete.Theballotmustspecifytheproposedaction,aresponsefieldindicating“for”or“against”theaction,andasignaturefieldfortheDirectortosign.

• Directorsmustcompleteandsigntheballotwithanoriginalsignature,andreturnittothePresidentasanemailattachmentbythedeadlineindicated.

Section6.04.AbsenteeVoting.AnyBoardmemberwhoisunabletobepresentforavoteonanyactionmaysubmittheirvoteelectronicallyandinwritingtothePresidentonorbeforethedateofthevoteprovidedthatallmembersoftheBoardreceivewrittennotificationoftheproposedactionatleast48hourspriortothevote.ARTICLEVII:CONFLICTOFINTERESTWheneveraDirectorhasafinancialorpersonalinterestinanymattercomingbeforetheBoardofDirectors,theaffectedpersonshall(a)fullydisclosethenatureoftheinterestand(b)withdrawfromdiscussion,lobbying,andvotingonthematter.AnytransactionorvoteinvolvingapotentialconflictofinterestshallbeapprovedonlywhenamajorityofdisinteresteddirectorsdeterminethatitisinthebestinterestoftheAssociationtodoso.Theminutesofmeetingsatwhichsuchvotesaretakenshallrecordsuchdisclosure,abstentionandrationaleforapproval.ARTICLEVIII:FISCALPOLICIESSection8.01:MajorActivities.

AllnewventuresintheactivitiesoftheAssociation,suchasamajorfinancialobligation,mustbeapprovedbytheBoardandanyexpenditureinconnectiontherewithshallbespecificallyauthorizedforsuchpurposesbytheBoardbeforedisbursementmaybemadeforsuchpurpose.Section8.02:ExcessFunds.WheneverthecashbalancesoftheAssociationaredeemedtobeinexcessofcurrentneeds,theBoardmayauthorizetheinvestmentofanysuchfundsforinterestearningpurposesinsavingsaccountsand/orotherinvestmentprogramsdeemedappropriatebytheBoard.SuchdepositsshallbemadeinthenameofAHEPPPwiththeauthorityformakingofdepositsandwithdrawalsvestedinsuchpersonorpersons,astheBoardshallfromtimetotimeprovidebyresolution.TheBoardisfurtherempoweredtoauthorizeloansordonationstoothercooperatingassociationsforthepurposeoffurtheringtheireducationalworkthereinwhendeemedadvisable.Section8.03:Disbursements&GeneralReimbursements.Allchecks,draftsorotherpaymentofmoney,notesorotherevidencesofindebtednessissuedinthenameoforpayabletoAHEPPPandrequiringsignatureshallbesignedorendorsedbysuchpersonorpersonsandinmannerasfromtimetotimeshallbedeterminedbytheBoardofDirectors.IntheabsenceofsuchdeterminationbytheBoard,suchinstrumentsshallbesignedbytheTreasurerandcountersignedbythePresidentorPresidentElect.AHEPPPwillreimburseonlyexpensesthathavebeenofficiallyapprovedbytheBoardthroughitsannualbudget.Memberscannotincuraprogramexpensewithoutthepriorapprovaloftheappropriateperson.Section8.04:BudgetDevelopment,ReviewandApproval.DesignatedfinancialreportsoutliningoperationalexpensesshallbeprovidedmonthlytotheBoardbytheTreasurer.TheTreasurersubmitstheannualbudgetforreviewattheNovemberBoardMeeting.Inpreparingthebudget,theTreasurerreviewsthefinancialneedsoftheorganization,takingintoconsiderationtheprioritiesoftheAssociation'sstrategicplanandthefinancialhistoryofAHEPPP.BudgetrevisionsmustbeapprovedbytheBoardofDirectors.Section8.05:AnnualAudit.AHEPPPshallrequireanannualauditofitsaccountsbyacertifiedpublicaccountanttoaudittherecordsandreviewtheinternalcontrols.Section8.06:FiscalYear.ThefiscalyearoftheBoardshallbeJanuary1toDecember31,butmaybechangedbyresolutionoftheBoardofDirectors.ARTICLEIX:AMENDMENTSTheseby-lawsmaybeamendedbyatwo-thirdsvoteoftheBoardofDirectors.ProposedamendmentsshallbepresentedinwritingtothePresidentandcopiesoftheproposed

amendment(s)shallbeprovidedtoeachBoardmemberatleast15daysbeforethescheduledmeeting.ARTICLEX:INDEMNIFICATIONEverymemberoftheBoardofDirectorsandmemberofAHEPPPmaybeindemnifiedbytheorganizationagainstallexpensesandliabilities,includingcounselfees,reasonablyincurredorimposeduponsuchmembersinconnectionswithanythreatened,pending,orcompletedaction,suitorproceedingstowhichtheymaybecomeinvolvedbyreasonoftheirbeingorhavingbeenamemberoftheBoardofDirectorsorgeneralmemberassociatedwiththeorganization,oranysettlementthereof,unlessadjudgedthereintobeliablefornegligenceormisconductintheperformanceoftheirduties.Provided,however,thatintheeventofasettlementtheindemnificationhereinshallapplyonlywhentheBoardapprovessuchsettlementandreimbursementasbeinginthebestinterestoftheorganization.TheforegoingrightofindemnificationshallbeinadditionandnotexclusiveofallotherrightswhichsuchmemberoftheBoardorassociationmemberisentitled.ARTICLEXI:CERTIFICATIONThesebylawswereapprovedbyatwo-thirdsmajorityvoteonThursday,November13,2014.ThesebylawswereamendedbyunanimousvoteonTuesday,June5,2018.

APPENDIXAELECTIONOFBOARDMEMBERSTheBoardofDirectorssolicitsnominationsfromAHEPPPmembership,verifieseligibility,presentsthenomineesforAHEPPPmembershipvote,andtalliesthevotetofillpositionsontheBoard.ThisappendixprovidesadditionalrulesandguidelinesfortheBoardofDirectorsregardingtheelectionofdirectorsasrequiredbytheBylaws.1.NominationandSelection.ThePresidentandPresident-Electwillcoordinatetheselectionprocess,whichinvolves:determiningatimeline;creatingannouncementsandthecallfornominations;workingwiththeBoardtosolicitgeneralmembershipfornominees;collectingnominations;interviewingthenomineeswhennecessary;finalizingthecandidates;presentingtheBODcandidatesfortheAHEPPPmembershipvoteonline;andpreparingtheresultsfortheBoarddiscussionduringthemonthlycall.2.Eligibility.AnyAHEPPPmemberingoodstandingandmeetstheminimumcriteriaiseligiblefornominationtotheBoardofDirectors.AnyAHEPPPmembermayself-nominateornominateanothermember.Nomineesornominatorswillcompletenominationapplicationsthatprovidethefollowinginformation:a.Nameb.Currentjobtitlec.Institutiond.Yearsincurrentpositione.YearsinParent/FamilyProgrammingf.Contactinformationg.Currentrésumé/vitaeh.Personalstatement,writtenbythenominee,describingwhytheywillbeagoodmemberoftheAHEPPPBoardofDirectors.Statementshouldincludeskillsthatwillsuitthisroleandthewaysinwhichthecandidate’sleadershipwillcontributetoAHEPPP’smission,programsandinitiatives.i.Letterofrecommendationfromthenominee’ssupervisororprofessionalcolleague.3.GuidelinesandQualifications.TheBoardshallincludepersonsofcharacter,integrity,talentandexperiencewhoarecommittedtothemissionofAHEPPPandseektofosterdiversityacrosstheorganization.ThediversityoftheBoardisessentialtothesuccessoftheAssociation,andtheBoardofDirectorsshouldreflectthediversityofourmembershipandthestudentsandparents/familiesweserve.Thisdiversityincludes,butisnotlimitedto,race,color,religion,sex,nationalorigin,sexualorientation,genderexpressionoridentity,ability,appearance,age,class,andprotectedveteranstatus.Geographicdiversity,diversityinknowledgeandskills,anddiversityofinstitutionaltypeandsizealsoareimportantconsiderations.NewBoardmembersareelected

bycurrentmembersbasedon,butnotlimitedto,thefollowingcriteria:

MinimumCriteria:• MembershipinAHEPPPofnolessthan2years• Professionalexperienceinhighereducationfornolessthan5years• Evidenceofacommitmenttothefieldofhighereducationand/orparent/family

relations,retention,engagement,transition,and/orstudentaffairs,enrollmentmanagement,fundraisingorotherrelatedfieldsinhighereducation.

AdditionalCriteria:

• Guidedbyevidenceofleadershipandawiderangeofexperiences;andacommitmenttoAHEPPP’smission,visionandprograms.

• Contributed2yearsofservicestomembersoftheorganizationorpeerswithintheprofession(e.g.participatedinthementorprogram,collaboratedwithindividualsfromotherinstitutionstodevelopprograms/initiatives,presentedatnationalconferences,etc.)

• Demonstrated2yearsofservicetoAHEPPP(e.g.servedasaconferencevolunteer,oncommittees,publishedontheAHEPPPblog.etc.)

• Publishedarticles,surveyanalyses,chaptersand/orbooksaddressingparentengagementatthepost-secondaryeducationlevelasitrelatesto,orimpacts,studentdevelopmentand/orretention.

• Willingnesstoembracefast-paced,highpressure,team-orientedworkenvironmentwithanamicableattitudeandbalancemultiplepriorities.

• Keepabreastcurrenteventsinhighereducationastheypertaintostudentsandtheirfamilyengagementatthecollegelevel

• IsguidedbyAHEPPP’scommitmenttodiversityandinclusion.• Electedboardmembersshouldrepresent-balanceacrossinstitutionaltype/size

andgeographicregions.

Elections/Voting• Atleasttwo(2)nomineesshallbepresentedforelection.• Asimplemajorityisrequiredforelection.• Ifmorethantwo(2)candidatesaretiedontheballot,arun-offelectionmaybe

requiredbetweenthetwoindividualsreceivingthelargestnumberofvotes.• Eachvotingmemberwillbeallottedavoteforeachvacatedseat.
